TRANSPORTATION IMPACT FEE CREDIT AGREEMENT AMENDMENT
AMENDMENT NO. 1
TO CITY SECRETARY CONTRACT NO.62552
WHEREAS, the City of Fort Worth ("City") and a Texas home rule municipal
corporation, and Legacy CTW LP, a Texas Limited Partnership company authorized to do
business in Texas (the "Owner I") (the City and Owner 1 each a "Parry", and collectively, the
"Parties") made and entered into a Transportation Impact Fee Credit Agreement, City Secretary
Contract No. 62552 (the "Agreement"); and
WHEREAS, Owner I has requested to add Tract 9, of the approved concept plan area for
Chisholm Trail Ranch (CP-13-001) ("McPherson Addition"), as eligible to receive transportation
impact fee credit for the dedication and construction of McPherson Boulevard completed by City
Project No. 104375; and
WHEREAS, Gabriel Southwest LLC, a Texas Limited Partnership ("Owner 2"), is the
owner of the land identified in Exhibit "A- I" ("McPherson Addition") to attached hereto and
incorporated herein; and
WHEREAS, Owner 1 desires to amend the Agreement to include Gabriel Southwest LLC,
a Texas Limited Partnership ("Owner 2")
WHEREAS, the City desires to assign to Owner 1 and Owner 2, Transportation Impact Fee
Credits in the amount of $438,923.77 and $1,703,468.22, respectively, which are allocated
hereinafter to Chisholm Trial Ranch and the McPherson Addition, respectively; and
WHEREAS, it has become necessary to execute this Amendment No. 1 to said Agreement
to assign the Agreement, transfer, and reallocate certain credits, and replace Exhibits "C, D, and F"
with Exhibits "C-1, D-1, and F- I" respectively attached to this Amendment.
WHEREAS, it has become necessary to execute this Amendment No. 1 to said
Agreement to incorporate additional credits applicable to the Chisholm Trail Ranch Property and
the McPherson Addition Property by amending Exhibit "A" with the addition of Exhibit "A -I"
attached hereto, amending Exhibit "B" with the addition of Exhibit "B-I" attached hereto,
replace Exhibit "C" with the Exhibit "C-1" attached hereto, replace Exhibit "D" with the Exhibit
"D-1 " attached hereto, amend Exhibit "E" with the addition of Exhibit "E-1 " attached hereto, and
replace Exhibit "F" with Exhibit 7-1" attached hereto;
NOW, THEREFORE, for and in consideration of the mutual agreements, covenants, and
conditions contained herein, and other good and valuable consideration, the Parties hereby
covenant and agree as follows:

1. Recitals. The recitals contained in this Amendment No. 1 are true and correct as of the
Effective Date and form the basis upon which the Parties negotiated and entered into
this Amendment No. 1.
2. Exhibits. Exhibits shall be amended or replaced in accordance with the following:
Exhibit "A" attached to the Agreement shall be amended to include the addition of
Exhibit "A-1 ", attached hereto.
Exhibit `B" shall be amended to include the addition of Exhibit `B-1", attached hereto.
Exhibit "C" shall be replaced by Exhibit "C-1 ", attached hereto.
Exhibit "D" shall be replaced by Exhibit "D-1", attached hereto.
Exhibit "E" attached to the Agreement shall be amended to include the addition of
Exhibit "E-1", attached hereto.
Exhibit "F-1" shall be replaced with Exhibit "F-1", attached hereto.
Each exhibit is attached hereto and incorporated herein by this reference.
3. All other provisions of Agreement, as previously amended, which are not expressly
amended herein shall remain in full force and effect.

EXHIBIT F-1: AMENDMENT TO ALLOCATION OF CREDITS
Allocation of Credits shall be as listed below and then on a first-come/first-served basis as to
Owner 1 within the preliminary plat boundary of Chisholm Trail Ranch Preliminary Plat, PP-21-
021 and shall run with the land, and as to Owner 2 McPherson Addition Preliminary Plat, PP-21-
057 and shall run with the land; provided, however, "No development located within the boundary
area shall be authorized to utilize any credits under this Agreement unless and until the respective
owner of such development —either Owner 1 or Owner 2, each acting independently and having
no authority to bind or approve actions on behalf of the other —submits to the City a written request
or notice expressly approving and authorizing the use of credits for that specific development.
Approval or authorization by one Owner shall not be construed to grant approval, consent, or rights
with respect to any development owned by the other Owner. Owner 1 does not require permission
from Owner 2 to access allocated credits to Owner 1, and Owner 2 does not require permission
from Owner I to access allocated credits to Owner 2.
