FIRST AMENDMENT TO CSC NO. 57254
THIS FIRST AMENDMENT TO CSC NO. 57254 (the "Amendment") is made as of the date last executed below
(the "Amendment Effective Date") by and between City of Fort Worth ("City") and Hospitality Network, L.L.C.
"Company"). City and Company are individually referred to herein as a "Party" and collectively as the "Parties."
I. BACKGROUND
WHEREAS, the Parties entered into that certain Contract for Telecommunications and Data Services dated effective
March 27, 2022, identified as City Secretary Contract No. 57254 (the "Contract") pursuant to which Company
provides certain Services to the City; and
WHEREAS, the Parties addended the Contract pursuant to that certain CSC NO. 57254 Services Addendum dated
effective August 13, 2025 (the "Addendum") wherein the Company provides certain CPN Services to the City; and
WHEREAS, the Parties desire to modify the terms of the Addendum as provided in this Amendment.
NOW THEREFORE, for and in consideration of the mutual promises and covenants made by the Parties herein to
each other, and for other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, the Parties hereto do agree as follows:

All capitalized terms used in this Amendment, unless otherwise defined herein, will have the same meanings as the
terms contained in the Contract or Addendum, as applicable. The Contract is hereby amended as follows:
1. Amendment — Neutral Host Service References. As of the Amendment Effective Date, the following references
shall be corrected throughout the Addendum:
• Any reference to "MOCN Neutral Host," "MOON neutral host," or "MOCN Neutral Host Service(s)"
shall be removed and replaced with the new term "Neutral Host Service(s)"; and
• Any standalone reference to "MOCK" shall be removed and replaced with "Neutral Host".
2. Amendment — Definition. As of the Amendment Effective Date, the definition for "Access point" found in
Section 1 of Exhibit 2 (Third -Party Terms) of the Addendum shall be deleted in its entirety and replaced with the
following updated definition:
""Access Point" means CPN Service Equipment as defined in Section 2.1 (CPN Service Equipment) of the
Addendum."
3. Amendment —Neutral Host Service Modifications. As of the Amendment Effective Date, Section 11 of Exhibit
2 (Third -Party Terms) of the Addendum shall be removed in its entirety and replaced with the following updated
Section 11:
4111 Neutral Host Service. Without limiting the other terms and conditions in the Addendum (including
other City's obligations), the terms and conditions contained in this Section 11 shall apply if the
Services include neutral host network services or infrastructure ("Neutral Host Services").
Company provides Neutral Host Services through the use of various technologies and operating
models (DAS, MOCN, multi -operator small cells, etc).
11.1 Disclosures to MNOs. City consents to Company disclosing City's name and details about
CPN Service Location to Company Providers and mobile network operators ("MNOs") for
purposes of implementing and maintaining the Neutral Host Services.
11.2 MNO Approvals. City acknowledges that Company's right and ability to provide the
Neutral Host Services at a CPN Service Location may be subject to certain testing, site and/or
on -air approvals or authorizations by the MNOs ("MNO Approvals"). Company will use
reasonable efforts to obtain MNO Approvals, but reserves the right to terminate any
Addendum (and the obligation to provide the Neutral Host Services) without liability or
further obligation if any MNO Approval that is required to provide the Neutral Host Services
is denied or not received in a reasonably timely manner. If Company terminates an
Addendum (or cancels the Neutral Host Services) pursuant to this Section 11.2, Company
will have the right to remove any CPN Service Equipment deployed prior to such
termination/cancellation and shall be given access to the CPN Service Location and the
Demarcation Point for such removal pursuant to and in accordance with Section 2.3. City
may not begin broadcasting any MNOs unique network identification ("PLMN-ID") until
Company has delivered an Activation Notice for the Neutral Host Services in accordance
with Section 2.4.
11.3 MNO Marks. City may not use an MNOs name, logo or symbol in connection with its use
or marketing of the Neutral Host Services (or otherwise) at any CPN Service Location
without the MNO's prior written consent.
11.4 Modification and Relocation of CPN Service Equipment. City shall maintain and ensure the
integrity of the system as built and certified for legally compliant E911 service through
MNOs throughout the applicable CPN Service Term. The CPN Services and CPN Service
Equipment have been installed in a manner and in a location to ensure performance.
Structural changes to City's facility; unauthorized relocation of CPN Service Equipment; or
changes to the local network infrastructure, firewalls or internet connection will degrade or
disrupt performance. The Neutral Host Services have been configured per design and
industry guidelines. Once operational, moving the CPN Service Equipment from its original
location without proper notification and approval may impede the ability of the MNOs to
meet regulatory requirements, including 911 emergency call response. In order for 911 calls
to be properly directed to emergency services, the MNOs must have the correct address
where the CPN Service Equipment is located. If City moves CPN Service Equipment to a
location without prior notice and approval, 911 calls may be directed to the wrong emergency
authority, may transmit the wrong address or may fail altogether. City shall not relocate (or
permit the relocation of) any CPN Service Equipment without Company's prior written
approval, which request must be made at least ninety (90) days prior to the planned relocation
so that Company (along with the MNOs and Company Providers) can properly evaluate the
relocation in order to ensure continued compliance with all FCC regulations and RF
instructions, specifications, and guidance of the MNOs and FCC regulations, and to ensure
that the relocation will not cause interference or excess RF exposure. City's failure to obtain
Company's prior approval will be grounds for Company and/or MNOs to terminate the
Neutral Host Services at impacted CPN Service Location(s) and none of Company,
Company Providers, nor any MNO shall be responsible for any liability or damages resulting
from the unauthorized relocation of or any modification to any CPN Service Equipment.
11.5 Maintenance. All maintenance and replacement of failed CPN Service Equipment needs to
be coordinated through Company. City acknowledges that Company's access rights under
the Addendum permit Company and Company Providers to monitor compliance with this
provision (on site) from time to time, at dates and times to be mutually agreed. City will
notify Company as soon as possible (and in any event within 24 hours) if any CPN Service
Equipment used to provide the Neutral Host Services experiences any activity that could
materially impact the MNO's provision of wireless services.
11.6 CitySystems and Facilities. City shall proactively notify Company of any planned
disruptions in service resulting from City Systems or facility maintenance. Issues with City's
LAN and/or WAN infrastructure may impact the Neutral Host Services and result in
deterioration of performance and user experience. City network outages could impact
availability of the Neutral Host Services. Calls, including calls to 911, may not be completed
if there is a problem with City's network facilities that are connected to the Neutral Host
Services. City will cooperate with Company's support team to troubleshoot and address any
LAN OR WAN issues in a timely manner. City acknowledges that a failure to resolve a City
LAN or WAN issue may result in the suspension of the Neutral Host Services.
11.7 Power. The Neutral Host Services use the electrical power at City's CPN Service
Location(s). If there is an electrical power outage, 911 calling may be interrupted.
11.8 Re u�ry. City will strictly comply with all compliance, regulatory or other similar
requirements relating to the use of the Neutral Host Services at the CPN Service Location(s).
City agrees to provide any information reasonably requested by Company or the MNOs
related to the provision of Neutral Host Services at the CPN Service Location(s). City will
be responsible for penalties or damages imposed on Company, Company Providers, or
MNOs attributable to City's violation of applicable law or regulatory requirements. City
acknowledges that regulatory agencies or other governmental bodies may audit or
investigate the communications' traffic that is the subject of the Neutral Host Services. In
such event, City agrees to coordinate with Company and the MNOs to provide access to the
CPN Service Location(s) as necessary to conduct regulatory or legal -mandated testing.
11.9 Instructions and Labeling. City shall at all times follow the written instructions,
specifications, and guidance provided by Company and Company Providers regarding the
operation and placement of the CPN Service Equipment for the Neutral Host Services,
including any requirement to place labels, stickers, or other visual advisories on or near such
CPN Service Equipment. City will ensure that all labels, stickers, or other visual advisory
pertaining to RF exposure or separation distance (between the CPN Service Equipment and
persons) that is placed on or near the CPN Service Equipment by Company and/or Company
Providers) are not removed, tampered with, covered, or otherwise obscured while the Neutral
Host Services are operating.
11.10 Neutral Host Usage Information. City acknowledges that Company and Company Providers
collect (and may share with MNOs) information and data about the performance of the
Neutral Host Services at a (e.g., number of devices connected, quality of service, bandwidth
consumed) at a City Location ("Neutral Host Usage Information"). Neutral Host Usage
Information does not include MNO subscriber information, CPNI or any other information
that identifies the MNO. Neutral Host Usage Information is used by Company and Company
Providers to monitor performance, troubleshoot performance issues, and/or to improve the
Neutral Host Services. By using the Neutral Host Services, City agrees to the collection,
disclosure, and use of Neutral Host Usage Information as contemplated by this Section. If
Neutral Host Usage Information is shared with City, City will not include or attribute any
MNO's name to such information (or any sub -set or superset of the information) or in such
a way to allow a third parry to infer an MNO's use of the CPN Service Location(s).
11.11 Suspension. In addition to and without limiting any of its other termination rights, Company
(or a Company Provider) may, in its sole discretion, immediately terminate, suspend, or limit
the Neutral Host Services, if. (a) City's use of the Neutral Host Services poses a risk to
Company, a Company Provider, an MNO or to any other user of the Neutral Host Services,
or may subject any of the foregoing or any third party to liability, damages, or danger; (b)
City uses the Neutral Host Services in a way that disrupts or threatens the CPN Service
Equipment or the systems, services, or network of an MNO; (c) Company receives notice or
otherwise determines, in its discretion, that City is using the Neutral Host Services for any
illegal purpose or in a way that violates the law or violates, infringes, or misappropriates the
rights of Company or a third party; (d) the FCC or any regulatory agency or governmental
body enacts or promulgates any rule, regulation, or order that has the effect of prohibiting or
adversely affecting the ability of Company (or an MNO) to provide the Neutral Host Services
or would require modification(s) to the Services that cannot be reasonably accommodated.
11.12 Certain Acknowledgments. ments. City acknowledges that the use of more than one in -building
mobile connectivity service provider may result in interference and a lower standard of
Neutral Host Services. Company is not responsible and accepts no liability for any
interference caused by other in -building mobile connectivity service providers within the
CPN Service Location. The Neutral Host Services do not replace the MNO voice and data
subscription plans that City and/or City's end -users have with MNOs. Company has no
control over any changes to MNO price plans and has no responsibility for supplying or
maintaining the end users' mobile/cellular devices that make use of the Neutral Host
Services. City will use the Neutral Host Services in compliance with applicable MNO
acceptable use policies and end user license agreements."
4. Amendment — Exhibit 1 (Scope of Work). Exhibit 1 (Scope of Work) of the Addendum shall be
removed in its entirety and replaced with the updated Exhibit 1 (Scope of Work), attached herein as
Attachment 1, which shall be incorporated into the Addendum upon the Amendment Effective Date. For
clarity, Schedule 1 to Scope of Work (City LANIntegration and WAN Requirements), previously part of
Exhibit 1 (Scope of Work), is deleted in its entirety.
Amendment — RFP Clarifications. The Parties acknowledge and agree that the original Company RFP
response related to the CPN Services shall be removed from the Addendum. The Parties further agree
that only the Addendum, as amended or otherwise modified via signed written agreement, shall govern
the CPN Services provided by Company to City.
Miscellaneous. Except as contained herein, the terms and conditions of the Addendum remain in full
force and effect as originally set forth therein, and each of the undersigned does hereby ratify and reaffirm
such terms and conditions, as amended hereby; however, in the event of any inconsistency between the
terms and conditions of this Amendment and the other terms and conditions of the Addendum, the terms
and conditions of this Amendment shall be controlling for all purposes and in all respects. This Amendment
may be executed by facsimile or email and in counterparts, and an executed facsimile or email copy of this
Amendment shall be deemed to be an original for all purposes.

Scope of Work
1. CPN Service Location. 1201 Houston Street, Fort Worth, TX 76102
2. Scope of CPN Services.
a. Scope Overview: Company shall design, deploy, and deliver a neutral host solution ("Neutral Host
Service") that provides public cellular connectivity to City at the CPN Service Location as further
described in the Coverage Scope Map set forth in Section 5 below. All CPN Service Equipment will
be deployed and operated from the City premises at the CPN Service Location leveraging City -
supplied public WAN connectivity.
b. Customer Information Questionnaire (CIQ). Company will supply City with a network integration
Customer Information Questionnaire (CIQ) at the project kick-off for City to complete and return to
Company. City will be asked to populate the information and return the CIQ to Company within 30
business -days of receipt to avoid any delays in project start dates. After City returns the CIQ,
Company will schedule a call to review and confirm completeness and accuracy of the information
provided by City.
c. Support Onboardingg & Access: Following the deployment of the CPN Services, the City will be
provided an onboarding letter that provides contact information for the CPN Support Team and sets
forth how City should report issues relating to the CPN Services and/or CPN Service Equipment.
3. Fees and Payment. City shall be responsible for paying the following fees and charges for the CPN
Services ("CPN Charges"):
a. Non -Recurring Charges: $214,599
Company will invoice City for the non -recurring charges on are after the CPN Service Period
Commencement Date.
b. Recurring Charges: $1,132/month
Company will invoice City for the recurring charges monthly, in advance, throughout the CPN
Service Term, beginning on or after the CPN Services are Activated..

Infrastructure, Network, and Set Prerequisites
Cabling, Infrastructure, and Site Readiness
City shall provide adequate MDF and IDF space, including rack or wall -mounted space for patch panels and
cable management, along with a clean, climate -controlled environment and sufficient lighting. City shall
supply and install any required Cat6-rated patch panels and termination hardware.
Equipment Locations and Physical Access
City shall confirm, approve, and clearly label all equipment mounting locations prior to cabling installation.
City shall provide suitable mounting surfaces and accessible cable pathways to each Equipment location.
Where required, City shall provide, ceiling access, roof access, or other necessary means to safely complete
installation activities.
Network and WAN Integration Requirements
City shall provide and maintain public WAN connectivity at each serviced location for out of band
monitoring of services.
Site Access, Permitting, and Rights
City shall obtain, secure, and maintain all rights of access, entry, and occupation necessary for Vendor, its
contractors, and suppliers to install, operate, maintain, and, if applicable, remove the Services and related
equipment. This includes, without limitation, all easements, building wiring access, risers, laterals, licenses,
entitlements, permits, and approvals required for access to City -owned facilities as well as facilities owned
or controlled by third parties or governmental authorities.
City shall provide access to the Site for a minimum of eight (8) consecutive working hours per day during
mutually agreed -upon business hours to facilitate installation and configuration of the Services.
The foregoing includes obtaining and maintaining all third -party or governmental approvals required to
mount radio antennas and/or other equipment on non -City -owned property and to remove such equipment
upon expiration or termination of the Contract or Addendum, as applicable, if elected by Vendor.
The responsibilities of each Party described in this Section 4 are intended to supplement the terms and
conditions of the Contract. To the extent of any direct conflict between this Section of the Addendum and
the terms and conditions of the Contract, the terms in this Section of the Addendum shall govern with respect
to CPN Services only; provided that the terms and conditions in the Contract shall remain in effect with
respect to any terms or conditions where there is no direct conflict.

SUBJECT: (CD 9) Authorize Execution of an Agreement with Hospitality Network, L.L.C. to Provide Cox Private Network Services
at the Fort Worth Convention Center; Adopt Appropriation Ordinance Amending Appropriations and Receipts in the
Public Events Capital Fund
RECOMMENDATION:
It is recommended that the City Council:
Authorize execution of an Agreement with Hospitality Network, L.L.C., for Cox Private
Network (CPN) services at the Fort Worth Convention Center for a one-time capital outlay of
$214,599.00, advanced payment of $13,584.00 for the first twelve (12) month service
period, and $1,132.00 per month for months thirteen (13) through thirty-six (36), to be
included in future Public Event's Department Operating Budget Proposals, for a total cost of
$255,351.00; and
Adopt the attached appropriation ordinance adjusting estimated receipts and appropriations
in the Public Events Capital Fund by decreasing estimated receipts and appropriations in the
FWCC Minor Renovation and Repair project (City Project No. P00053) in the amount of
$97,963.00, and increasing estimated receipts and appropriations in the to the FWCC Tech
Infrastructure Upgrade project (City Project No. 101412) by the same amount.
DISCUSSION:
It is recommended that the City Council authorize execution of an agreement with Hospitality Network,
L.L.C., to provide Cox Private Network (CPN) services at the Fort Worth Convention Center (FWCC)
for a service period of thirty-six (36) months from the CPN activation date for a total cost of
$255,351.00
Hospitality Network, L.L.C. (CoxHN.com) has been the exclusive provider of voice, data, and internet
services at the FWCC for exhibitors and facility users since 2022. Hospitality Network and Cox
Communications will design, install, and deliver a MOCN neutral host solution (MOCN Neutral Host
Service) providing public cellular connectivity to the City at the CPN Service Locations utilizing indoor
private cellular radios operating in the CBRS band (3.5 GHz Citizens Broadband Radio Spectrum). All
CPN Service Equipment will be installed and operated from the City premises at the CPN Service
Location leveraging City -supplied local area networks (LAN) interconnects and public wide area
networks (WAN) connectivity managed by Cox Hospitality Network.
Voice and data services for the Public Events Department administrative offices will continue to be
provided by the City of Fort Worth's (City) Information Technology Solutions (ITS) Department.
City shall be responsible for paying the following fees and charges for the CPN Services (CPN
Charges) to Cox Communications: the non -recurring charge of $214,599.00 on or after the CPN
Service Period Commencement Date and the recurring charges of $1,132.00 monthly, in advance for
the first 12 months, beginning on or after the CPN Services are activated. Service fees for months 13-
36 will be included in future operating budget proposals of the Public Events Department.

Funding is budgeted in the Public Events Capital and the Culture & Tourism Cap Projects Funds for
the Public Events Department for the purpose of funding the FWCC Tech Infra Upgrade.
The Fort Worth Convention Center is located in COUNCIL DISTRICT 9 but will benefit all council
districts.
FISCAL INFORMATION/CERTIFICATION:
The Director of Finance certifies that funds are currently available in the FWCC Minor Renovation &
Repair & FWCC Tech Infra Upgrade projects within the Public Events Capital and Culture & Tourism
Cap Projects Funds and upon approval of the above recommendations and adoption of the attached
appropriation ordinance, funds will be available in the Public Events Capital Fund for the FWCC Tech
Infra Upgrade project to support the above recommendations and execution of the contract. Prior to

Chapter 46. Disclosure of Interested Parties

Chapter 46, DISCLOSURE OF INTERESTED PARTIES
§46.1. Application
(a) This chapter applies to section 2252.908 of the Government Code-
(b) Section 2252 908 of the Government Code applies only to a contract of a governmental entity or state
agency entered into after December 31 2015 that meets either of the following conditions:
1 The contract requires an action or vote by the governing body of the entity or a enc ; or
2 The value of the contract is at least 1 million.
(c) A contract does not require an action or vote by the governing body of a governmental entity or state
aaencv if:
(1) The governing body has legal authority to delegate to its staff the authority to execute the contract;
2 The governing body has delegated to its staff the authority to execute the contract and
(3) The governing body does not participate in the selection of the business entity with which the contract
is entered into.
§46.3. Definitions
(a) "Contract" includes an amended extended, or renewed_ contract.
(b)`Business entity' includes an entity through which business is conducted with a governmental entity or
state agency, regardless of whether the entity is a for -profit or nonprofit entity. The term does not include
a governmental entity or state agency.
(c)"Controlling interest" means: (1) an ownership interest or participating interest in a business entity by
virtue of units percentage, shares stock or otherwise that exceeds 10 percento 2 membership on the
board of directors or other governing body of a business entity of which the board or other goveming body
is composed of not more than 10 members: or (3) service as an officer of a business entity that has four
or fewer officers or service as one of the four officers most highly compensated by a business entity that
has more than four officers.
(d)"Interested party: means: (1) a person who has a controlling interest in a business entity with whom a
governmental entity or state agency contracts: or 2 a person who active!y partici ates in facilitating a
contract or negotiating the terms of a contract with a governmental entity or state agency, including a
broker, intermediary, adviser, or attorney for the business entity.
(e)"Intermediary " for pumoses of this rule means a person who actively participates in the facilitation of
the contract or negotiating the contract including a broker, adviser, attorney. or representative of or agent
for the business entity who:
1) receives comoensation from the business entitv for the person's participation,
(2} communicates directly with the governmental entity or state agency on behalf of the business entity
regarding the contract: and
(3) is not an employee of the business entity_
§46.5. Disclosure of Interested Parties 'Form
(a) A disclosure of interested parties form required by section 2252.908 of the Government Code must be
filed on an electronic form prescribed by the commission that contains the following:
1 The name of the business entity filing the form and the city, state and country of the business entity's
Pace of business'
( ) The name of the governmental entity or state agency that is a party to the contract for which the form
is being filed:
(3) The name of each interested party and the city, state, and country of the place of business of each
interested party:
4 The identification number used by the governmental entity or state agency to track or identify the
contract for which the form is being filed and a short description of the goods or services used by the
governmental entity or state agency provided under the contract: and
(5) An indication of whether each interested party has a controlling interest in the business entity, is an
intermediary in the contract for which the disclosure is being filed, or both.
b The certification of filing and the completed disclosure of interested 12arties form generated by the
commission's electronic filing application must be printed. signed by an authorized agent of the
contracting business entity, and submitted to the governmental entity or state agency that is the party to
the contract for which the form is beino filed
(c) A governmental entity or state agency that receives a completed disclosure of interested parties farm
and certification of filing shall -notify the commission in an electronic format prescribed by the
commission of the receipt of those documents not later than the 30th day after the date the contract for
which the form was filed binds all parties to the contract.
d The commission shall make each disclosure of interested parties form filed with the commission under
section 2252.908 of the Government Code available to the public on the commission's Internet website
not later than the seventh business day after the date the commission receives the notice required_under
subsection (c) of this section.
