HomeMy WebLinkAbout041118-R1 - General - Contract - Pollard Aircraft Sales, Inc.CSC No. 41118-Rl FIRST RENEWAL FOR CITY SECRETARY CONTRACT NO. 41118 FORT WORTH MEACHAM INTERNATIONAL AIRPORT UNIMPROVED GROUND LEASE AGREEMENT LEASE SITE 10/HANGAR 9S This FIRST RENEWAL TO CITY SECRETARY CONTRACT NO. 41118 ("RENEWAL") is made and entered into by and between the CITY OF FORT WORTH ("Lessor"), a home rule municipal corporation organized under the laws of the State of Texas and POLLARD AIRCRAFT SALES, INC. ("Lessee"), an Texas Corporation, acting by and through JAMES TIM POLLARD its duly authorized PRESIDENT, each individually referred to as a "party" and collectively referred to as the "parties." RECITALS The following statements are true and correct and form the basis of this Agreement. WHEREAS, On or about November 11, 2010, Lessor and Don E. Hansen entered into City Secretary Contract ("CSC") No. 41118 an Unimproved Ground Lease for the lease and use of real property known as Lease Site 10/Hangar 9S and any improvements and facilities thereon ("Leased Premises") at Fort Worth Meacham International Airport") hereinafter referred to as the Lease; WHEREAS, the Initial Term of the Lease expires on May 31, 2026, with two (2) options to renew for an additional five (5) years each; WHEREAS, On or about September 14, 2021, through Mayor and Council Communications (M&C) 21-0684 City Council authorized a Consent to Assignment (CSC 41118- CA1) of the Lease to Lessee; and WHEREAS, the Lessor and Lessee wish to exercise the first renewal term provided under the Lease, commencing on June 1, 2026, and ending on May 31, 2031. NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, Lessor and Lessee hereby agree as follows: 1. The Lease is hereby renewed and extended for the first permitted renewal term of five (5) years, commencing on June 1, 2026 and expiring on May 31, 2031. 2. In accordance with the established Schedule of Rates and Charges, this lease site of 100,324.08 square feet of Ground Space at the current lease rate of $0.49 per square foot will Fort Worth Meacham International Airport Pollard Aircraft Sales, Inc. All other terms and conditions of the Lease shall remain in full force and effect. The statements set forth in the recitals above are true and correct and form the basis upon which Lessor and Lessee have entered into this Agreement. The Lease is a public document on file in Lessor's City Secretary's Office and is incorporated herein by reference for all purposes. All other provisions and conditions of the Lease that are not expressly amended herein or directly in conflict with the provisions and conditions of this Amendment shall remain in full force and effect. DISCUSSION: On November 11, 2010, the City (Lessor) and Don E. Hansen, an individual, entered into City Secretary Contract (CSC) 41118, known as Unimproved Ground Lease Agreement for Lease Site 10/ Hangar 9S (Lease 41118) at Fort Worth Meacham International Airport. On or about March 23, 2021, the Lessor consented to an assignment by Don E. Hansen (Former Lessee) and Sandpiper Operating, LLC (Lessee) to assign all of Former Lessee's rights, title and interest in the leased premises due to Former Lessee changing the name in which business is done to Sandpiper Operating, LLC. On or about July 1, 2021, staff received a request from Lessee to consent to an assignment of Lease 41118 to Pollard Aircraft Sales, Inc. Upon City Council approval, Pollard Aircraft Sales, Inc. will assume the leasehold interest and obligations associated with the lease. Lease Site 10 consists of a 23,500 square foot hangar and 100,324.08 square feet of ground space. The initial term of the lease commenced on November 11, 2010 and expires on May 31, 2026. In addition to the initial term, Lease 41118 provides the option to renew upon expiration of the initial term. Renewal options allow Lessee two (2) consecutive options to renew for successive terms of five (5) years each. Lease 41118 prohibits any assignment of the lease or causing any lien to be made on improvements constructed on the leased premises without City Council approval. These types of transactions are routine for airport tenants and staff has no objection to this request. Under the current agreement, Sandpiper Operating, LLC remits the amount of $43,733.88 annually to the City, payable in monthly installments of $3,644.49. After the assignment, Pollard Aircraft Sales, Inc, will remit the same amount and be subject to the provisions contained within the original agreement. Fort Worth Meacham International Airport is located in COUNCIL DISTRICT 2. FISCAL INFORMATION/CERTIFICATION: The Director of Finance certifies that upon approval of the above recommendation and execution of the lease, funds will be deposited into the Municipal Airport Fund. The Aviation Department (and Financial Management Services) is responsible for the collection and deposit of funds due to the City.
