HomeMy WebLinkAbout060005-A1R3 - General - Contract - Granicus, LLCCSC No. 60005-A1 R3 FIRST AMENDMENT AND THIRD RENEWAL TO FORT WORTH CITY SECRETARY CONTRACT NO. 60005 This First Amendment and Third Renewal is entered into by and between the City of Fort Worth ("City,") a Texas home rule municipality, and Granicus, LLC ("Vendor"). City and Vendor are each individually referred to herein as a "party" and collectively referred to as the "parties." WHEREAS, on August 28, 2023, the City and Vendor entered into City Secretary Contract No. 60005 ("Agreement"), for an initial one-year term with two (2) one-year renewal options in an amount not to exceed $97,306.37 annually; WHEREAS, the current term of the Agreement expires on June 30, 2026 with no remaining renewal options; WHEREAS, on May 12, 2026, the Fort Worth City Council, through Mayor and Council Communication (M&C) No. 26-0403, authorized an amendment to the Agreement to add five (5) additional one-year renewal options in an initial amount not to exceed $104,117.81, with annual increases of up to seven percent (7%) thereafter; WHEREAS, it is now the collective desire of the parties to amend the Agreement to add the authorized renewal options and annual increases as authorized by M&C 26-0403; and WHEREAS, the parties further desire to include pricing in accordance with Exhibit B-1, Granicus Proposal Q- 535075, and to renew the Agreement for the first of the authorized one-year renewal terms. NOW, THEREFORE, the parties, acting herein by the through their duly authorized representatives, enter into the following agreement: I. AMENDMENTS 1. The Agreement is hereby amended to add five (5) one-year renewal options, each a "Renewal Term." The initial amount for the Renewal Term beginning July 1, 2026 and ending June 30, 2027 shall be $104,117.81, with annual increases of up to seven percent (7%) for each subsequent Renewal Term as authorized through M&C 26-0403. 2. The Agreement is hereby amended to include Exhibit B-1, Granicus Proposal Q- 535075, attached hereto to this First Amendment and Third Renewal and incorporated herein for all purposes. DISCUSSION: The purpose of this Mayor and Council Communication (M&C) is to amend City Secretary Contract (CSC) No. 60005 with Granicus, LLC to add five additional one-year renewal options in an annual amount up to $104,117.81, with annual increases of up to seven percent beginning in year five of the agreement. This amendment will allow for the continued use of the Granicus-branded software for the City Secretary's Office. On August 28, 2023, the City executed CSC No. 60005 with Granicus, LLC (Granicus), for the purchase of the Granicus-branded software for the City Secretary's Office in an amount up to $97,306.37 annually, with two (2) one-year renewal options. Software purchased under this agreement includes the Boards and Commissions platform, Government Transparency suite, video streaming platform, and various other platforms used by the City Secretary's Office. The current term of CSC No. 60005 shall expire June 30, 2026 with zero options left to renew. Upon City Council approval, CSC No. 60005 will be amended to add renewal options for the purchase of Granicus-branded software with expected annual subscription fees for years four through six of the agreement as follows. ADMINISTRATIVE CHANGE ORDER: An administrative change order or increase may be made by the City Manager up to the amount allowed by relevant law and the Fort Worth City Code and does not require specific City Council approval as long as sufficient funds have been appropriated. This action does not require specific City Council approval provided that the City Council has appropriated sufficient funds to satisfy the City's obligations during each renewal period.
