A COMMUNITY FACILITIES AGREEMENT
BETWEEN THE CITY OF FORT WORTH AND
DFW BEHAVIORAL HEALTH HOLDCO, LLC
This TERMNATION OF CITY SECRETARY CONTRACT NUMBER 58401
("Termination"), is made and entered into by and between the City of Fort Worth ("City"), a
home -rule municipal corporation of the State of Texas, acting by and through its duly authorized
Assistant City Manager, and DFW Behavioral Health Holdco, LLC ("Developer"), an Arizona
limited liability company, acting by and through its duly authorized representative.
WHEREAS, City and Developer entered into a Community Facilities Agreement for the
construction of public infrastructure Improvements for project known as Behavioral Health North
Addition, City Project Number 104287, City Secretary Contract Number 58401 ("CFA"); and
WHEREAS, after execution of the CFA, Developer did not proceed with construction of
the Improvements; and
WHEREAS, City and Developer desire to terminate the CFA, release Developer's
financial guarantee and refund fees paid minus any costs incurred by the City;
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of
which is hereby acknowledged, City and Developer agree as follows:
City Secretary Contract Number 58401 is hereby terminated.

Upon execution of the CFA, Developer paid to the City $2,250.00 in construction
inspection service fees, $196.00 in administrative material testing fees, and $150.00 in water
testing lab fees (collectively $2,596.00). Upon execution of this Termination, the City will refund
to Developer $1,888.92 in construction inspection service fees, $196.00 in administrative material
testing service fees, and $150.00 in water testing lab fees (for a total refund of $2,234.92). In
addition, upon execution of this Termination, the City will refund to Developer the $17,452.86
cash escrow that was provided to the City as the financial guarantee for the CFA.
