HomeMy WebLinkAbout065246 - Construction-Related - Contract - Alliance Center No. 16, Ltd.CSC No. 65246 PROJECT FUNDING AGREEMENT FOR PEROT FIELD FORT WORTH ALLIANCE AIRPORT TAXIWAY HOTEL EXTENSION — PHASE I THIS AGREEMENT is by and between Alliance Center No. 16, Ltd., a Texas limited partnership ("AC 16") and the City of Fort Worth, hereinafter referred to as "City". WHEREAS, AC 16 and its affiliates own, develop and lease property adjacent to the Airport ("Off -Airport Property") to private tenants; and WHEREAS, the City has received federal grant funds from the sale of Noiselands properties for the extension of Taxiway Hotel at Perot Field Fort Worth Alliance Airport ("Airport"), which will extend Taxiway Hotel to the northeast, allowing for future development and providing access for current and future tenants adjacent to Airport property; and WHEREAS, construction of Phase I of the Taxiway Hotel Extension project ("Project") was awarded to Mario Sinacola & Sons Excavating, Inc. (City Secretary No. 65182, M&C 26-0320); and WHEREAS, AC 16 desires to make a connection to the new Taxiway Hotel extension that will allow for access to the Off -Airport Property as depicted in Exhibit A of this Agreement ("Connection"); and WHEREAS, the Connection is ineligible for Federal Aviation Administration (FAA) Airport Improvement Program grant funding; and WHEREAS, AC 16 desires to fund construction of the Connection in the amount of $421,296.00 (the "Contribution") as depicted in Exhibit B of this Agreement; and WHEREAS, AC 16 has agreed to pay the Contribution, as defined herein, to the City to be incorporated into the Project; NOW THEREFORE, in consideration of the above recitals and the promises and covenants herein, City and AC 16 hereby agree as follows: 1. AC16 will pay the Contribution in the amount of $421,296.00 to the City concurrent with the execution of this Agreement. 2. AC 16's Contribution to the City is the estimated amount of AC 16's obligation for its costs related to construction of the Connection to the Off -Airport Property as depicted in Exhibit A to this Agreement. AC 16 shall pay final actual costs of construction of the Connection. OFFICIAL RECORO CITY SECRETARY 3. FT. WORTH, TX City will use its best reasonable efforts to perform this Agreement without undue delay. Failure to fully construct the Connection will entitle AC 16 to a proportional refund of the Contribution. Project Funding Agreement Page 1 of 6 Taxiway Hotel Extension — Phase I 4. This Agreement shall be binding upon and inure to the benefit of the City and AC 16 and their respective successors and assigns. This Agreement, together with any exhibits attached hereto, constitutes the entire agreement between the parties hereto, and may not be amended except by a writing signed by all parties and dated subsequent to the date hereof. 5.
