THIRD AMENDMENT TO
FORT WORTH CITY SECRETARY CONTRACT NO. 59692
This Third Amendment to Fort Worth City Secretary Contract No. 59692 ("Third
Amendment") is made between the City of Fort Worth ("City"), a municipal corporation and Fort
Worth Convention and Visitors Bureau, a Texas non-profit corporation (d/b/a Visit Fort Worth,
the `Bureau").
WHEREAS, the City and Bureau entered into an Agreement identified as Fort Worth City
Secretary Contract No. 59692 beginning October 1, 2022 (the "Agreement");
WHEREAS, the purposes of the Agreement are for professional services under which the
Bureau markets and promotes the City as a business and leisure destination;
WHEREAS, the Agreement has an initial term beginning on October 1, 2022, and remains
in effect until September 30, 2027 and covers funding for the General Marketing and Promotional
Obligations, the National Public Relations Marketing Fund, Funding for the Specialized Marketing
and Promotional Obligations, Operations of the Fort Worth Herd, Fort Worth Herd Capital
projects, Sports Marketing Fund and the Motion Picture, Film and Television Marketing Fund.;
WHEREAS, the City is in the process of performing major renovations and construction
at the Fort Worth Convention Center (the "FWCC") which will include demolition of the iconic
convention center arena dome (the "FWCC Arena");
WHEREAS, the City desires to host a concluding event (the "Event") at the FWCC to
celebrate and commemorate the FWCC Arena before its demolition;
WHEREAS, the City intends for the Event to promote the City, the FWCC, and is
consistent with the goals of the Agreement and Bureau's role in marketing the City as a destination;
WHEREAS, the parties agree to amend the Agreement to authorize a one-time funding
from the City to the FWCC SPFF in the amount of $100,000.00 to pay for expenses directly
attributable to the Event;
WHEREAS, the Agreement includes a National Public Relations Marketing Fund
('NPRMF") to support public relations activities related to the City's economic development
agenda;
WHEREAS, Section 4.01(v) of the Agreement provides for the City's allocation of up to
$120,000.00 per Fiscal Year for the NPRMF and sets forth related obligations of the City and the
Bureau; and
WH REAS, the City and the Bureau mutually desire to amend the Agreement to remove
the NPRMF, the City's associated funding obligation, and all related duties of the parties related
to the NPRMF.

NOW THEREFORE, known by all these present, the City and the Bureau, acting herein
by the through their duly authorized representatives, agree to the following terms, which amend
the Agreement as follows:
I. AMENDMENTS
The Agreement is hereby amended to authorize an additional single lump sum payment of
$100,000.00 to the FWCC SPFF, as defined in Section 4.02 of the Agreement, in addition to any
amounts remaining from previous fiscal years that has been carried over with the FWCC SPFF,
for the purposes of providing additional funding for the Event and its expenses.
The Agreement is further amended as follows:
1. Section 4.01(v) of the Agreement, entitled "National Public Relations Marketing
Fund," together with subsections (a) through (e), is hereby deleted in its entirety and
shall have no further force or effect.
H. MISCELLANEOUS
All other terms, provisions, conditions, covenants and recitals of the Agreement not
expressly amended herein shall remain in full force and effect. The parties acknowledge and agree
that this Third Amendment modifies only the Agreement between the City and the Bureau.
Finally, the parties acknowledge that the City has historically made monthly payments
toward the NPRMF. The City is not requesting, and the Bureau is not obligated to provide any
refund or return of NPRMF funds previously paid by the City for periods prior to the effective date
of this Third Amendment. All such previously disbursed funds may be retained and used or
reconciled by the Bureau in accordance with the Agreement as it existed prior to this Third
Amendment.
