FIRST AMENDMENT AND THIRD RENEWAL OF
CITY SECRETARY CONTRACT NUMBER 58785
A SERVICE AGREEMENT BETWEEN THE CITY OF FORT WORTH AND
MELTWATER NEWS U.S., INC.
This FIRST AMENDMENT AND THIRD RENEWAL OF CITY SECRETARY
CONTRACT NUMBER 58785 ("First Amendment") is entered into by and between the City of Fort
Worth ("City"), a home rule municipal corporation, acting by and through its duly authorized Assistant
City Manager, and Meltwater News U.S., Inc. ("Vendor"), a Delaware corporation, acting by and through
its duly authorized representative, each individually referred to as a "Party" and collectively referred to
as the "Parties."
WHEREAS, City and Vendor entered into an agreement identified as Fort Worth City Secretary
Contract No. 58785 (the "Agreement"), with the initial term from January 1, 2023 to December 31, 2023;
and
WHEREAS, the Parties previously renewed the Agreement for a two-year renewal term
beginning on December 31, 2024 through December 30, 2026; and
WHEREAS, the Parties desire to renew the Agreement for the Services identified in Exhibit A
for total price of $33,550.00; and
WHEREAS, the Parties desire to renew the Agreement for its third renewal term, to begin on
December 31, 2026 and end on December 30, 2028.
NOW THEREFORE, City and Contractor acting herein by and through their duly authorized
representatives agree to amend and renew and extend the Agreement as follows:
I.
The Agreement is hereby repealed and replaced with Exhibit B of this First Amendment.
II.
The City and Contractor agree to renew and extend the agreement for an additional term beginning
on December 31, 2026 and ending on December 30, 2028, unless terminated earlier in accordance with the
Agreement ("Third Renewal Term").
All other provisions of the Agreement which are not expressly amended herein shall remain in
full force and effect.
IV.
This Amendment may be executed in multiple counterparts, each of which shall be an original
and all of which shall constitute one and the same instrument. A facsimile copy or computer
image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as
an original.

Broadcast National
Monitoring of Broadcast content for one country, United States, within the Meltwater
Platform (including archive functionality).
Newsletter
Design and send branded e-Newsletters from within the Meltwater platform, containing
search results and/or Customer generated content.
Includes access to Meltwater's native in-app newsletter templates, which can be
customized and branded using the platform's built-in editor and styling options.
For Customers who previously received custom XSLT-based newsletter templates built by
Meltwater, those templates may continue to be used as -is within the platform.
However, Meltwater will no longer provide support, edits, updates, or maintenance
for XSLT-based templates. Meltwater may discontinue access to legacy XSLT-based
templates in a future release.
Any changes to newsletter design, layout, or branding must be made using
Meltwater's native in-app templates.
Includes 1 pre -saved Recipient list. Pre -saved Recipient list can include up to 1,000
email addresses of Customer's choice.
Customer is responsible for obtaining any required consent from recipients on the
Recipient list where necessary.
Meltwater may pause newsletter sends if unsubscribe rates trigger spam or deliverability
alerts.
Media Intelligence Essentials L3
Users: Access by up to 10 Authorized Users to the Meltwater platform.
Searches: The ability to save 25 Searches. A "Search" is a string of keywords used to
find matching results from online news or social media sources in the form of
articles or posts. Results are displayed in the Meltwater platform and contain a
hyperlink to the original source article or post.
Sources: Global online news monitoring, and social media content from Facebook,
Instagram, YouTube, X and Blogs.
Dashboards: Create and save unlimited dashboards on the Meltwater platform. Dashboards
are customizable and display analytics and results from saved Searches. Each Dashboard

can be configured and customized using pre -populated templates or widgets from the
widget library. Dashboards can be shared via email or password -protected link.
Alerts: Create and save custom alerts that can be accessed via email, the Meltwater
mobile app, or collaboration tools such as Slack and Microsoft Teams. Alerts types
include (but are not limited to) Daily Digests, Every Mention, Sentiment Shift,
Spike Detection and X Influencers.
Distribution: Links to Search results can be shared via email, or collaboration tools
such as Slack and Microsoft Teams. Customer can also share links to social media
channels. Customer also receives 1 HTML newsfeed for use on Customer's website or
intranet or extranet site containing links to selected news articles or social media posts
(a XML and RSS feed is provided without any additional layout or design).
Mobile: Access to Meltwater app (available in i0S and Android) to view results from saved
Searches, conduct ad hoc Searches and set up customized notifications.
Extras: Natural Language Processing (NLP) sentiment analysis of article sentiment in
selected languages, tagging and translation of Search results.
Support: Technical and Consultative support during normal local business hours,
for the duration of the subscription.
Initial Term and Platform Fee
Meltwater will provide the above Platform subscriptions for the period of time reflected by the
start and end dates below (the "Initial Term").

This Order Confirmation incorporates and is governed by the Meltwater General Terms
and Conditions ("GTC") displayed at https://www.meltwater.com/en/terms-of-
use/northamerica. The Order Confirmation, the Product Documentation displayed at
https://www.meltwater.com/en/product-specific-terms and the GTC are collectively referred
to herein as the "Agreement".
Country
Customer may authorize its Authorized Users who are employed or engaged by Customer in the
following country to use the Platform in accordance with the Agreement: United States.
Special Terms
In the event of conflict or ambiguity between the Special Terms and any other terms in the
Agreement, the Special Terms shall prevail.
Notwithstanding anything to the contrary in this Agreement, Customer shall pay all
invoices within 30 days of the date of invoice.
Notwithstanding anything to the contrary in this Agreement, Customer will pay all invoices in
accordance with the following schedule: annually in equal installments.
The "Agreement" section of this Order Confirmation shall be removed and replaced as
follows: This Order Confirmation incorporates and is governed by the agreement entered
into between the parties on Nov 12, 2024 (the "Current Terms") and the Product
Documentation displayed at https://www.meltwater.com/en/product-specific-terms. This
Order Confirmation, the Product Documentation and the Current Terms are collectively
referred to herein as the "Agreement". In the event of any conflict between the Current
Terms and this Order Confirmation, the terms of this Order Confirmation shall prevail
and fully supersede the conflicting term of the Current Terms.
The company identified in the signature block below ("Customer") hereby agrees that its use of the
Platform is governed by the terms of the Agreement. Any other terms, including those on a purchase
order, in a vendor registration application, or part of an RFP, are considered void and shall have
no force and effect.
This Order Confirmation, and the Agreement, is executed by the duly authorized representative of
each party.
