HomeMy WebLinkAbout025210 - Construction-Related - Contract - Fort Worth Transportation Authority (The T)s ' CITY SECRETARy D �ONTRACT NO. a 5 � � COMMUNITY FACILITIES AGREEMENT BETWEEN THE CITY OF FORT WORTH AND THE FORT WORTH TRANSPORTATION AUTHORITY FOR THE INSTALLATION OF COMMUTER RAIL FACILITIES WHEREAS, Fort Worth Transportation Authority, hereinafter referred to as the "T", a governmental entity located in Tarrant County desires to make certain improvements for the installation of Commuter Rail Facilities in the downtown area of the City of Fort Worth, Texas; and WHEREAS, the City of Fort Worth, hereinafter referred to as "City", a municipal corporation located in Tarrant and Denton Counties, Texas and the City desires to make certain improvements in the area of the Commuter Rail Facilities in the downtown area of the City of Fort Worth, Texas; and WHEREAS, the T has requested the City to do certain work in connection with said improvements, and the City has requested the T to do certain work in connection with said improvements. NOW, THEREFORE, KNOW ALL BY THESE PRESENTS: The T, acting herein by and through John P. Bartosiewicz, its duly authorized General Manager, and the City, acting herein by anc7 through Mike Groomer, its duly authorized Assistant City Manager, for and in consideration of the covenants and agreements herein to be performed, do hereby agree as follows: I. WATER AND SEWER SERVICES A. The T shall award a contract for the facilities described herein in accordance with Texas state statutes prescribing the requirements for the letting of contracts for the construction of public works, and within FTA procurement requirements as specified in the FTA master Agreement, Circular SOl0.1C, and Circular 4220.1D. WATER FACILITIES serve the lots as shown on the attached Exhibit A, and SANITARY SEWER FACILITIES to serve the lots also as shown on the attached Exhibit A all in accordance with plans and specifications to be prepared by private engineers employed by the T and approved by the Water Department. B. The construction cost of the water facilities herein concerned, exclusive of service lines and engineering, is estimated to be ONE HUNDRED SEVENTY-EIGHT THOUSAND EIGHT HUNDRED SEVENTY-THREE Dollars ($178,873). C. The construction cost of the sanitary sewer facilities to be installed hereunder, exclusive of service lines and engineering, is estimated to be FIVE HUNDRED U����O�� ��M�� �0� ���G° °Y �e 11C1VU��u�9 � � m . � THIRTY - FIVE THOUSAND ONE HUNDRED FIFTY — FIVE Dollars �$ 535.1551. D. Subsequent to award of the construction contract by the T but prior to the commencement of construction, the T agrees to pay City a construction inspection fee equal to two (2%) of the T's actual cost share of the construction cost (including all services) of the water and/or sanitary sewer facilities. E. The distribution of estimated construction cost between the City and the T for all water and sanitary sewer facilities to be constructed hereunder is estimated as follows: (1) WATER FACILITIES : Estimated T Cost Mains $ 62,792 (2) SANITARY SEWER FACILITIES: Mains $ 149,131 (3) TOTAL CONSTRUCTION COST: $ 211,923 Estimated City Cost $ 116,081 $ 386,024 Total Cost $ 178,873 $ 535,155 $ 502,105 $ 714,028 (4) CONSTRUCTION INSPECTION FEE : $ 4,239 $ � 10,042 $ 14,281 See Exhibit B for Water Cost Breakdown See Exhibit C�for Sewer Cost Breakdown F. Within a reasonable time after completion of the above referenced facilities to be consiructed by contract awarded by the T, provided all conditions for City participation have been met, the City agrees to pay the T the "Estimated City Cost" set out in E. above; provided, however, that said payment shall be calculated using the actual construction costs and actual service costs under the provisions of the current Fort Worth City Code, (said payment to be calculated as in E. above), based on actual quantities as reflected in the final estimate paid to the Contractor by the T and on the actual records of cost kept by the City as a part of its customary procedures. II. STORM DRAIN IMPROVEMENTS 1. Based upon preliminary engineering design, the storm drainage facilities listed below are required. It is understood that actual sizes, quantities, and costs may vary after detailed engineering is accomplished, and bids are taken. The T agrees to install or have installed, the storm drain system for this proj ect as shown on E�ibit D, attached hereto, in compliance with all applicable City of Fort Worth Rules and Regulations and Construction Standards. Furthermore, The T also agrees as follows: a. To construct all storm drainage facilities and appurtenances to the line and grade established in the final plans. b. To provide sufficient drainage easements for a11 storm drainage facilities outside a public right-of-way. Drainage easements shall be provided along the entire length of the system to include an outfall condition that is acceptable to the City Engineer. A detention pond may be provided in lieu of an adequate outfall with approval by the City Engineer. Drainage easements along a required outfall channel or ditch shall be provided until the flowline "day lights" on natural grade. The minimum grade allowed on an outfall channel or ditch will be 0.2 foot per 100 feet. Drainage easements will generally extend at least twenty-five (25) feet past an outfall headwall to provide an area for maintenance operations. c. To provide a drainage system which is fully functional and readily maintainable. d. To provide for storm flow resulting from a one hundred (100) year frequency storm in accordance with City drainage design criteria. Such flow once contained in a public drainage easement and/or right-of-way shall continue to be retained with public easements or rights-of-way, unless approved by the City Engineer under a strictly controlled set of criteria. Over-flow swales intended to convey "public" storm flow shall be contained in a drainage easement, included in the design plan, and constructed in conjunction with the storm drainage improvements. e. That the storm drain system will be designed to ultimate land use. If stage construction is used, temporary offsite measures can be utilized as development proceeds but must be approved by the City Engineer. These temporary offsite measures must be brought into conformance with ultimate design standards as development proceeds. 3. City shall participate in the cost of the storm drain improvements in the total amount of $200,000, payable at the time the T awards a construction contract. III. TRAFFIC SIGNAL SYSTEMS 1. Based upon preliminary engineering design performed by the City, the Traffic Signal Systems ("Systems") consist of traffic signals and associated signage and striping as shown below. It is understood that actual sizes, quantities and costs of the Systems may vary during the course of detailed engineering and construction from that which is described below. Description of the Work City agrees to design and install the Systems as shown in Exhibit E attached hereto, at the following locations: • E. 8�' Street (a two way street) at its intersection with Jones Street (a one way street • E. 8`h Street (a two way street east of Calhoun and a one way street west of Calhoun) at its intersection with Calhoun Street (a one way street) • E. 9th Street (a two way street) at its intersection with Jones Street (a one way street) 3. The work may be accomplished with City forces or by contract, as deternuned by City in its sole discretion. 4. Upon construction of the Systems, City agrees to furnish to The T a comprehensive detailed invoice of the design and construction costs. 5. The T agrees to reimburse City for the actual costs incurred by the City, such reimbursement not to exceed $120,000. IV. STREET Due to the redesign of the Intermodal Transportation Center, the extent of street improvements related to the project is undetermined at this time. The T commits to fund the street improvements generated by the proj ect at a point in time that the extent of the required improvements is known. The T further agrees that as site improvements are constructed, necessary frontage improvements including curb, gutter, driveways, and sidewalks will be incorporated into the construction. V. STREETLIGHTS As street improvements are constructed, the T agrees to install necessary streetlights. The cost of the streetlights is estimated to be $3,500. VI. GENERAL CONDITIONS 1. The T shall pay a construction inspection and materials testing fee in the amount of two percent (2%) cost of the storm drainage construction, payable within ten (10) days from the date of approval of this contract by the City Council of the City. 2. The City requires that certain of the improvements described herein are required and necessary for the Commuter Rail Facilities construction. The T acknowledges that it has complied with Article 104.100 of Ordinance 7234 and hereby relieves the City of any responsibilities for any inadequacies in preliminary plans and cost estimates supplied for the purpose of this contract and further agrees that it will comply with the Subdivision Ordinance, City Plan Commission Rules and Regulations, and Policy for Installation of Community Facilities and all applicable policies, rules, regulations and ordinances of the City regarding development. 4. The City agrees and understands that the T is a grantee of FTA and any third party contractor, the City in this case, must comply with necessary federal regulations and rules as it relates solely to the design and installation of the Traffic Signal Systems. 5. The T agrees to install or cause to have installed, the storm drain facilities improvements shown on the attached Exhibits B in accordance with plans and specifications prepared by The T's engineer and approved by the City Engineer. 6. City will use its best efforts to cause any utility company with facilities requiring adjustment to be accomplished by and at the expense of the utility company. In the event City is unsuccessful in causing the utilities to be relocated, the T agrees to install, adjust or cause to be installed or adjusted, all of the required utilities to serve the development. Prior to construction, the T will provide the City a list of all utilities that will require relocating, along with assurance that no conflicting street construction will take place until the utility relocation has been completed. 7. The City agrees to install or cause to have installed, the Traffic Signal System shown on the attached Exhibit C in accordance with plans and specifications prepared by the appropriate City department. 8. The T hereby agrees and binds itself to provide all necessary right-of-ways and/or easements required to construct the street improvements including any drainage outfall, in- lengths, widths, and locations as approved by the City Engineer. 9. The T agrees to submit plans and specifications prepared by an approved professional engineer, registered in the State of Texas, proficient in civil engineering, for the improvements required under this agreement. Such plans shall be in compliance with the policies, ordinances, and rules of the City of Fort Worth, and are subject to approval by the City Engineer. After said plans are approved as witnessed by the signatures of the City Engineer and of the Deputy Director of the Water Department, the T's Engineer shall provide the City one (1) set of reproducible approved plans, plotted x-sections, and specifications; and nineteen (19) copies of the plans and eight (8) sets of the specifications and contract documents (four (4) unexecuted, 2 executed and 2 conformed sets). Additional sets of plans and/or specifications may be required for other departments and/or agencies depending on the project. The T agrees to complete the improvements covered by this agreement within 365 calendar days after having been instructed to do so, in writing, by the Director of Transportation and Public Works and/or the Director of the Water Department. It is understood that The T will initiate the construction of all improvements to conform to its own schedule. 11. The T agrees that all improvements to be constructed hereunder will be subject to inspection and approval by the City Engineer, and will require any contractor involved in any earthwork within any future public right-of-way, to notify the Department of Engineering, Construction Services Division, before any work takes place and to require all earthwork to be done in accordance with the City of Fort Worth Standard Specifications to the satisfaction and approval of the City Engineer or his representative. The T also agrees that no construction shall begin prior to the City Council's approval of this Community Facilities Agreement in accordance with Section 104.100 of City Ordinance No.7234. 12. The City's participation in the costs shall be as shown in Section I(Water and Sewer Services), Section II (Storm Drainage Improvements), and Section III (Traffic Signalization Revisions) of this agreement. In no event shall the City be liable to the T for any payments in excess of the City's estimated participation unless and until there is separate and formal approval by the City Council to pay such excess amount. 13. The setting of line and grade stakes for streets and storm drains shall be the responsibility of the T. Following the setting of line and grade by a private surveyor hired by The T, the contractor shall give 24-hour notice to the Construction Engineer so that inspection personnel will be available. No work shall begin until the assigned inspector is present and gives his consent to proceed; however, in the event the inspector does not arrange for the work to � proceed within 24 hours after notice has been given, the contractor shall� be entitled to begin work. 14. Approval by the City Engineer shall not constitute or be deemed to be a release of the responsibility and liability of The T, its engineer, employees, and agents for the accuracy and competency of their designs and specifcations. Such approval shall not be deemed to be an assumption of such responsibility and liability by the City for any defect in the designs and specifications prepared by the consulting engineer, his agents and employees, it being the intent of the parties that approval by the City Engineer signifies the City's approval on only the general design concept of the improvements to be constructed. In this connection and in so far as permitted by law, The T shall for a period of five (5) years after the acceptance by the City of the completed construction project indemnify and hold the City and all of its officers, agents, servants and employees harmless from any loss, damage, liability or expense, on account of damage to property and injuries, including death, to all persons which may arise out of any defect, deficiency or negligence of the engineer's designs and specifications incorporated into any improvements COMMUrTITY FACILITIES AGREEMENT FORT WORTH TRANSPORTATION AUTHORITY COMMUTER RAIL FACILITIES Page 6 of 9 constructed in accordance therewith, and The T shall defend at its own expense any suits or other proceedings brought against the City and its officers, agents, servants and employees, or any of them on account thereof, to pay a11 expenses and satisfy all judgments which may be incurred by or rendered against them or any of them in connection therewith. Nothing contained herein shall be construed so as to require The T to levy, assess and collect any tax to fund its obligations under this paragraph. 15. To the extent pernutted by law, the City agrees to, and does by these presents fully indemnify, defend and hold harmless the T, its officers, servants and employees from and against any and all claims, suits, or causes of action of any nature whatsoever, brought for or on account of any injuries or damages to person or properiy, including death, arising out of or in connection with the construction of the Traffic Signal System for which the City is responsible for under this agreement. Nothing contained herein sha11 require the City to assess, levy or collect any ta�c to fund this indemnification provision. 16. Prior to beginning any work, the T agrees to certify in writing that it has appropriated sufficient funds to pay its contractor(s) for all work to be performed. 17. On all facilities included in this agreement for which The T awards its own construction contract, it agrees to the following procedures: a) The construction contract must be advertised, bid and awarded in accordance with State statutes and federal rules and regulations and the procurement policies of the T for the letting of contracts for the construction of public work. b) To employ a construction contractor who is approved by the Director of the Department having jurisdiction over the facility to be so constructed, said contractor to meet City's requirements for being insured, licensed and bonded to do work in public streets. c) To require the contractor to furnish to the T payment, performance and maintenance bonds in the name of the T with the City as successor obligee for one hundred percent (100%) of the contract price of the improvements to be constructed by the T, said bonds to be furnished before work is to commence. In the event that the construction had commenced and the T had abandoned the project, the City would succeed as the obligee. The T further shall require the contractor to provide public liability insurance in the amounts required by the City's specifications covering that particular work. d) To give 48 hours notice to the department having jurisdiction of intent to commence construction of the facility so that City inspection personnel will be COMMUAIITY FACILTTIES AGREEMENT FORT WORTH TRANSPORTATION AUTHORITY COMMUTER RAIL FACILITIES Page 7 of 9 � available; and to require the contractor to allow the construction to be subject to inspection at any and all times by City inspection forces, and not to install any sanitary sewer, storm drain, or water pipe unless a responsible City inspector is present and gives his consent to proceed, and to make such laboratory tests of materials being used as may be required by the City. e) To secure approval by the director of the deparirnent having jurisdiction of any partial and final payment to the contractor. Said approval shall be forthcoming from the relevant director within 48 hours after receipt of request for any payment and shall be subject to and in accordance with the requirements of this agreement. Such shall not constitute approval of the quantities of which payment is based. fl To delay connections of buildings to service lines of sewer and water mains constructed under this contract until said sewer and water mains and service lines have been completed to the satisfaction of the Water Depariment. 17. The attached E�chibits A, B, and C, and Location and Vicinity Map are made a part hereof for all intents and purposes. 18. Venue of any action brought hereunder shall be in Fort Worth, Tarrant County, Texas. 19. City's Policy for the Installation of Community Facilities, as adopted by the City Council on September 1992, is hereby incorporated herein by reference, and the T covenants and agrees to comply with said Policy, as pernutted by law, as a condition of this contract and as a condition to the platting of the subj ect property. DISCUSSION: Fort Worth Transportation Authority, hereinafter referred to as "The T", desires to make certain improvements for the installation of Commuter Rail Facilities in the downtown area of the City of Fort Worth, Texas. This Community Facilities Agreement is in compliance with standard City development participation policy. The improvements covered under this agreement include water, sewer, storm drainage, street lights and traffic signals.
