("EFFW"). WHEREAS, Fort Worth and EFFW entered into a Master Services Agreement identified as Fort Worth City Secretary Contract No. 61043 (the "Agreement"); WHEREAS, the parties agree to amend the scope of work of the Agreement to allow EFFW to purchase newly designed equine stall panels, gates, and storage racks for the WRMC; and WHEREAS, the additional scope of work will increase the total value of the contract sum due EFFW in accordance with the Agreement, with the City reimbursing EFFW for the actual project costs, but with no additional management fee or compensation to EFFW for these services as reflected in Attachment B. NOW THEREFORE, known by all these present, Fort Worth and EFFW, acting herein by and through their duly authorized representatives, agree to the following terms, which amend the Agreement as follows: 1. The Agreement is hereby amended by adding the scope of work detailed on Attachment A, attached hereto, to Exhibit A of the Agreement. 2. The Agreement is hereby amended by adding the budget detailed on Attachment B, attached hereto, to Exhibit B of the Agreement 3. All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect. WORTH, TX Third Amendment to Master Services Agreement Page 2 of 4 ATTACHMENT A: Proiect Scope The Third Amendment to the Master Services Agreement made between the City of Fort Worth and Event Facilities Fort Worth, Inc. authorizes EFFW to use funds identified in the total project budget of ARPA WRMC Stall Panel Replace (CPN 104397) to purchase newly designed equine stall panels, gates, and storage racks. For clarity, EFFW will make a good faith effort to procure the stalls in the quantities provided within the timeframe and the budget, but will not be responsible for any delays or cost overruns related to the project. Further, the City's self-insurance program will provide all necessary insurance coverages related to the project. This is assumed to be minimal as the stalls will be procured FBO WRMC. The Fort Worth City Council approved M&C 23-0792, appropriating $32,000,000.00 related to the capital replacement of mechanical, electrical, and plumbing systems across the WRMC complex, as well as investments in furniture, fixtures, and equipment that will better enable the WRMC complex to serve its customers. The Burnett Building at the Will Rogers Memorial Center was originally constructed in 1988. The building is approximately 175,400 square feet and is mostly comprised of horse stall areas. The project will replace approximately 1,000 equine stalls; designed to be lightweight and more durable and provide greater protection to livestock and personnel with power distribution conduits made into the panels. Additionally, the project calls for rerouting the power distribution network, repairing and replacing water and sewer lines, and resurfacing the flooring. Within the Total Project Budget of $8,385,637.91, the line item for equine stalls, gates, and storage racks is $2,300,000.00. The estimated cost for procurement and delivery of the equine stalls, gates, and racks is approximately $2,198,278.88 (see Attachment B). No additional transportation or storage requirments have been identified at this time. According to Priefert's current manufacturing schedule, the first 300 stalls are scheduled for delivery to WRMC mid -March 2025 with the remaining 700 stalls, gates, and racks scheduled for delivery by June 2025.
