HomeMy WebLinkAbout061043-A5 - General - Contract - Event Facilities Fort Worth, Inc.CSC No. 61043-A5 FIFTH AMENDMENT TO MASTER SERVICES AGREEMENT (CSC# 61043) This Fifth Amendment to Master Services Agreement ("Fifth Amendment") is made between the City of Fort Worth ("Fort Worth") and Event Facilities Fort Worth, Inc. ("EFFW") WHEREAS, Fort Worth and EFFW entered into a Master Services Agreement identified as Fort Worth City Secretary Contract No. 61043, which has been previously amended by First Amendment to Master Services Agreement, Second Amendment to Master Services Agreement, Third Amendment to Master Services Agreement, and Fourth Amendment to Master Services Agreement (collectively, the "Agreement"). WHEREAS, the parties agree to amend the scope of work of the Agreement to allow EFFW to purchase golf carts manufactured in various configurations, utility vehicles, associated driver and patron/animal protection attachments, and other transportation assets for the WRMC; and WHEREAS, the additional scope of work will increase the total value of the contract sum due EFFW in accordance with the Agreement, with the City reimbursing EFFW for the actual project costs, but with no additional management fee or compensation to EFFW for these services as reflected in Attachment B. NOW THEREFORE, for good and valuable consideration, Fort Worth and EFFW, acting herein by and through their duly authorized representatives, agree to amend the Agreement as follows: 1. The Agreement is hereby amended by adding the scope of work detailed on Attachment A, attached hereto, to Exhibit A of the Agreement. 2. The Agreement is hereby amended by adding the budget detailed on Attachment B, attached hereto, to Exhibit B of the Agreement. 3. All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect. WORTH, TX Fifth Amendment to Master Services Agreement Page 2 of 10 ATTACHMENT A: Project Scope The Master Services Agreement, signed and enacted on April 2024, authorizes EFFW to use funds identified in the total project budget of Transportation Enhancement (CPN 105619) to purchase carts manufactured in various configurations, utility vehicles and other transportation assets. The current inventory does not meet the requirements for adequate support for maintenance calls and personnel transportation requirements throughout the 120-acre campus. Authorizing this amendment will save the total project budget money and increase responsiveness to facility -wide maintenance and personnel transportation issues. The total project budget for this request is $275,000.00 and is currently funded through Transportation Enhancement (CPN 105619) project. For clarity, EFFW will make a good faith effort to procure these transportation assets in the quantities provided within the timeframe and the budget, but will not be responsible for any delays or cost overruns related to the project. The purchase of carts, manufactured in various configurations, and utility vehicles for the Will Rogers Memorial Complex (WRMC) is necessary to enhance operational efficiency, improve visitor experience, and ensure the safety of staff, volunteers, and patrons during events and day- to-day operations. The current methods of transportation across the complex are inadequate for the scale and range of activities hosted at WRMC. With over 250 events annually and a 90%+ utilization rate, including rodeos, conventions, and community activities, there is an increasing need for more efficient and reliable means of transportation to service the 120 acres and 17 buildings within the facility. 1. Efficiency and Operations Support: Currently, staff and event personnel face challenges in transporting supplies, equipment, and personnel across this vast complex in a timely and efficient manner. The carts and utility vehicles are ideal for transporting materials, equipment, and staff members, particularly in congested areas where larger vehicles are impractical. The acquisition of these vehicles will allow for faster set- up, breakdown, and coordination of events, ensuring that operations run smoothly and safely. The transportation assets will be titled to the City of Fort Worth (Public Events) and will be covered by the City's self-insurance program. The City of Fort Worth and Fleet Maintenance will provide the operator and higher level maintenance requirements. 2. Enhanced Visitor Experience: The various carts will also be used to provide convenient shuttle services for visitors, especially for those with mobility challenges as well as staff and VIPs. These carts can assist in reducing wait times and enhance accessibility for attendees, improving their overall experience during large events or busy days. For guests, especially those visiting the complex for the first time or attending large-scale events, easy access to different parts of the venue through convenient and accessible transportation is crucial. 3. Cost -Effective Solution: Purchasing the carts and utility vehicles will ultimately reduce the reliance on third -party transportation services or the need for staff to rely on personal vehicles to perform essential tasks. This will lead to cost savings on transportation, labor, and vehicle maintenance over time. Furthermore, these vehicles have relatively low operational and maintenance costs compared to Fifth Amendment to Master Services Agreement Page 3 of 10 larger, more traditional vehicles, ensuring that funds are allocated efficiently. Fleet Maintenance currently services various configurations of carts and utility vehicles. 4. Environmental Sustainability: The carts, particularly electric models, are environmentally friendly alternatives to fuel -powered vehicles. These vehicles produce zero emissions and are quieter, reducing the carbon footprint of the Will Rogers Memorial Complex. By adopting green technologies in line with Fort Worth's sustainability goals, WRMC will be contributing positively to the community and environment. 5. Safety and Security: The safe operation of events at WRMC requires staff members to move swiftly between locations to address any security or emergency needs. Utility vehicles and carts are crucial for ensuring that staff can navigate quickly and respond to any issues in a timely manner. In addition, these vehicles provide a safer alternative to walking long distances across the complex, particularly during busy events when large crowds are present. Public Events currently has real-time tracking tags on all wheeled -assets and is constantly visible to leadership and security. Additionally the Safety Committee has produced a Public Events Cart and Utility Standards of Operational Procedures (SOP). The purchase of carts and utility vehicles will significantly improve operational efficiency, accessibility, and safety at the Will Rogers Memorial Complex. These vehicles will allow WRMC to better serve its visitors and staff, enhance the event experience, and maintain high standards of safety, while also contributing to the facility's commitment to sustainability. The investment in these vehicles is not only essential for improving daily operations but also for ensuring that WRMC remains a premier destination for both local and out-of-town guests.
