HomeMy WebLinkAbout025282 - General - Contract - Secretary of State� CITY SECRETARY CONTRACT NO . aS °2��' SECRETARY OF STATE DIRECT ACCESS SYSTEM UTII.IZATION AGREEMENT (Government Account) 1.1 ESTABLISffiV�NT OF DEPOSIT ACCOUNT The undersigned person desires to subscribe to the Secretary of State Direct Access System to obtain access to data stored in the Secretary of State mainframe. Accordingly, the subscriber hereby supplies a praperly ezecuted purchase order or blanket purchase agreement which is attached hereto. 1.2 APPLICABLE CHARGES The subscriber understands and agrees that t6e charge will be $5.00 for each searc6 of the UCC records by secured party name nud $1.00 for nny other search of the system end that this charge may be amended by the Secretary of State. This charge will be recorded to the subscriber's account each time the subscriber requests a name or number search on the system. A name or A number sexrch is performed whenever an entity name, assumed name, file number of taapayer number is entered onto the system and transmitted to produce search results. A charge is not incurred when s► menu selection is made and no name or number is entered for searching. The subscriber is charged when a name or number search is entered but the resulting search finds no matching name or number. 1.3 USAGE REPORTS The subscriber understands thsit the Secretary of State Direct Access System will show the account balance when t6e subscriber signs on to the system, will show the account balance when t6e subscriber signs oti t6e system, and will produce a monthly utilization statement which will 6e mailed to the subscriber on a monthly basis. ���7� 1�_ � All deposits swd payments should be mailed or delivered to the Financial Management Section, Support Services Divison, Oflice of the Secretary of State, P. O. Boa 12887, Austin, Teaas 78711-2887. The account number of the sut►scriber should be idendfied on all deposits and payments so that it may be properly credited to the subscriber's account 1.5 RESTRICTIONS ON USE The subscriber understands that the charges for a governmental user are less than those accessed commercial users. Accordingly, the subscriber agrees that usage of the system will be limit e subscriber using the system for governmental purposes. �����Q�� G1[��,�,''iJ°2� ��� ��'C °��Q�I � ������I�. �[�� 2.1 SEC[TRI7'Y Each subscriber is prnte�ted by three passwords for security purposes. The Secretary of State will issue on password to Allow access to the host computer when the deposit agreement is processed for the new account The subscriber enters swd maintains the other two passwords avnilAble on the system. One of the passwords is u►tended for general computer inquiries performed by the user departments of the subscriber. The users At this level can only supply the password to the system for identificxtion purposes sind do not have capabilities to change the value of t6e password. The second password is intended to be used by the management stati of the organization to change the general usage password As well as the management password on A periodic basis. The subscriber understs�nds that the computer system password received or devised by the subscriber is confidential �nd that the password should not be disclosed to any unauthorized person. The subscriber Agrees not to Attempt to circumvent the computer security system by using or attempting to use stny trunsAction, sotiwnre, t'iles or resources that t6e subscriber is not s�uthorized to use. The subscrib�r understands that the use af a password not issued speciticaIly to the subscriber or to a group of which the subscriber is A member is ezprecsly prohibited. 2.2 DE5IGNATiON OF A SECURITY t�rri�,r.Yc Each subscriber will designate a security officer. S�id security otiicer will be allowed access to the security system for the limited purpose of changing the password aud/or t6e management passward for the Account at siny time the system is Avuilable. The security of�icer must use the management password to have this security clearanc� It is the responsibility of the security officer to disseminate t6e values of the two passwords to the appropriate parties. In the event th�t the subscriber operAtes in more than one o�ce, city or state, the security officer must contact the other o�ces stnd inform the staff of the new general user password. 2.3 BREACH OF COb.� � l�Y. SECURITY The subscriber understAnds that the conduct simounting to a breach of computer security as prnvided in Section 33.OZ of the TEXA5 PENAL CODE is A Class A misdemeanor. The subscriber agrees to indemnify the state for any loss caused by conduct by the subscriber or an employee or Agent of the subscriber which simounts to st breaeh of computer security. 3.1 ACCESSIBLE DATA The subscriber will be allowed to inquire into the following datafiles maintained by the Secretary of State: Corpors�tious L'united Partnerships Limited Liability Companies. Actual usage of the datafiles w�l constitute A requ�st and nn agreement to access the new files under the same terms And conditions provided herein. 3.2 USER MANUAL AND TRAINING The subscriber will be provided with written instructions on usage of the system. If the subscriber requests training on usage of the system, the Secxetary of State w� make an emptoyee aysu�able for conducting trsiining courses At the Secretary af State offices in Austin, Tezas during normal business Lours. Special s�rrangements sind payment of travel ezpenses must 6e made for any on-site trAiniug nceds. � 3.3 HOURS OF UPERATION The Secretary of State Direct Acc.ess System will normaIly be ava�lable from 7:00 am to 8:00 pm on Monday through Thuisday, swd 7:00 sum to 6:00 pm Friday. The system wilt not be available on state holidays when the Otiice is clased.. Boz 13697 Austin, Tezas 78711-3697 (512) 475-2755 4.1 TECffivICAL ASSISTANCE Upon request, the Secretary of State witl provide each subscriber with st list of equipment which can be utilized with the Secretary of State Airect Access System. The Secretary of State will not provide assist�nce in the installztion, operation, smd r�pair of equipment purchased or utilized by the subscriber. 4.2 TELECOMMUIVICATIONS The 5ecretary of State will provide each customer with a telephone number which can be used to access the system. Dial-up eustomers will share telephone lines instalied and operating on a rotary basis. Leased line customers must pay for the cost of the leased line as well as any telecommunication or long distance charges incurred �ts a result of Accessing the Secretary of State Direct Access System. 5.1 AUTHORIZATION The Secretary of State is offering the Secretary of State Direct Access System in accordance with TEX.GOV.CODE 405.01�. 5.2 AGREEMENT Any subscriber may withdrxw from the system at Any time by giving the Secretary of State notice of the withdrawal And/or requesting a refund of the deposit account Unless otherwise provided, this Agreement mAy be stmended At swy time by the Secretary of State 6y giving a subscriber ten days written notice.
