(IGI) AND FORT WORTH POLICE DEPARTMENT SUBJECT: Memorandum of Understanding (MOU) for Operational Support from Implicit Good, Inc. (IGI) 1. BACKGROUND: The purpose of this MOU is to memorialize a new agreement between the Fort Worth Police Department (hereinafter referred to as "Law Enforcement Agency" or "LEA" or "FWPD") and Implicit Good, Inc. (hereinafter referred to as "IGI"). When referred to collectively, IGI and the City of Fort Worth are referred to as the "Parties". This MOU sets forth the agreed terms and conditions of support to the LEA by the IGIIGI will provide open -source intelligence (OSINT) when requested in furtherance of the LEA public safety mission It is understood among the parties to this agreement that requests for IGI support may include federal, state, local, and tribal cooperative law enforcement efforts in furtherance of the FWPD Fusion Unit mission. 2. PURPOSE: The purpose of this MOU is to memorialize the agreement between the parties wherein IGI will provide operational support for FWPD's public safety mission. 3. EFFECTIVE DATE: This MOU takes effect beginning on the day after both parties have signed. 4. EXPIRATION DATE: This MOU expires on January 1, 2029 ("Expiration Date") 5. PLANNED DEPLOYMENT OF PERSONNEL: IGI is not a LEA and IGI personnel are not law enforcement officers. 6. PERSONNEL: Each Party is responsible for all costs of its personnel, including pay and benefits, support, and travel. Each Party is responsible for the supervision and management of its personnel. 7. PROCEDURES: It is understood by both parties to this agreement that IGI personnel are not sworn police officers, and IGI personnel assigned to the LEA serve in a non - sworn support role. 8. SCOPE OF OPERATIONS: Any involvement of IGI in support of a LEA will be in response to a request for support. OFFICIAL RECORD CITY SECRETARY FT. Nothing in this MOU is intended to make any commitment of the LEA's funds or resources. 10. RIGHT TO AUDIT: IGI agrees that LEA will, until the expiration of three (3) years after final payment under this MOU, or the final conclusion of any audit commenced during the said three years, have access to and the right to examine at reasonable times any directly pertinent books, documents, papers and records, including, but not limited to, all electronic records, of IGI involving transactions relating to this MOU at no additional cost to the LEA. IGI agrees that the LEA will have access during normal working hours to all necessary IGI facilities and will be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this section. IGI will give LEA reasonable advance notice of intended audits. 11. RENEGOTIATION/MODIFICATION: This MOU may be altered or otherwise modified, if done in writing through mutual written consent from IGI and the LEA. Agreements must be renegotiated when laws, regulations, and/or support requirements change in such a manner that the agreement cannot be executed. 12. TRANSFERABILITY: This MOU is not transferable except with the written consent of the Parties. 13. TERMINATION: This MOU will remain in effect until otherwise rescinded or revoked by either party, or otherwise upon Expiration Date. Either IGI or LEA may terminate this MOU at any time by written notification to the other party. 14. JURISDICTION: This MOU will be construed in accordance with the laws of the State of Texas. If any action, whether real or asserted, at law or in equity, is brought pursuant to this MOU, venue for such action will lie in state courts located in Tarrant County, Texas, or the United States District Court for the Northern District of Texas, Fort Worth Division. 15. GOVERNMENTAL POWERS: It is understood and agreed that by execution of this MOU, the LEA does not waive or surrender any of its governmental powers or immunities. 16.
