SECOND AMENDMENT
TO CITY SECRETARY CONTRACT NO. 58164
This Second Amendment to the Agreement is executed by and between the City of Fort
Worth (hereafter "City"), and CJ Hensch & Associates, Inc. (hereafter "Vendor"). City and
Vendor are each individually referred to herein as a "Party" and collectively as the "Parties."
WHEREAS, on September 27, 2022 the Parties entered into City Secretary Contract No.
58164 to purchase traffic movement counts and field data collection services ("Agreement");
WHEREAS, the Agreement provides renewal options based on a specific expiration date;
and
WHEREAS, the Agreement, has been renewed two times and amended once; and
WHEREAS, the Agreement was renewed for athirdterm on March 17, 2025 which recited
a beginning date for the renewal term of July 24, 2025; and
WHEREAS, the Agreement is managed on a task order basis as needs arise based on
citizen concerns or other identified needs and staff has received requests for more tasks than
current funding under the 2nd Renewal allows; and
WHEREAS, in order to continue the task orders as requested, the Parties wish to amend
the Agreement to modify the date -based renewal terms to that consistent with the expenditure of
funds.
NOW, THEREFORE, the Parties, acting herein by the through their duly authorized
representatives, enter into the following agreement which amends the Agreement, as renewed:

AGREEMENT
Paragraph 2. Term, of the Agreement is hereby amended to strike the date based renewal
term to be replaced with aterm based on the expenditure or progrmuning of finds.

3rd RENEWAL
The 3rd Renewal, executed and effective on March 17, 2025, contains a date -based renewal
term which is hereby amended to comply with the amended term as recited above.

ALL OTHER TERMS SHALL REMAIN THE SAME
All other provisions of the Agreement, as amended, which are not expressly amended
herein shall remain in full force and effect.
4.
ELECTRONIC SIGNATURE
This Amendment may be executed in multiple counterparts, each of which shall be
an original and all of which shall constitute one and the same instrument. A facsimile copy
or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall
have the same effect as anoriginal.
