Home My WebLink About047136-R1R2 - General - Contract - T-Mobile West LLCCSC No. 47136-R1 R2 This FIRST AND SECOND RENEWAL OF CITY SECRETARY CONTRACT NO. 47136 ("Renewal") is made and entered into by and between the CITY OF FORT WORTH, Texas, a Texas home rule municipal corporation ("Licensor'') under the State of Texas, acting by and through its duly authorized Assistant City Manager and T-Mobile West LLC ("Licensee"), a Delaware limited liability company, each individually referred to as a "party" and collectively referred to as the "parties" . RECITALS The following statements are true and correct and form the basis of this Agreement. WHEREAS, on or about October 16, 2015 the parties entered into City Secretary Contract ("CSC") No. 47136, a Communication Tower License Agreement for the use of space on the Licensor's Tower located at 7400 Trail Lake Drive, Fort Worth, Texas (the "Agreement"); WHEREAS, the Agreement initially provided for a five (5) year initial term with two (2) five-year options to renew; WHEREAS, the parties are currently ready to execute the second and final five-year option to renew under the Agreement ("Second Renewal"); WHEREAS, through the process of getting the Second Renewal prepared, both parties discovered the formal renewal documents for the first renewal option under the Agreement ("First Renewal") were never executed; WHEREAS, the parties operated as if the First Renewal had been executed, knowing it was both parties' intention to do so with the Licensee paying for the use of the space during that time and the Licensor making the space available on the Tower; WHEREAS, the parties would now like to memorialize the agreement between the parties back in 2020 when the parties entered into the First Renewal and would also like to formally execute the Second Renewal as permitted under the Agreement. NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, Licensor and Licensee hereby agree as follows: 1. Licensor and Licensee memorialize the agreement made in October of 2020 between the parties to renew and extend the Agreement for the First Renewal Term. 2. The parties agree to enter into the Second Renewal term as permitted under the Agreement to begin on October I, 2025 and end on September 30, 2030. All other terms and conditions of the Agreement shall remain in full force and effect and are incorporated herein as if herein fully recited. 4. The statements set forth in the recitals above are true and correct and form the basis upon which Licensor and Licensee have entered into this Renewal. The Agreement is a public document on file in Licensor's City Secretary's Office and is incorporated herein by reference for all purposes. DISCUSSION: T-Mobile West LLC (T-Mobile), currently has Personal Communications Systems (PCS) installed on four City of Fort Worth (City) water towers. T-Mobile has requested to continue using the space for its PCS at the following locations: 7400 Trail Lake Drive, 4260 Strong Avenue, 3213 North West 27th Street, and 6600 Calmont Street. The City is requiring T-Mobile to execute Communications Tower License Agreements in order for T-Mobile to continue using the City's water towers. The Communications Tower License Agreements may be renewed for two consecutive terms of five years each. Under the terms of the Agreements, T-Mobile will make annual payments consisting of a base fee for the first antenna with an additional fee for each subsequent antenna calculated at 10 percent of the base fee. The total fee increases by three percent each October 1. This project is located in COUNCIL DISTRICTS 2,3 and 5. FISCAL INFORMATION/CERTIFICATION: The Financial Management Services Director certifies that the Water Department will be responsible for the collection of revenue associated with these Agreements, which is estimated to be $257,000.00 on an annual basis.
