MEMORANDUM OF UNDERSTANDING
BETWEEN
THE CITY OF FORT WORTH
AND
TERRA/CHADWICK, LTD.
FOR
ANNEXATION, ZONING, AND PLATTING
OF
LAKES OF BROOKSTONE
This Memorandum of Understanding ("Memorandum") is made as of the 31St day of
August, 1999 by the City of Fort Worth, Texas ("City") and Terra/Chadwick, Ltd.
("Developer").
WHEREAS, Developer is the prospective owner of certain real property (the "ProjecY')
commonly known as the "Lakes of Brookstone" which consists of approximately 281.796 acres
and which is more particularly described in Exhibit A attached hereto; and
WHEREAS, Developer desires that the Project be annexed into the boundaries of City
and be developed into a single-family residential community; and
WHEREAS, because of the location of the Project near the Texas Motor Speedway and
other attributes of the Project, City has a substantial interest in the development of the Project;
and
WHEREAS, development of the Project, pursuant to terms of this Memorandum, as a
single-family residential community will create a valuable addition to City, will enhance the tax
base of City, is in the best interest of the public, and will otherwise benefit City; and
WHEREAS, this Memorandum was approved on August 31, 1999 by the Fort Worth
Mayor and Council Cornmunication C-17628;
NOW, THEREFORE, City and Developer agree as follows:
1. PLATTING
(a) Approximately 80.873 acres of the Project is the subject of an existing
subdivision plat for Brookstone I, an addition in the County of Denton, recorded in Cabinet E,
Slides 356, 357, and 358, and a Replat of Lots 14, and 15, recorded in Cabinet F, Slide 171. The
balance of the Project has not been platted.

(b) Pursuant to Chapter 212A of the Texas Local Government Code,
Developer will make application for approval by the Plan Commission of, and City staff wi11
recommend approval of, the following:
(i) approval to vacate the existing plat; and
(ii) approval of a new subdivision plat (the "New Plat") with a layout
substantially in accordance with the preliminary Master Plan attached hereto as Eachibit B
and in conformance the Subdivision Ordinance and Plan Commission Rules arid
Regulations (except as modified herein).
(c) PBS&J has studied City's need for right-of-way for construction of future
Eagle Parkway. Attached as Exhibit C is a schematic prepared by PBS&J depicting existing
easements with a street aligrunent imposed. The PBS&J schematic is acknowledged to be
acceptable to both City staff and Developer. Further, the New Plat will provide for dedication of
right-of-way for Henrietta Creek Rd., as shown on the Site Plan, and for Eagle Parkway, as
shown on the schematic and the Site Plan.
(d) City staff will recommend to the City Council Developer wi11 have no
obligation to construct or pay any pro rata share for construction of Eagle Parkway.
(e) In connection with approval of the New Plat, Developer agrees (and City
staff will recommend) that City and Developer enter into a Community Facilities Agreement
whereby�Developer will make certain subdivision improvements as described in Section 3.of this
Memorandum. �
2. REPAIRS OF SUBDIVISION IMPROVEMENTS; CITY ACCEPTANCE
(a) City staff and Developer have agreed that subdivision improvements
descr,ibed below are required of Developer, at Developer's sole expense, prior to acceptance of
dedication/maintenance of subdivision infrastructure by City:
(i) Water and sanitary sewer lines will be repaired substantially in
accordance with the Memo dated June 22, 1999 from Lee C. Bradley, Jr., City Water
Director, to Mike Groomer, Assistant City Manager, a copy of which is attached h�reto
as Exhibit D. There will be no maintenance bond required in connection with this work.
(ii) Existing paving will be repaired so to achieve a minimum
structural number (SN) of 3.2, and the techniques used for achieving this will be selected
by Developer and will generally be consistent with the letter dated July 23, 1999 from
Ronald F. Reed, P.E. of Reed Engineering Group, a copy of which is attached hereto as
Exhibit E. The contractor making the repairs will provide a two-year maintenance bond
relating to the repair work only.
(iii) Existing lakes and ponds will be modified and repaired in
accordance with the requirements of the Texas Natural Resource Conservation

Commission (TNRCC), and there will be no further requirements imposed by City.
Maintenance of the lake system shall never be the responsibility of the City, rather same
shall be the responsibility of a homeowners association or Southwest Denton County
Road and Utility District under the terms of a strategic partnership agreement.
(b) During the course of making the repairs, City will be granted access to the
Project and will have the right to periodically inspect the repair work.
(c) Upon completion by Developer and City inspection and approval of the
repairs (as listed in subsection (a) (i) and (ii) above) and annexation of the Project in accordance
with Paragraph 3, City will accept public dedication and maintenance of such infrastructure and
will then serve the residents of the Project with water and sanitary sewer service at standard City
rates.
3. ANNEXATION AND ZONING
(a) City staff and Developer have agreed that within 12 months from the date
of this Memoraxidum, Developer will petition for annexation of the Project by City pursuant to
Section 43.028 of the Texas Local Government Code. Upon receipt of the annexation petition,
the City Council will schedule the required public hearings and will consider the annexation
request. City staff will recommend approval of the annexation.
(b) Developer wishes to develop the Project for single-family detached
homes. Concurrent with petitioning for annexation, Developer will file an application requesting
that the Project be zoned for single-family residential use at the time of annexation. City staff
will recommend approval of such zoning.
4. RECOMMENDATIONS CONCERNING OTHER DEVELOPMENT EXACTIONS
Except as otherwise provided for in this Memorandum, City staff will recommend that
there be no other requirements or development exactions in connection with annexation, zoning,
platting, or City acceptance of subdivision infrastructure, for the Project, provided that, it is
understood that each residential lot within the Project will be subject to City's standard impact
fees for water and wastewater.
5. AUTHORITY
City and Developer represent that they have full power, authority and legal right to
execute, deliver and perform their obligations pursuant to this Memorandum; provided, however,
Developer's obligations are subject to Developer acquiring the Project; and further provided,
however, Developer acknowledges that vacation of the existing plat and approval of the New
Plat are within the sole jurisdiction of the Plan Commission, the request to zone the Project for
single-family residential use is subject to consideration by the Zoning Commission and approval
by the City Council, and adoption of an annexation ordinance and Community Facilities
Agreement are subject to approval by the City Council. Nothing in this Agreement guarantees

favorable decisions by the Plan Commission and the City Council; provided, however, City staff
will support Developer's applications on the terms set out in Paragraphs 1, 2 and 3 above.
6. TRANSFER
�Developer may, without City's consent, sell, convey, or lease a11 or part of the Project
and may freely assign its rights under this Memorandum provided that Developer's successor
agrees in writing to be bound by this Memorandum. Any such sale, conveyance or lease without
the written agreement of the successor to be bound by this Memorandum shall be void.

Submitted here is supplementai analysis and recommeRdations for the pavement at the
referenced project_ The purpose of the additional anaiysis has been to evaluate the
proposed pavement repairs and asphaltic-concrete overlay. The scope ofthis analysis
was discussed in our meeting on Jtuie 25, 1999 at the Dallas office of P$S & Y.
Tt is our understanding thc City of Fort Worth requires a minimum Structural Number
{SI� of 3.2 for the subdivision streets. The proposed section consists of a combination
of concrete with an asphaltio-concI-ete surface overlay. A minimum four-inch section of
concrete with a minimum compressive strength, cou�led with a minimum of two inehes
of Ho� Mix Asphaltic Concrete (�XMAC} overlay, wlll be required to achieve a SN of
3.2.
Included with this letter is a capy of our letter report dated June Z4, 1994. The June,
1994 report consisted of a condition survey and specific recammendations for street
repair/rehabilitation. Recammended repairs includcd removal and replacemcnt of
specific scctions which have settled and deteriorated beyond repair, epoxying selected
cracks and joints, then overlying the entire seetian with a minunum of 1-1/2 inches of
HMAC surf�ce_
Based on tha above information, it is our opinion repairing the sections identified in our
Jurte 1994 rcport coupled with placement of $ muamum of two inehcs of HMAC
surface course (TxDOT Itcm 340, Typc D� "Fina-Craded Surface Course) will achiave
the required minimum SN of 3.2.

It is recommended that the City Council authorize the City Manager to execute a Memorandum of
Understanding between the City and Terra/Chadwick, Ltd. for development of the Lakes of Brookstone.
DISCUSSION:
In August 1985, infrastructure facilities were constructed for residential development in what was then
outside the City of Fort Worth's extra-territorial jurisdiction (ETJ). Following substantial completion of
the site development, the project was abandoned. Several attempts have been made to redevelop the
project including creation of the Southwest Denton County Road and Utility District for the provision of
water and wastewater services and infrastructure maintenance. As a result of recent annexations in the
Alliance corridor, the project now lies within the City's ETJ.
The attached memorandum of understanding was developed to allow the project to become part of the
City of Fort Worth, and to utilize as much of the existing utilities and other infrastructure as practical.
The amenities and location within the Alliance corridor make this unincorporated property a timely asset
for the City, with the potential for approximately five hundred single family detached homes and the
associated tax base.
FISCAL INFORMATION/CERTIFICATION:
The Finance Director certifies there is no materiat cost to the City under this agreement.
