STANDARD AGREEMENT FOR CONSULTING SERVICES
This A�REEMENT is between the �ity of For� Wor�h (the "�ITY"), and �RAM Traffic
�ourrting, Inc. (the "�L7N5ULTANT"), for PRUJE�TS generally described as the collection of
traffic counts for various traffic studies.
A� ti�l� 1
Scope of 5ervices
A. The 5cope of Services is set forth in Attachment A.
Article II
Compensafi�on
A. The C�NSULTANT's compensation is set for�h in Aitachment B.
Ar�icle 111
Terms of Payment
Payments to t�ie CONSULTANT will 6e made as fiollows:
A. Invoice and Payment
('I ) The �aNSULTANT shall provide the �ITI� sufficient documer�tation io
reasonably substantiate the invoices.
(2) Mon��iCy invoices will t�e issuetl 6y t�ie CONSULTANT fior all work
per�ormed under this A�REEMENT. Invoices are due and payable wi�hin
3� days of receip�.
(�) Upon completion ofi services enumerated in Ar�icle I, the final payment of
�r�y �alar�ce wiil b� �u� witfiin 30 c7ays ofi ��ceipt �f t�� �nfil invoice.
(4) in �he event of a disputed or contested billing, only that poriion so
contested will be withheld from payment, and the undisputed por�ion will
be paici. The �1TY wifl exercise reasonableness in contesting any bill or
�or�ior� iF����f. N� i�ii����t will ��e�iie or� �ny c:�r�i��t�� porti�n �f tfie
billing until mutually resolved.
�5) If the �ITY fails to make payment in iull to ihe :��NSULTANT for billings
contested in good faith within �� days of the amount due, the
CONSULTANT may, afiter giving seven (7) �ays' written notice io C1TY,
suspend services under �his A�REEMENT until paid in full, including
interes�. In the eveni of suspension of services, the �ONSULTANT shall
have no liability to �ITY for delays or damages caused the �ITY because

�►. �eneral
The CONSULTANT wili serve as the CiTY's professional represeniative under
this Agreemen�, providing professional engineering cansulta�ion and advice and
fiiirrii��iir�� �u��r�i��ji ��ii��� ir��i��ni�i #}i�r�fi�.
�. �tandard of �are
The standard of care applicable to �he ��NSULTAI�T's services will be �he
degree of skill and diligence normaily employed in �he ��a�e ofi Texas by
��bfi���i3n�l �r��ir����� �� c�i�i�i.ii#�r�t� �e�rrr i�i� t�i� sar�'i� b�` �i�iilar �ervi��� �ti
the time such services are performed.
C. Righ� to Audi�
�1) �t3N5ULTANT agrees that the �1TY shali, until �ne e�cpira�ion ofi three ��}
yea�� ��t�� fiinal �iaym�r�t ur���r ifiis c�n�r�c�, �iav� fic�e`s� to an� ��ie rig�i�
to examine and phota�opy any directly per�inent books, documen�s,
papers and records of the ��NSULTANT invoiving transactions rela�ing
to this contract. �aNSULTANT agrees tha� the �ITY shail have access
�uring norri�al work�ng iiau�s �o ali nece�sary CDNSU�TANT �acilifies an�
shall be provided adequate and appropriate workspace in order io
conduci audi�s in compliance with the provisions of this sec�ion. The
�ITY shall give ��N�ULTP►NT reasonable advance notice of intended
�u�i�s.
��) ��N5UL7ANT fiurther agrees to include in all its subconsul�ani
agreements hereunder a provision to �he e�feci �hat the subconsul�ant
agrees that �he �ITY shall, untii the expiration ofi three ��j years after �nai
��yr�r �r�t ui���i� t�� ����r�t��ct, fia�v� �i�e�s to �i�i� tt�� �i�t�# i�i �x��in�
and photocopy any directly pertinent books, documents, papers and
records ofi such subconsultan�, involving transactions �o the subcon�rac�,
and iuriher, that ine �1TY shall have access during normal working hours
�o all r���ssary su�icon�uifar�t ficiliiies, an� s�iaii �e provi�e� a�equa�e
and appropriate w�ork space, in order to conduct audi�s in compliance with
the provisions ofi this article together with subsection (3) hereof. �1TY
shall give subconsuitant reasonable advanc� no�ice of intended audits.
(3) CONSULTANT a�� su��r��uifar�i ��r� ta p�ioi�3y �uc�i �ocumenis
as may be requested by the �ITY. The �iTY agrees �o reimburse
��N�ULTANT fior �he oost ofi copies a� �he rate publisi�ed in �he Texas
Administrative �ode in efiFect as of the �ime copying is perFormed.

(c) Any failure on part oi the �ITY �o request required insurar�ce

requirements.
(d) A minimum oi thirty (3U} days nc�ice of cancellation, norl-renewal
or materit�l change ir� coverage shall be provided to fihe �iTY. A
t�� (h0) d�y� t��i� �}��tl k�$ ���pt�bl� i►� th� ��i��ii �fi ���i-
payment ofi premium. Such ierms shall be endorsed onio
�aNSULTAi�T's lnsurance policies. Notice shall be seni to the

�e) lnsurers for alt policies musi be aufhorized to do business in �he
�tate ofi Texas or be otherwise approved by the CITY; and, such
insurers sfiali 6e accep�a6le �o ��ie �1TY in ierms ofi ��iei� fi�nanc+ai
sirength and solvency.
l�j Deduc�ible limits, or self insured re�en�ions, a�fecting insurance
required herein may be accepiabie to the �ITY at iis sole
�i�c�eiian; �i��, i� ii�U �� 1r���ibr��i i�isi.ir,a`►��e, �r�y aiter��iive
coverage maint�ined through insurance pools or risk re�en�ion
groups must be also approved. Dedicated financiai resources or
ieiters of credit may also be acceptable to the �lTY.
(�) Ap�ili�al� �x51'�ies �fifi1i eacFi �e en�orse� wiiY� a waiver of
subrogation in favor ofi the �ITY as respec�s �he PRC3JE�T.
�h� The �iTY shail be en�itled, upon its reques� and wi�hou� incurring
expense, to review the �Z7N�ULTANT's insurance policies
in�lu�ing en�c�rsemer��f's t�i�re�to an�, a� ��i� CITY's �iscre�ion, i�ie
�t7iV5ULTANT may be required to provide proofi of insurance
premium payments. ,
(i) The �ommerciai General Liabili�y insurance policy shaii i�ave no
��lu�ib�� by ����������t� u�1��� �u�� �r� ���r�rr� by t��
�iT�`Y.
�j) The Professional Liability insurance policy, if wri�ten on a claims
made basis shall be mainiained by the CaNSULTANT for �
minirriu� �wo (2} y�� �r�ri�� �uC�sequer�t t�i �i� t�it�► bf ttie
respective PR�JE�T con�ract with �he �1TY unless such
coverage is provided the C�N�ULTANT on an occurrence basis.
�k} The �ITY shall no� be responsible fior �he direc� paym�n� ofi any
ir��Ui�r��� p��ii�itir�� P��i.ii��� �}i �iii� �����r��r�t. it is iin�e�si�'iod
that insuranCe cos� is an allowable oomponen� of ��N�ULTANT's
overhead.
(1) All insurance required in �ection �., except for the i�rofiessional
Li�i�ilitji i��u�i�� p�51i�y, �P�fitl b� �`iif�r� o� �� ���r��r�� ���i�
in arder to be approved by the CITY.
(m) �ubconsultants %�he ��7N�ULTANT shall be required by the
Ct7N5ULTi ANT to maintain �he same or reasonably equivaler��
ir�su�ance covera�e as requi`re� fior ��e CDNSULTANT. Wfien
insurance coverage is mainiained by subconsultar�is,
�Z3N5ULTANT shal} {�rovide �1TY wr�h documentation �hereof on
a certifiica�e of insurance. Notwi�hs�anding anything �o �he
ci>r�tr��ji confi�ine� �ier�ir�, in i�ie eVer�3 ��ii�icon�utt��i�'�
insurance coverage is canceled or terminated, such cancella�tion
or �ermina�ion shail not cons�itu�e a breach by ��7N�ULTANT ofi
the Agreement.
E. �ndependent �onsultant
The �NSU�TANT agrees to per�orm ail services as an independeni consultani
and no� as a subcon�ractor, agent, or employse of the �ITY.
F. Di��ta�ur�
The �NSULTANT acknowledges io the �1TY ihat it has made fiuli disclosure in
wri�ing oi� any existing confilic�s of irtteres� or paterttial conflicts ofi inieres�,
including persqna) fin�ncial interes�, direct or indirect, in property abu�ing the
�rc3�n��� PRDJECT �r�� Y�u�iii� tei�ition��iip� wifli ��iU'ttifl� �r���fty iivlrr��rs.
The �NSULTANT further acknowledges �hat it will make disclosure in writing ofi
any conflicts ofi in�erest which develop subsequent to the signing of �his contract
and prior to final paymeni under the contract.
G. A����� be� H��.ar�ou� Su����i�es
(�) If asbestos or hazardous substances in any form are encountered or
suspec�ed, �he �t'�iV�ULTANT will stop i�s own work in �he a�fie�ed
poriions of ihe PRUJECT to permit testing and ev�luation.
(2) Ifi ������� ��' i5t�$i' ������U� �ub�t��t��� ��'e �u�p��, tfi�
�Z7N5ULTP►NT wil1, i� requested, assist the �iTY in obtaining the services
ofi a qualifed subcon�rac�or to manage the remediation ac�ivi�ies of �he
PROJECT.
H. Permi�iii�g Ai;i�i�iri�i�� � Desi�ii �iiar����
lf permitting auihoriii�s require design changes so as to comp{y with published
design criteria andlor curren� engineering prac�ice standards which �he
C�1�5ULTANT shouid have been aware af at the time this Agreemerif was
ezecii�ec�, i�ie CaNSU�.TANT �iia11 r�vi� p(an's �nd speca"fica�ron�, a� �equire�,
at its own cost and expense. However, ifi design char�ges are required due to �he
changes in �he permitting authari�ies' published design criteria andlor practice
standards criteria which are published after the date ofi this Agreement which �he
CONSULTANT coul�i no� �a've 6ee� 'r�oiia�le aware ofi, �fie CDNSULTANT
sha11 notify the �1TY of such changes and an adjustmen� in compensation will be
made through an amendment �o �his A�FtEENIENT.
Article V
�f3�6iga�ioiis ofi �ie Ci�'y
Amendments to Articie V, ifi any, are included in Attachment �.
A. �ity-�urnished iia�a
The C1TY will make availabte to the CONSULTANT alt technical data in the
�iTY'� po'ss��si�in relaiing �o ifie +COIVSU�.TANT's ser`v�ce"s on i�ie PROJECT.
The ��NSULTANT may rely upon the accuracy, timeliness, and complsteness
ofi the information �rovided by the �iTY. �
B. Ac�ess fo F��ili�i�� ��� P�bj3��t�yi
The �I i Y wi0 make its facili�ies accessible io the �aN�ULTANT as required for
�he ��N�ULTANT's per%rmance of i�s services and witl provide labor and safie�y
equipmen� as required by the �17N5ULTANT fior such access. The �ITY wili
3�r��, at n� �"is`� t�i tY�e C�NSULTANT, �iic�i t�sis i3T 'squi�i�i��ii, ma�nin�ry,
pipeiines, and qther componertts of the �iTY's �aciii�ies as may be required in
connection with the �Z7T�5ULTANT's services. The �ITY will be respon�ibie fior
ali acts of the �ITY's personnel.
C. A�ver�s�men�s, Permi�s, ar�� Aace�'s
Unless otherwise agreed to in the 5cope ofi �ervices, the �ITY will obtain,
arrange, and pay for all advertisements for bids; permi�s and licenses required by
locaf� state, or fiederal authorities; and land, easements, righ#s-of-way, and
acce`ss necessary fior ��i� CONSULTANT's services b`r PRDJEGT �ons�ru�ion.
D. Timely Review
The �1TY wiil examine the �ONSULTANT's studies, r�eports, skei�hes, drawings,
spec'�'ications, proposals, and other documents; ob�ain advice of an attomey,
ir��i��`ar�� �iiir���l��, ��i�r�t�r�t, �iic�r���, �3�� fit�� fin��iciai �7vi�rs, an� ot�ie`r
consuftants as �he �iTY deems app�ppria�e; and rend�r in writing decisirans
required py the �iTY in a timely manner in ac�ordartce wi{h the proje� schedule
in Attachmerrt D.
E. Proii��t Nbti�
The �1TY will give prompt no�ice to the C�N�ULTANT whenever CITY observes
or becomes aware o�' any development �hat affe�ts the scc�pa or timing o� �he
�Z7AISULTANT's services or of any defieci in the work ofi the �CINSULTANT or
�a��tr��t�n z:a�tr��tur�.
�. Asbestos or t�azarc�ous �u�stances and Indemnifcation
(�) Ta �he maximum ex�en� permii�ed by iaw, �he �iTY wip indgmnify and
relea�e CONSULTANi and �s offic�rs, employees, and sub�ontrac�ors
rf`�ii�i �ill �1�iP�t�, �r��ig��, IZ�����, ��izi ��t�, iii�iu��i��, �ut ��5t li�t���i ia,
attomey's fises and litigation expenses aris�ng out ofi car reia�ing to �he
presence, discharge, release, or escape ofi hazardous substances,
contart�tinants, or asbestt�s on or from the PFtt'�JE�T. Nothing cpn�ained
�i�r�ir� �ft�11 $� �r��t�u� % ��uir� iFi� C1TY t�i 1�vy, ����� o� �ilie�t
any tax ta fund inis indemni�c�ion.
l�) 1`fie indemnr'F'ica�ion and release rec}uired above shaii not apply in t�e
event the discharge, release or escape of hazardous substances,
c,on�a�ir��r��s, or a�6e��c3� i� a'r�siilf �3fi ��3NSULTANT'� negligeiice or r�
such hazardous substance, contaminant or asbestos is brought onto the
PR�7JE�T by ��N�ULTP►NT. .
G. Cor��fi�for Ci�im� �n� 'f�ii��-P�r�ji Ber���i�i�i�i��
��) The �1TY agrees io inciude the fioltowing clause in aii coniracts with
cons�ruc�ion con�ractors and equipmen� or materials suppliers:

�L7N�ULTANT, iis officers, employees, and subcontractors, for any claim
arising oui ofi, in connection with, or resuliing from the consulting services
perFormed. �nly the �1TY wiil be the benefiiciary of any undertaking by
t�ie CDNSULTANT "
(�) This A�REEIVIE�iT gives no right or benefiits �o anyone other than the
�iTY and the ��N$ULTANT and ihere are no ihird-pariy beneficiaries.
(�} The �ITY will inelude in each agreement i� en�ers in�o wi�h any other
�niity br 3erson rega��ing tfie PROJECT a provi�io�i t�iat �iic�i eniii-y or
person shall have no third-party benefciary rights under this
AUREENfENT.
��j No�hing contained in this section V.H. shall be construed as a waiver of
any rigfit ��is C1TY ��i� i� ��i�i� � ciaii�'i again'st �CONSULTANT.
ti. �IT1('s lnsurance
(� ) The �1TY may maintain property insurance on certain pre�exis�ing
structures associated with the PROJECT.
(2) i fi� CITY w�il ensure �f"ia� Buii7ers Risk/lnsi�lla�tion ins�.irance is
main�ained a� �he replacemen� cost value ofi �he PR�JE�T. ?he �1TY
may provide ��NSULTANT a copy of the policy or documer�tation of
such on a certificate of insurance.
{3) T�ie C1TY v�ili ��e��`y t�iat i�ie Biiil�ers Riskllnsiailadion insiirance �ti�tl �e
comprehensive in coverage appropria�e �o �he I�R�JE�T risks.
1. Liiiga�ion Assis�ance
The 5cope of 5ervices does not include costs ofi the ��NSULTANT fior required
o� ���ti���� assis��nce �o �i.i�p�r�, p�ep�r'�, ��ur�i�r�t, ��ir��, �efi�n�, or� �ssisi
in li�igation undertaken or defiended by the �1TY. ln the event �1TY reques3s
such services ofi �he �Z�N�ULTANT, �his A�REEiVIENT shall be amended or a
separate agreement will b� negotiated between the parties.
J. ��ianges
Tiie �iTY may make or approve changes within the general �cope ofi �ervices in
�his A�REEiVIENT. Ifi such changes a�ed �he ��N�ULTANT's cos� of or time
���ui�e� fi�� ��������� �� tfi� ���ii���, �n �quifa�l� ��jt]�fr�t��t Vvili b� ��c��
through an amendment to this A�REEMENT with appropria�e �Il`Y approval.
Ar�icle VI
�eneral Legal Provisions
Amer�dr�e�its fi� Ar�i�i� VI, ifi ar�y, �re inciu��� in A�taclir�ie�it C.
A. Au�horiza�ion to Proceed
��NSULTANT shali be authorized to proceed wi�h this A�REEiUIENT upon
receip� ofi a written Notice to Proceed from �he �ITY.
B. R�use o� Pr ojc�� D�c�iir�i�r��
All designs, drawings, specifications, documents, and other work products ofi �he
��N�ULTANT, whether in hard copy or in elec�ronic �'orm, are ins�rumen�s ofi
service for ihis PR�JE�T, whether the PRt�JE�T is compleied or not. Reuse,
c�iange, or a�eraiion �ij+��ie �CiTY or �iy o��iers aciing ��roug�i or on befiaif ofi ��i�
�ITY of any such instruments of service withoui ihe writ�en permission of ihe
�ONSULTANT will be a� �he �1TY's sole risk. The final designs, drawings,
specifications and documents shall be owned by the �IT�.
C. Fo��� Majeure
The �aNSULTA►NT is not responsible for damages or deiay in perfiormance
caused by acts ofi �od, s�rikes, lockou�s, acGidents, or other events beyond �he
control of the CONSULTANT.
I�. T�rni�n��i�i�
(1) This A�REEMENT may be termina�ed only by the �iiy fof convenience
on �D days' wri�en notice. This A�REEIVIENT may be �ermina�ed by
ei�her the �ITY or the ��NSULTANT for cause ifi either party fiails
'su��iar�iairy to� per�t`orr �firoiig� n� fiauit o� ifi� o���� ar�� �o�s not
commence correction ofi such nonperFormance within fiva �b} days of
wri��en no�ice and diligently compiete �he correc�ion �herea�ter.
��j If this A�REEMENT is terminated fior the convenience of the CiTY, the
C�NSULTANT wiil �e ��ii� fio� terriii�i�tiar� �x�ens�� as foNqws:
�a) �ost ofi reproduction ofi partial or compleie studies, plans,
specifications or o�her fiorms ofi �t�N�ULTANT's work product;
(b) �3ut-of pocket e�enses fior purchasing s�orage con�ainers,
rriicr��ilrr�, ete��i�ii� ��i� fte�, ��i� otfier �ata s�o�ige supplie� or
services;
�cj The time requiremen�s for �he ��3N�ULtANT's personnel �o
do�umeni �Fie work underway a� i�ie �irri� ��ie �iTY'� fermina�ion
for convenience so thai �he work effort is suitabie for long time
storage.
(3) Prior to proceeding with termination senrices, the ��NSULTANT will
subm� io i�ie C1TY an �emiie� s�aiemeni ofi all �ermina`fion ezpense�.
The �1TY's approval will be obtaineci in writing prior to proceeding with
�ermina�ion services.
E. 5uspension, Delay, or lnterrup�ion �o Work
Tfie C1TY may susper��, �elay, or in�emipi i�ie sennces oi f�e CDNSULTANT fior
the convenience of the �IiY. In the event of such suspension, delay, or
in�erruption, an equiiable adjustment in the PR�JE�T's schedule, commitmen�
and cost of the ��N�ULTANT's personnel and subcontractors, and
CDNSULTAN i � �or�i3�r��tian will �e rr���e.
F. lnciemni#ication
(�} The �aN�ULTANT agrees to indemnify and defend the �1TY from any
loss, cost, or expense claimed by third parties fior property damage and
�Z�ity ir�jiiP�ji, ir���U�i�� ���tP�, �u�� �leiy Cy t�e negiigence ar wiii�ui
misconduc� o�F �he ��N�ULTANi, • its employees, o�ficers, and
subcontractors in connection with the PRUJE�T.
�) ifi �he negligence or wiilfiul misconduct ofi bo�h �he ��NSULTAhIT and the
CiTY (��` fi�e���t� i���tifi�� ���ii� fi�r ii��lbr�i �a�Y� i� Ii��l�) is a c�ii�� �fi
such damage or injury, the loss, oost, or expense shall be shared
between the �UN�ULTANT and the �ITY in proporiion io their relative
degrees of negligence or willful misconduc� as determined pursuant to
T.C.P. & R. Coc�e, �e�ibr� 33.091(�) �Vemon Supplemen�'t996j.
�. Assignment
Neither party will assign all or any part of ihis A�REEMENT without the prior
writien conseni ofi the other party.
H: Ii��Pprefi��i�r�
Limitations on liabiiity and indemnitiss in this A�REEMENT are business
understandings befinreen the parties and shali apply to all the different �heories of
recovery, including breach ofi contract or warranty, tort inci�ading negligence, strict
a� �t�itut�r�-i ii��ility, br �ny �ii��r �u�� �fi ��tia�, �����t f�r w�itf�1 �i���u� �r
gross negligence for limitations of tiability and sole negiigence for indemnification.
Parties means the �iTY and �he �Z3N5ULTANT, and their officers, employees,
agents, and subconiractors.

l. Jurisdiction
The law of the 5taie of Texas shaH govem the validity of fhis A�R�EMEMT, i�s
in�erpretation and performance, and any other claims related to it. The venue for

J. Al�erna�e Dispu�e Resolution
(�) Aii cl�ims, disputes, and other matters in questian between the �tTY and
