KNOW ALL MEN BY THESE PRESENTS: c�- �jhis Tnterlocal Co t ct and Agreement is made and entered into on this _�/� day of �'�1hC 1�y and between the City of Fort Worth, Texas acting by and through its City Mana r, hereinafter referred to as "City" and the Tarrant County 9-1-1 Emergency Assistance District, hereinafter refened to as "District", accing by and through its governing body. WITNES SETH: WHEREAS, the Texas State Legislature has authorized the formulation of interlocal cooperating agreements between and among governmental entities; and WHEREAS, this Interiocal Contract is made under the authority granted by and pursuant to Chapter 791 of the Texas Government Code; and WHEREAS, residents of Tarrant County specifically including residents ofthe City of Fort Worth, Texas pay a monthly fee in conjunction with their residential and ceilular telephone bills related to tha provision of 9-1-1 emergency service; and WHEREAS, the money collected from such monthly fees is forwarded to the DISTRICT to assure that persons throughout Tarrant County, Texas have access to and receive 9-1-1 emergency services; and �II�R.EAS, .he DISTRiCT fi,:l.fills its p��rrose by, �mong oth�� thin� ,, a�sist.�r.� municipalities deiray the expense associated with the purchase, installation and operation of equipment needed to provide 9-1-1 emergency services to pers�ns throughout Tarrant County, Texas; and Wf-iEREAS, the CITY's current Public Safety Answer Point ("PSAP") equipment, which equipment is utilized in providing 9-1-1 emergency services, is over twelve (12) years old; and WHEREAS, the CITY's current PSAP equipment only translates seven (7) digit telephone numbers rather than the ten (10) digits required in most locals, and lacks certain other Interlocal ConVact - Page 1 VII U U+� C�'� �I��1..i1 �� i ,� E�_��,.�1��' ��( ��'r�?��?r� �e UV�:JG�UIIp �lSf�sa technological featc�res available in other PSAP systems being used within the Tarrant Caunty 9-1-1 District; and WHEREAS, DIST.RICT desires to replace the CITY's current PSAP equipment with newer equipment and technotogy which translates ten (10) digit telephone numbers and has the capacity to coordinate with cellutar telephone companies in the future to pinpoint the location of cellular telephones to within one hundred feet (100') ofthe location at which a 9-1-1 emergency service call is placed with surh phone; and VVHEREAS, the governing bodies of each entity find that the project or undertaking is necessary for the benefit of the public and that each party has legal authority to provide the governmental function which is the subject matter of this contract; and WHEREAS, the governing bodies fiirther find that the performance of this contract is in the common interest of all parties, and that t11e division of costs fairly compensates the performing party for the services or functions performed under this Interlocal Contract; and Wf-�REAS, the parties, in paying for the performance of governmental functions or in perForming such governmental functions, shall make payments therefor only from current revenues legally available to such party; NOW THEREFORE, FOR AND IN CONSIDERATION of the mutual promises and agreements contained herein, the parties do hereby agree as follows: I. DISTRICT consents to the CITY purchase and installation of the PSAP equipment identified in Exhibit "A" attached hereto and incorporated herein, to be used in conjunction with the CITY's provision of 9-1-1 emergency service from its existing PSAP and a new site in Fort Worth, Texas in accordance with this Contract. II. CITY agrees to purchase and install such PSAP equipment at the locations stated. CITY shall be responsible for ordering, receipt, storage, installation and operation of the PSAP equipment. CITY shall be responsible for staffing the CITY's 9-1-1 emergency service lines which utilize the PSAP equipment. CITY further agrees to report any damage to, problem with or malfunction of the PSAP equipment to DISTRICT as soon as is reasonably possible after discovery thereof. The CITY shatl be responsible for the risk of loss, theft, destruction of or damage to the PSAP equipment during delivery, storage, installation and operation of the equipment during its servable life. DISTRICT's Responsibilities The DISTRICT has allocated funds to cover costs of upgrade of an existing PBS currently serving as a backup site for the CITY at an estimated cost of $202,000.00 allocated from FY1999 budget and such sum witl be paid upon receipt from the CITY of an invoice from its vendor together with a letter from the CITY certifying that the equipment has been received and installed and is operating to the CITY's satisfaction. IV. Funds for the cost of a new PBX to be instalied at the new site currentl}� under construction at Z000 Throckmorton strPet and estimated to cost $?,63,000.00 has been allocated to FY2000 budget and suci� sum wiil be paid by the DIS'I'RICT from such budget upon receipt of an invoice from the CITY's vendor together with a letter from the CITY certifying that the equipment has been received and installed and is operating to the CITY's satisfaction. V. Term Prior to the CITY ordering and receiving the equipment covered hereby this Contract may be canceled by either party hereto on ninety days notice to the other party. This Contract may not be canceled after the CITY orders acid receives the equipment covered hereby, otherwise it shall automatically terminate upon the satisfactory receipt and installment of the equipment listed above, and the payments provided for herein made by the DISTRICT. VI. Immunitv It is expressly understood and agreed that in the execution of this Contract, no party waives nor shall be deemed hereby to waive any immunity or defense that would otherwise be available to it against claims arising in the exercise of governmental powers and functions. VII. Successors and Assisns CITY and DISTRICT each bind themselves, their successors, executors, administrators and assigns to the other party to this Contract. Neither CITY nor DISTRICT will assign, sublet, subcontraet or transfer any interest in this Contract witho�it the written consent of the other party. No assignment, delegation of duties or subcontract under this Contract will be effective without the written consent of the other party. Venue The parties to this Contract agree and covenant that this Contract will be enforceable in Fort Worth, Texas; and that if legal action is necessary to enforce this Contract, exclusive venue will lie in Tarrant County, Texas. IX. Remedies No right or remedy granted herein or reserved to the parties is exclusive of any other right or remedy herein by law or equity provided or permitted; but each shall be cumulative of every other right or remedy given hereunder. No covenant or condition of this Contract may be waived without consent of the parties. Forbearance or indulgence by any party shall not constitute a waiver of any covenant or candition to be performed pursuant to this Contract. X. Severabilitv If any of the terms, sections, subsections, sentences, ciauses, phrases, provisions, covenants, conditions or any other part of this Contract are for any reason held to be invalid, void or unenforceable, the remainder of the terms, sections, subsections, sentences, clauses, phrases, provisions, covenants, conditions or any other part of this Contract shall remain in full force and effect and shall in no way be affected, impaired or invalidated. XT. Apnlicable Law This Agreement is entered into subject to the City Charter and Ordinances of the CITY, as they may be amended from time to time, and is subject to and is to be constnied, governed and enforced under all applicable State of Texas and Federal law. Situs of this Agreement is agreed to be Tarrant County, Texas, for all purposes including performance and execution. XII. Entire A�reement This Contract embodies the complete agreement of tne parties hereto superseding all oral or written previous and contemporary agreements between the parties relating to matters herein; and except as otherwise provided herein, cannot be modified without written agreement of the parties. Non-Waiver It is further agreed that one or more instances of forbearance by CITY or DISTRICT in the exercise of its rights herein, shall in no way constitute a waiver thereof. XIV. Authorization The undersigned officers and/or agents are properly authorized to execute this Contract on behalf of the parties hereto and each party hereby certifies to the other that any necessary resolutions or actions extending such authority have been duly passed and are now in full force and effect. APPROPRIATION ORDINANCE � The City will purchase the required equipment and ipstallation services and manage the instafiation process. Upon completion of the project, the City will invoice Tarrant County 9-1-1 District and receive reimbursement for the ful{ cost of the equipment. Under Section 271.083 of �the Texas Local Government Cade, a{ocai government satisfies otherwise applicable competitive bidding �equirements when � it malces a purchase through the State af Texas Catalogue purchasing procedures established by Section 2157.061 of the Texas Government Code. The City will comply with those provisions for the purchase agreements authorized under this M&C. ,_ M/WBE requirements have been waived by the M/WBE Office because Southwestern Bell Telephone is a so(e-source provider of the required equipment and installation services. FISCAL INFORMATION/CERTIFICATION; The Finance Director certifies that upon approval of the above recommendations, funds will be available in the current operating budget, as appropriated, of the Information Systems Fund. Authorize the City Manager to execute an interlocai agreement with Tarrant County 9-1-1 Emergency Assistance District for the district to fund $465,000 in telecommunications equipment upgrades in the City's Backup Public Safety Answering Point (PSAP); and 2. Adopt the attached appropriation ordinance increasing by $465,000 the estimated receipts and � appropriations in the Information Systems' Fund from available revenue; and • � 3. Authorize the purchase of equipment and installation services from Southwestern Bell Telephone to upgrade an existing Nortel PBX from option 61 C to option 81 C at a cost not to exceed $202,000 and utilizing State of Texas Catalogue purchasing procedures for the Information Systems and Services Department; and � 4. Authorize the purchase of one Option 61 C Nortel PBX from Southwestern Bell Teiephone at a cost not to exceed $263,000 and utilizing State of Texas Catalogue purchasing procedures for the Informatian Systems and Services Department. � DISCUSSION: The equipment currently used to operate the City's backup PSAP in the tunnel is over 12 years old. The equipment is able to translate only seven digit telephone numbers. When ten digit telephone numbers become the rule in the near-term future, this equipment will no longer function. Also the. currently used equipment canr�ot suppart the location of cellular telephones used to make emergency 9-9-1 calls, which is another requirement an the horizon. . It is important to point out that the equipment used at the City's primary PSAP at 3000 West Bolt S.treet is fully capable of supporting both the ten digit number translation and the future cellular location functionality. . Tarrant County 9-1-1 District has agreed to fund the upgrade of telecommunications equipment for.the backup PSAP that will proyide the ten-digit telephone number translation and future cellular location functionality. The project includes the upgrade of an existing PBX unit ($202,000) that currently serves the bac'kup PSAP, plus the addition of a new PBX ($263,000) to provide redundancy to the backup PSAP telecommunications systems. This is especially important given the on-going replacement of the Computer Aided Dispatch system, which will require temporary closure of the primary PSAP while it is being r.enovated,.and relocation of dispatch and call taking personnel to the backup PSAP in the tunnel during the renov�tiori�� pePiod.
