Home My WebLink About025637 - General - Contract - Ronmic, Inc. and Air Carrior Avionics, Inc., and IEC International Ltd.� CITY SECRETARY � �/ CONTRACT NO . �5 �' � / CONSENT TO ASSIGNMENT OF CITY SECRETARY CONTRACT NO. 23406 (HANGAR LEASE AGREEMENT) This CONSENT TO ASSIGNMENT OF CITY SECRETARY CONTRACT NO. 23406 ("Consent") is made and entered into by and between the CITY OF FORT WORTH, TEXAS (the "City"), a home rule municipal corporation situated in portions of Tarrant and Denton Counties, Texas, acting by and through Ramon Guajardo, its duly authorized Assistant City Manager; RONMIC, INC., a Texas corporation doing business as AIR CARRIER AVIONICS, INC. ("Assignor" or "Lessee"), acting by and through Trevor Carris, its duly authorized President; and IEC INTERNATIONAL LTD. ("Assignee"), a corporation registered in England acting by and through Trevor Carris, its duly authorized Managing Director. The following introductory provision are true and correct and form the basis of this Consent. A. On or about December 15, 1997, the City and Assignor entered into a Hangar Lease Agreement ("Lease") for the lease and use of Hangars 7-N and 8-N and certain other property and facilities ("Premises") located at Fort Worth Meacham International Airport ("Airport") and specifically identified in the Lease, which is a public document on file in the City's City Secretary's Office and identified as City Secretary Contract No. 23406. Assignor operated under the name Air Carrier Avionics, Inc. pursuant to an Assumed Name Certificate executed by RONMIC, Inc., which is attached hereto as Exhibit "A" and hereby made a part of the Lease and this Consent for all purposes. B. On or about September 29, 1998, pursuant to a Stock Purchase Agreement ("Purchase Agreement") between Assignor, Assignee, Mickey Shriver, Jr. and Ronald J. Shabbott, Assignee purchased all of the issued and outstanding common stock of Assignor. In addition, on or about September 29, 1998, Assignee, as the sole shareholder of Assignor, removed the previous officers of Assignor and elected Trevor Carris as President and Colin Hawes as Vice President, Secretary and Treasurer of Assignor. C. Assignor now wishes to assign all of Lessee's right, title and interest in the Premises under the Lease to Assignee and the City is willing to consent to such assignment pursuant to the provisions and conditions of the Lease and this Consent. NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the City, Assignor and Assignee agree as follows: 1. The City hereby consents to an assignment by Assignor to Assignee of all right, title and interest in the Premises granted to Lessee by the Lease. The City does not adopt, ratify or approve any of the particular provisions of the Purchase Agreement and does not grant any right, privilege or use to Assignee which is different from or more extensive than any right, privilege or use granted to Lessee by the Lease. In the event of any conflict between the Purchase Agreement and the Lease, the Lease shall control as to all matters concerning the Lease, this Consent or the parties' operations at the Airport. 3. The City consents to the Assignment expressly upon the promise and covenant by Assignee that Assignee will faithfully perform, as an independent contractor, all duties and obligations of Lessee set forth in the Lease. Assignor understands and agrees that it will remain liable to the City for performance by Assignee of all duties and obligations of Lessee set forth in the Lease. 4. All terms in this Consent that are capitalized but not defined shall have the meanings assigned to them in the Lease. FOR HANGARS 7N AND 8N AT MEACHAM INTERNATIONAL AfRPORT RECOMMENDATION: It is recommended that the City Council authorize the City Manager to execute a Consent to Assignment Agreement from RonMic, Inc., d/b/a Air Carrier Avionics, to IEC International, Inc. for hangar and ramp space, known as Hangars 7N and 8N, at Fort Workh Meacham International Airport. DISCUSSION: Under City Secretary Contract No. 23406, RonMic, Inc., d/b/a Air Carrier Avionics, leases Hangars 7N and 8N along with associated ramp space at Fort Worth Meacham International Airport. RonMic, Inc. has sold its interest in the business to IEC International, Inc. According to the lease agreement, City Council approval is required for any assignment of interest. The Law Department has reviewed the assignment agreement between RonMic, Inc. and IEC International, Inc. and staff recommends approval of the assignment. All terms and conditions of the lease agreement will remain in effect. On November 19, 1998, the Aviation Advisory Board unanimously recommended approval. The property is located in COUNCIL DISTRICT 2. FiSCAL INFORMATIONICERTIFICATION.: The Finance Director certifies that this action wi11 have no material effect on City funds.
