WORTH, TX CSC No. 62101-R2A5 FIFTH AMENDMENT AND FIRST RENEWAL TO VENDOR SERVICES AGREEMENT BETWEEN THE CITY OF FORT WORTH AND YEAR- ROUND, LLC D/B/A MAJESTIC CHRISTMAS COMPANY FORT WORTH CITY SECRETARY CONTRACT NO. 62101 This Fifth Amendment and Second Renewal ("Amendment") to Fort Worth City Secretary Contract No. 62101 ("Agreement"), between the CITY OF FORT WORTH ("City"), a Texas home rule municipal corporation and YEAR ROUND, LLC D/B/A MAJESTIC CHRISTMAS COMPANY ("Vendor"), a Texas limited liability company, each individually referred to as a "party" and collectively referred to as the "parties." WHEREAS City and Vendor entered into the Agreement for fall and winter holiday decorations and related services for the City's New City Hall building located at 100 Fort Worth Trail, Fort Worth, Texas, 76102, said agreement being identified as Fort Worth City Secretary Contract No. 62101 and having an effective date of October 9, 2024; and WHEREAS on November 4, 2024, City and Vendor amended the Agreement for the first time to include additional holiday decorating services (Fort Worth City Secretary Contract No. 62101-A 1); and WHEREAS on November 25, 2024, City and Vendor amended the Agreement for the second time to include additional holiday decorating services (Fort Worth City Secretary Contract No. 62101-A2); and WHEREAS On December 3, 2024, City and Vendor amended the Agreement for the third time to include additional holiday decorating services (Fort Worth City Secretary Contract No. 62101-A3); and WHEREAS On August 12, 2025, City and Vendor amended the Agreement for the fourth time to (i) adjust the term to have an end date that was more convenient for both parties; (ii) increase the contract capacity up to $100,000 of spending authority per term; and (iii) reflect the services for that particular renewal term; WHEREAS the fourth amendment also included the first renewal of the Agreement which extended the Term through August 31, 2026 and (Fort Worth City Secretary Contract No. 62101- A4R1); and WHEREAS City and Vendor now wish to renew the Agreement for the second renewal term commencing on September 1, 2026 and expiring on August 31, 2027 and also wishes to amend the Agreement for the fifth time to outline the decorating services for this second renewal term; and NOW THEREFORE, City and Vendor, acting herein by and through their duly authorized representatives, agree to the following terms: Fifth Amendment and Second Renewal to Fort Worth City Secretary Contract No. 62101 Fall and Winter Holiday Decoration Services Page 1 of 3 The Agreement, through this Amendment, is hereby renewed for the second renewal term of the three available under the Agreement which extends the Term of the Agreement to August 31, 2027. 2. Scope of Services and Payment Schedule for Second Renewal Term. The services and fees included in Exhibit A-1 attached to this Amendment are incorporated into the Agreement and establish the scope of services and payment schedule for this Renewal Term. All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect. Total payment made under the Agreement shall not exceed One Hundred Dollars and 00/100 ($100,000.00).
