Home My WebLink About050794-A2 - General - Contract - Colonial Country ClubCSC No. 50794-A2 SECOND AMENDMENT OF CITY SECRETARY CONTRACT NO. 50794 This SECOND AMENDMENT OF CITY SECRETARY CONTRACT No. 50794 ("Second Amendment") is made and entered into by and between the CITY OF FORT WORTH ("City"), a Texas home -rule municipal corporation, acting by and through its authorized Assistant City Manager, and COLONIAL COUNTRY CLUB ("Licensee"), a Texas nonprofit corporation, acting by and through its duly authorized representative. City and Licensee are herein referred to individually as a ("Party") and collectively as the ("Parties"). WHEREAS, the City owns a certain piece of property known as Forest Park located at 1500- 2000 Colonial Parkway, Fort Worth, Texas 76109 ("Forest Park"), which is located at the Log Cabin Village and Bobo Woods, ("Premises"); WHEREAS, on May 14, 2018, the City and Licensee entered into a License Agreement ("Agreement") to use a portion of Forest Park for parking and a Will Call Trailer during Licensee's annual golf tournament, the same being Fort Worth City Secretary Contract ("CSC") No. 50794; WHEREAS, the Agreement provides an initial term of four years and may be renewed for two additional one-year renewal periods (each a "Renewal Term"); WHEREAS, on November 11, 2022, the Parties amended the Agreement to include renewal terms and increase the fees associated with this Agreement; WHEREAS, it is the collective desire of the Parties to amend the Agreement to update the donor details for fiscal years 2027 and beyond; NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the City and the Licensee agree to amend the Agreement as follows: I. 1. The Parties hereby agree to amend Article 2 (b) of the Agreement to be and read as follows: b. Log Cabin Heritage Foundation Donation. i. For Renewal Years 2023 through 2026, as further consideration to the agreements and covenants contained herein, Licensee shall make annual donations to the Log Cabin Heritage Foundation from the Licensee's Colonial Charitable Fund in the amount of $8,900.00 for each Renewal Term. ii. For Renewal Year 2027, as further consideration to the agreements and covenants contained herein, Licensee shall make an annual donation to the Log Cabin Heritage Foundation from the Licensee's Colonial Country Club in the amount of $8,900.00. For Renewal Years 2028 and beyond, as further consideration to the agreements and covenants contained herein, Licensee shall make annual donations to the Log Cabin Heritage Foundation from the Licensee's Colonial Country Club in the amount of $9,300.00 for each Renewal Term. II. 1. All terms and conditions of the Agreement that are not expressly amended pursuant to this Second Amendment shall remain in full force and effect. 2. All terms in this Second Amendment that are capitalized but not defined shall have the meanings assigned to them in the Agreement.
