(hereaftr,, "Operator") acting by and through its duly authorized representative, anal Ci±y of Fnrt Worth ("City"), a Texas home -rule municipal corporation acting by and through its duly authorized Assistant City Manager, each individually referred as a "Party" and collectively as the ";'arbiv 59 WHEREAS, City and Operator entered into an Agreement identified as Fort Worm City Secretary Contract No. 51346 effective September 1, 2010 (the "Agreement"); for jail facility, operation and managements services for the City holding facility located at 350 Belknap, Fort Worth, Texas 76102 (" Facility"), as more particularly described in the Agreement; and WHEREAS, effective as of September 1, 2019, Texas Government Code Section 411. 1471 requires a DNA sample be collected and submitted to the Texas Department of Public Safety when a defendant is arrested for certain specified felony of±enses; and WHEREAS, City and Operator signed Amendment 1 to the Agreement to clarify the. responsibilities of Operator relative to DNS sample collection to ensure City' s compliance with state law effective August 30, 2019; and WHEREAS, City and Operator signed Amendment 2 to the Agreement in November 2022 to remove operation duty number 6 under Section III. Duties of Operator, subsection d) Operation of 350 Belknap Facility to include an option that allows the release of custody for Class B and greater offenders and adjusted the annual compensation; and WHEREAS, City and Operator signed Amendment 3 to extend until November 30,2024 while the parties renegotiate the hourly wage arid increase staffing; anLL WHEREAS, City and Operator signed. Amendment 4 on October 16, M&t to amend thV Agreement to increase the annual compensation amount from $3,750,000.00 to $4,1 R4,15n.00 to increase employee wage rates and add six (6) additional security positions and replace the Section III Duties of Operator with Exhibit E and Exhibit F; and WHEREAS, it is the collective desire of the Parties to renew the agreement for the Sixth renewal option (the "Sixth Renewal Term"); and WHEREAS, it is the collective desire of the Parties to amend the Agreemient to increase the annual compensation amount from $4 14, 150.00 $4 309 �74 50 to s,rnnrf labor rnctcS increases. RENEWAL OF AGREEMENT The Agreement, as amended herein, is hereby renewed and extended for a renewal term commencing on October 1, 2026, and ending on September 30, 2027. H. AMENDMENT TO AGREEMENT The following terms are hereby amended to either replace any conflicting terms in the Original Agreement or shall be added to the terms and shall be binding and en'10reeable as if t hey were originally included therein and the amended agreement shall be referred to as the Agreement in all future documents. OPERATOR'S COMPENSATION Holding and Intake Services - The City shall pay Operator an amount not to exceed $4,309,674.50 annually ("Operator Compensation") in accordance with the provisions ofthis Agreement payable in 12 monthly installments. Operator shall not perform anv additional services for the City not specified by this Agreement unless the City requests and approves in writing the additional costs for such services. The City shall not be liable or any additi^pal expenses of Operator not specified by this Agreement unless the City first an such expenses in writing ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement, as previously amended, which are not expressly amended herein shall remain in full force and effect. IV. DISCUSSION The purpose of this Mayor and Council Communication (M&C) is to request authorization to execute an amendment to City Secretary Contract (CSC) No. 51346 with LaSalle Corrections VI, LLC (LaSalle) to increase annual expenditures by $125,524.50 for jail intake services for a total annual cost up to $4,309,674.50. On September 25, 2018, through M&C C-28877, the City Council authorized the execution of an agreement with LaSalle for jail intake services recorded as CSC No. 51346. Pursuant to the agreement, LaSalle is responsible for the intake, detention, supervision, and care of properly classified inmates in accordance with applicable state and local laws, Texas Commission on Jail Standards (TCJS) requirements, where applicable, and Texas Police Chiefs Association (TPCA) best practices. On October 15, 2024, City Council approved M&C 24-0916 authorizing a contract amendment to increase annual expenditures for jail intake services under CSC No. 51346 by $434,150.00 for LaSalle to hire six (6) additional officers and increase wages to maintain staff retention levels. This M&C requests a 3% annual contract increase of $125,524.50 to enable LaSalle to maintain competitive staffing levels, support operational readiness, and continue providing high -quality detention and intake services in accordance with contractual requirements. The contract amendment will be effective October 1, 2026. Iof2 FORT WORTH.., ADMINISTRATIVE CHANGE ORDER: An administrative change order or increase may be made by the City Manager up to the amount allowed by relevant law and the Fort Worth City Code and does not require specific City Council approval as long as sufficient funds have been appropriated. Funding will be budgeted in Other Contractual Services account within the Crime Control and Prev Distr Operating Fund for Fiscal Year 2027. AGREEMENT TERM: Upon City Council approval of the above recommendation, an amendment to CSC No. 51346 will be executed to increase the total annual contract amount by $125,524.50, beginning October 1, 2026, and expiring September 30, 2027. RENEWAL OPTION: The Agreement currently allows for two (2) additional one-year renewal terms upon mutual agreement of the parties beginning October 1, 2026. This action does not require specific City Council approval provided that the City Council has appropriated sufficient funds to satisfy the City's obligations during the renewal terms. SMALL BUSINESS PROGRAM: CSC No. 51346 with LaSalle Corrections VI, LLC was executed October 01, 2018, preceding the implementation of the Small Business Program. Therefore, a Small Business Waiver was not required. This serves ALL COUNCIL DISTRICTS. FISCAL INFORMATION/CERTIFICATION The Director of Finance certifies that upon approval of the above recommendation and adoption of the Fiscal Year 2027 Budget by the City Council, funds will be available in the Fiscal Year 2027 operating budget, as appropriated, in the Crime Control & Prev Distr Fund.
