HomeMy WebLinkAbout063888-A2R1 - General - Contract - Texas A&M Veterinary Medical Diagnostic LaboratoryCSC No. 63888-A2R1 SECOND AMENDMENT AND FIRST RENEWAL TO FORT WORTH CITY SECRETARY CONTRACT NO. 63888 BETWEEN CITY OF FORT WORTH AND TEXAS A&M VETERINARY MEDICAL DIAGNOSTIC LABORATORY This Second Amendment and First Renewal to Fort Worth City Secretary Contract No. 60301 ("Amendment") is made between the City of Fort Worth ("City"), a Texas home -rule municipal corporation, and Texas A&M Veterinary Medical Diagnostic Laboratory ("Vendor"), a Texas Corporation, individually referred to as "party" and collectively as "parties." WHEREAS, on August 28, 2025, the Parties entered into City Secretary Contract No. 63888 for Vendor shall provide City with laboratory specimen testing for deceased animals as well as general lab testing ("Agreement"); WHEREAS, the latest renewal term expires on August 27, 2026, unless terminated earlier in accordance with the Agreement; and WHEREAS, it is the collective desire of both Parties to amend the Agreement to replace the expiration date with September 4, 2027, thereby extending the contract termination date to September 4, 2030. WHEREAS, it is the collective desire of both City and Vendor to renew the Agreement, as amended, for an additional year term.; WHEREAS, it is the collective desire of both Parties to amend Exhibit B-1 of the Agreement to reflect the current price list effective on September 1, 2026. NOW THEREFORE, known by all these present, Fort Worth and Vendor, acting herein by and through their duly authorized representatives, agree to the following terms, which amend the Agreement as follows: I. AMENDMENT OFFICIAL RECORD CITY SECRETARY Section 2 is hereby amended to be and read as follows: FT. WORTH, TX 2. Term. (a) This Agreement shall become effective upon the Effective Date, and shall remain in effect until September 4, 2026 ("Initial Term"). At the end of the Initial Term, the Agreement shall renew for four (4) successive terms of one (1) year each (each, a "Renewal Term") unless either party notifies the other at least thirty (30) calendar days prior to the end of the Initial Term or any Renewal Term of its wish not to renew for a subsequent Term. Exhibit B-1 Payment Schedule is deleted in its entirety and is replaced with Exhibit B-2, attached to this Second Amendment. RENEWAL OF AGREEMENT The Agreement, as amended herein, is hereby renewed for its First Renewal Term, beginning September 5, 2026 and ending September 4, 2027. III. ALL OTHER TERMS SHALL REMAIN THE SAME All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect. IV. ELECTRONIC SIGNATURE This Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original.
