SIXTH AMENDMENT TO LEASE AND MANAGEMENT AGREEMENT
BETWEEN THE CITY OF FORT WORTH AND
LVTRISE, INC. FOR CALMONT COMMUNITY CENTER
This Sixth Amendment to City Secretary Contract Number 52145 ("Sixth
Amendment") is made and entered into by and between the City of Fort Worth ("City"), a
home -rule municipal corporation of the State of Texas, acting by and through its duly
authorized Assistant City Manager and LVTRISE, INC., a Texas nonprofit corporation
("LVTRise") acting by and through its duly authorized representative. The City and LVTRise
are herein referred to individually as a ("Party") and collectively as the ("Parties").
WHEREAS, effective April 5, 2018, the Parties entered into a Lease and Management
Agreement ("Agreement") for LVTRise to lease the Rise Community Center located at 8201 Calmont
Street, Fort Worth, Texas ("Premises");
WHEREAS, the Parties first amended the Agreement on June 21, 2019 to clarify the
indemnity obligation of LVTRise (CSC No. 52145 -Al);
WHEREAS, on January 10, 2022, the Parties amended the Agreement for a second time to
allow LVTRise to install an electric vehicle charging station in the parking lot of the Premises (CSC
No. 52145-A2);
WHEREAS, on August 29, 2022, the Parties amended the Agreement for a third time to
reduce the footprint of the leased premises, to revise the management and funding obligations of
LVTRise, and to clarify the ownership of certain improvements (CSC No. 52145-A3);
WHEREAS, on September 18, 2024, the Parties amended the Agreement for a fourth time
to provide City operating funds for Fiscal Year 2023-2024, to reflect updates to the planned
improvements, and to clarify the ownership of equipment and furniture (CSC No. 52145-A4);
WHEREAS, on December 10, 2024, the Parties amended the Agreement for a fifth time to
provide City operating funds for Fiscal Year 2024-2025 (CSC No. 52145-A5);
WHEREAS, it is the collective desire of the Parties to amend the Agreement for a sixth time
to provide City operating funds for Fiscal Year 2025-2026 and to ensure that the Boys and Girls
Club of Greater Tarrant County ("BGCTC") is excluded from being charged fees for the use of
Premises for the purpose of providing educational programs for the youths funded by Crime Control
and Prevention District;
NOW THEREFORE, in consideration of the rentals set forth in the Agreement, and other
good and valuable consideration, the parties agree to amend the Agreement as follows:
1. ARTICLE 1. LEASE OF PREMISES Section 1.04(i), as amended, is deleted in
its entirety and replaced as follows:
(i) As long as sufficient funds have been appropriated, City shall contribute up to
$170,000.00 annually for three years and for each of fiscal years 2022-2023, 2023-2024,

and 2024-2025 and $150, 000.00 for fiscal year 2025-2026 for operations and
programming ("City Operating Funds"), provided that LVTRise shall contribute a 1:1
match of all City Operating Funds for the operation, maintenance, and programming of the
Facility. LVTRise shall maintain, and provide to the City upon request, records evidencing
its contribution of the said matching funds. In no event shall the amount paid under the
City Operating Funds exceed one-half of the total costs for operations and programming.
City shall pay the City Operating Funds to LVTRise quarterly.
2. Section 3.07 is deleted in its entirety and replaced as follows:
3.07 Fees. When deemed necessary by the Board of Directors of LVTRise to defray
costs of special activities, and provided LVTRise is in compliance with meeting the
requirement for Recreational Activities, fees may be imposed for participation in
programs and activities conducted by LVTRise at or from the Premises and/or for use
of the Facility. LVTRise may not charge The Boys and Girls Club of Greater Tarrant
County (BGCGTC) fees for the use of the Facility for the purpose of providing
educational programs for youths funded by Crime Control and Prevention District,
including but not limited to Comin' Up Gang Intervention Program, designed to
support youths in avoiding negative and high risk behaviors, building positive life
skills, and support conflict resolution. Fees for memberships and programs shall be
priced in accordance with fees established by LVTRise for community centers of
similar size and amenities located in the City of Fort Worth and consistent with
LVTRise's goal to permit participation by all socio-economic groups. All
membership fees to Fort Worth residents using the Facility shall be discounted by an
amount no less than ten percent (10%) of the then -current membership fees solely for
the Facility. Schedule of fees must be provided to City quarterly. Fees shall be
approved by City; approval shall not be unreasonably withheld. Should LVTRise
charge for services provided throughout or access to the Premises, these fees shall
only be used for the operation of the Facility, unless approved by the City in writing
prior to use of the fees for other expenses.
3. All terms and conditions of the Agreement that are not expressly amended pursuant to
this Sixth Amendment shall remain in full force and effect.
4. All terms in this Sixth Amendment that are capitalized but not defined shall have the
meanings assigned to them in the Agreement.
