FIRST AMENDMENT AND FIFTH RENEWAL TO
CITY OF FORT WORTH CONTRACT NO. 54775
This First AMENDMENT AND Fifth RENEWAL ("1St Amendment and 5th Renewal") is
made and entered into by and between the CITY OF FORT WORTH, a home -rule municipal
corporation of the State of Texas, acting by and through its duly authorized representative ("City"), and
Momentus Technologies, LLC, a disregarded operating entity of UB Holdings, LLC. ("Vendor").
WHEREAS, City and Vendor entered into an agreement to provide services and licensing to City
and its Public Events Department, the same being identified as City Secretary Contract Number 54775
("Agreement"); and
WHEREAS, the parties desire to amend the Agreement to include order form Q-47593 as part of
the Agreement;
WHEREAS, the Agreement provides that the term may be renewed for an unlimited number of
additional one-year periods; and
WHEREAS, the parties wish to continue their relationship by exercising the fifth renewal option
beginning October 1, 2026 and to expire September 30, 2027.
NOW, THEREFORE, City and Vendor agree to amend and to renew and extend the Agreement
as follows:
I. AMENDMENT
City and Vendor hereby agree to amend the Agreement as follows:
Order form Q-47593, which is attached to this First Amendment and Fifth Renewal, is attached
and incorporated into the Agreement. In the case of any conflict between the terms of the Agreement
and Order Form Q-47593, the terms of the Agreement shall control.
II. RENEWAL
The parties further agree to renew and extend the Agreement for its fifth renewal term, effective
beginning on October 1, 2026 and ending on September 30, 2027 (5th Renewal Term).
(1) All terms and conditions of the Agreement that are not expressly amended pursuant to
this First Amendment and First Renewal shall remain in full force and effect.
(2) All terms in this First Amendment and Fifth Renewal that are capitalized but not defined
shall have the meanings assigned to them in the Agreement.
