HomeMy WebLinkAbout062843-A1 - General - Contract - Cayman Chemical Company, IncorporatedCSC No. 62843 -Al FORT WORTH FIRST AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 62843 This First Amendment to Fort Worth City Secretary Contract No. 62843 ("First Amendment") is made by and between the City of Fort Worth ("Buyer"), a Texas home -rule municipal corporation acting by and through its duly authorized Assistant City Manager, and Cayman Chemical Company, Incorporated ("Seller"), a Colorado corporation acting by and through its duly authorized representative. City and Vendor are individually referred to as a "Party" and collectively referred to as the "Parties." WHEREAS, on February 21, 2025, the Parties entered into an Agreement identified as Fort Worth City Secretary Contract No. 62843 ("Agreement"); WHEREAS, the Agreement allows for four (4) one-year renewal periods; WHEREAS, the Parties renewed the Agreement for its first renewal with a term of February 21, 2026, to February 20, 2027; WHEREAS, the Parties desire to amend the Agreement by replacing Exhibit D — Seller's Quote with the attached Exhibit D-1 to reflect updated pricing and additionally included items; and WHEREAS, the Parties desire to further amend the Agreement to add clarifying language for purposes of receiving and processing future quotes from the Seller. NOW, THEREFORE, Buyer and Seller do hereby agree to the following: I. AMENDMENTS The Agreement is hereby amended to replace Exhibit D — Seller's Quote with the Exhibit D-1 attached hereto and incorporated herein by reference for all purposes. The fourth paragraph on page nine of the Agreement is hereby updated to add clarifying language as follows: 24. MODIFICATIONS This contract can be modified or rescinded only by a written agreement signed by both parties. The Parties will engage in multiple transactions to purchase goods and/or services under this Agreement. For each purchase made pursuant to this Agreement, Seller must supply a quote for the subject goods and/or services and the quote must conform with the then -current market rates as stated in Exhibit D- 1. WORTH, TX Page 1 of 24 an order for the goods and/or services, that quote shall be considered an addendum to this agreement but is not required to be filed in the City records. The Parties will maintain all quotes for the 3 -year audit period included herein. II. ALL OTHER TERMS SHALL REMAIN THE SAME All terms, provisions, conditions, covenants, and recitals of the Agreement that are not expressly amended herein shall remain in full force and effect. III. ELECTRONIC SIGNATURE This Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, of a signature, shall be treated as and shall have the same effect as an original.
