FIRST AMENDMENT AND SECOND RENEWAL OF
VENDOR SERVICES AGREEMENT BETWEEN
THE CITY OF FORT WORTH AND FLIP FIVE ENTERPRISE, LLC
(CSC NO. 62091)
This FIRST AMENDMENT AND SECOND RENEWAL ("First Amendment and
Second Renewal") is made and entered into by and between the CITY OF FORT WORTH
("City"), a home -rule municipal corporation of the State of Texas, acting by and through its duly
authorized representative, and FLIP FIVE ENTERPRISE, LLC ("Vendor"), a Texas Limited
Liability Company, acting by and through its duly authorized representative. The City and
Vendor are herein referred to individually as a ("Party") and collectively as the ("Parties").
WHEREAS, on October 8, 2024, the Parties entered into a Vendor Services Agreement to
provide Youth Sports Officials for the Park & Recreation Department on an "as -needed" basis
("Services"), the same being City Secretary Contract ("CSC") Number 62091 ("Agreement");
WHEREAS, the Agreement provides a primary term of one year and four (4) one-year
renewal terms (each a "Renewal Term");
WHEREAS, effective October 8, 2025, the Parties exercised the First Renewal Term;
WHEREAS, it is the collective desire of the Parties to amend the Agreement to update the
pricing schedule;
WHEREAS, the First Renewal Term expires on October 7, 2026 and the Parties wish to
exercise the Second Renewal Term; and
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained
herein, the City and Vendor agree to amend and renew and extend the Agreement as follows:
I.
The City and Vendor hereby agree to amend the Agreement to update the Vendor's
pricing schedule, as set forth in Exhibit A-1.
City and Vendor hereby agree to renew the Agreement for a one-year period
("Second Renewal Term"), effective beginning on October 8, 2026 and expiring on October 7,
2027.
1. All terms and conditions of the Agreement that are not expressly amended pursuant to
this First Amendment and Second Renewal shall remain in full force and effect.

2. All terms in this First Amendment and Second Renewal that are capitalized but not
defined shall have the meanings assigned to them in the Agreement.
