DISCUSSION The purpose of this Mayor and Council Communication (M&C) is to conduct a public hearing on the establishment of Public Improvement District No. 24 – Rio Claro (Rio Claro PID). MM Rio Claro 620, LLC(Developer) entered into an agreement with the City on August 15, 2025, for the development of 630 acres consisting of parcels known as Rio Claro (Development), located within the corporate limits of Fort Worth and within Tarrant County pursuant to a development agreement (City Secretary Contract No. 63816, as it may be amended from time-to-time) (Agreement). To accomplish the Development envisioned by the Developer and City and to provide financing for certain improvements, the City and Developer agreed to work together to create the Rio Claro PID. The Agreement provides that the Development will be constructed in phases (each an “Improvement Area”) over a period of up to 45 years and that the Rio Claro PID assessments and bond issuances will occur for periods up to 30 years for each Improvement Area in order to reimburse Developer for certain authorized improvements. On January 6, 2026, the City Council received a petition requesting establishment of the Rio Claro PID (Petition). On August 11, 2026, the City Council adopted a Resolution accepting the filling of the Petition and setting a date for this public hearing (Resolution No. 26-6357). The Petition has been examined, verified, and found by City staff to meet the requirements of Chapter 372 of the Texas Local Government Code (Code), to substantially comply with the City’s policy for Capital Public improvement Districts, and to be sufficient for consideration by the City Council. The Petition is attached hereto and on file with the City Secretary. Proposed Boundaries: The Rio Claro PID comprises approximately 630 acres of land generally located south of Bonds Ranch Road and east of Morris Dido Newark Road, as more particularly described by the metes and bounds on file in the City Secretary's Office for review. Nature of the Improvements and/or Services: The general nature of the improvements and services (collectively, Improvements) to be provided by the Rio Claro PID consist of all items defined as authorized improvements under the Code and as further defined in both the City’s Policy for Capital Public Improvement Districts and the agreement entered into between the City and Developer on August 15, 2025. 3 of 5 When considering improvements eligible for reimbursement, any infrastructure which will be ultimately owned by the City will take highest priority. Essential improvements include the construction of lanes of Bonds Ranch Road along the Property and all lanes of Eagle Mountain Pkwy adjacent to the Property all at no cost to the City, as each are Developer obligations defined in the Development Agreement. The following in particular will not be considered as Improvements: (a) water lines and sanitary sewer lines having a diameter of less than 8” located in and serving a for sale or rent single-family home, cottage home, and/or townhome residential subdivision; (b) oversizing of water and sanitary sewer lines in and serving residential areas without City approval; and (c) local residential streets, as defined by the Fort Worth Master Thoroughfare Plan. Advisability of the Improvements: It is advisable to establish the Rio Claro PID to provide the Improvements (as described above and in the Petition). The Improvements are feasible and desirable and will promote the interests of the City and will confer a special benefit on the property in the Rio Claro PID. Estimated Costs: The total estimated costs of the Improvements is $165,000,000.00, which consists of the costs of the Improvements, bond issuance costs, legal and financial fees, credit enhancement costs, and costs incurred in the establishment, administration, and operation of the Rio Claro PID. The City may finance some portion of the Improvements using the proceeds of one or more series of bonds issued by the City and secured by assessments levied against each completed phase of the development with the Rio Claro PID. The annual cost of Improvements will be determined in accordance with an approved budget and service plan and will be paid from assessments. Apportionment of Costs: The City will not be obligated to provide any funds to finance the Improvements, other than from assessments levied on property within the Rio Claro PID. No property currently owned by the City will be assessed. The Rio Claro PID will become effective on the date the Resolution is adopted by the City Council. The Rio Claro PID may be terminated by action of the City Council following the date on which all bonds secured by the assessments have been paid off. Notice of this public hearing was published in the Fort Worth Star-Telegram and mailed to the owners of property on record and liable for assessment in the Rio Claro PID on August 28, 2026, in accordance with the Code. Recommended Policy Waivers: Given the specific circumstances of the Rio Claro development, staff recommends several waivers of the CPID Policy be approved when the CPID is formally created: Waive the requirement that a proposed CPID must consist of at least 1,500 acres in total developable land area, as the development is roughly 630 acres. The Rio Claro 4 of 5 developer also owns 836 acres in the adjacent Tarrant County Capital PID, north of Bonds Ranch Road, which relies in part on planned Rio Claro capital improvements. Waive the requirement that developers requesting establishment of a C-PID with the intent to issue bonds must identify land to be donated to the respective and appropriate Independent School District(s). Waive the limitation the CPID-funded improvements will be restricted to Major Infrastructure for only the deviations mentioned below; specifically, CPID-funded improvements in the Rio Claro development may include: o Major Infrastructure as defined in the Policy for Capital Public Improvement Districts and Master Thoroughfare Plan o three collector roads (Round Ridge Road, Dosier Creek Parkway, and Eagle Quill Road), o up to lifetime limit of $15M for other internal improvements authorized by State law; once the $15M is exhausted, assessments may only reimburse costs of Major Infrastructure as defined by the Policy for Capital Public Improvement Districts and costs of the collector roads named above Waive the limitation that CPID assessments shall only be allowed to be levied for a period of 20 years, allowing the assessment of levies for up to 30 years. Waive the limitation that any bonds issued for CPID shall specify a maturity date not longer than 20 years, allowing for a maturity date the lesser of 30 years or the remaining assessment period for that Improvement Area. Waive the limitation that debt obligations secured by and payable from CPID assessments used to reimburse for Major Infrastructure in the CPID shall be limited to a single issuance or tranche, and allowing separate bond issuances corresponding to separate improvement areas. Notwithstanding the above language, the City reserves the right to combine debt issuances for separate improvement areas if multiple or frequent debt issuances become onerous and this waiver is explicitly limited subject to that condition. Waive the requirement that bond financing will only be considered for CPIDs with a qualified project of $10M or more, with the expectation that individual bond issuances will be less than $10M but the sum of all issuances will exceed that amount. Notwithstanding the above language, the City reserves the right to combine debt issuances for separate improvement areas if multiple or frequent debt issuances become onerous and this waiver is explicitly limited subject to that condition 5 of 5 Waive the limitation that no more than one year of interest may be capitalized, allowing instead that capitalized interest funded by CPID bonds for the Rio Claro development may be up to two years. Waive the limitation that not more than 80% of the total cost of capital improvements may be included in any debt issuance and at least 50% of the direct transactional costs of debt issuance shall be paid by the applicant without remuneration or inclusion in the debt financing, allowing instead that 100% of capital improvement costs and direct transaction costs be funded through assessments and/or bonds. Waive the requirement that all debt issuances and bond sales for C-PIDs shall coincide with the City’s annual debt financing plan. Issuance will still be limited by availability of Fort Worth Mayor and Council calendar and providing for sufficient turnaround time upon receiving necessary input materials. Waive the requirement that the estimated appraised value to lien ratio with proposed capital improvements shall be no less than 3:1 on a parcel by parcel basis, allowing a value to lien ratio of 2:1 at the level of the entire improvement area. The proposed Rio Claro PID is located in Council District 7. This M&C does not request approval of a contract with a business entity. FISCAL INFORMATION/ CERTIFICATION The Director of Finance certifies that approval of these recommendations will have no material effect on City funds.
