Dba "Moonrise"CSC No. 62533-A1 R2 AMENDMENT NO. 1 RENEWAL NO. 2 TO CITY OF FORT WORTH CONTRACT NO. 62533 This Amendment and renewal is entered into by and between the City of Fort Worth (hereafter "City"), and Frame Light Group Ltd. dba. "Moonrise" ("Vendor"). City and Vendor may be referred to individually as a Party and collectively as the Parties. WHEREAS, the Parties entered into City Secretary Contract 62533, a non-exclusive agreement for Vendor to provide City with recruitment and direct hire services for permanent, full- time permanent, full-time salaried Engineering positions with City, on an as needed basis for the Water Department, Development Services Department and Transportation and Public Works Department ("Agreement"); WHEREAS, the Parties acknowledge that this is a non-exclusive agreement and there is no guarantee of any specific amount of purchase; WHEREAS, the Parties desire to correct a clerical error in Section 2, Term, of the Agreement by replacing the word "two" with "four" to accurately reflect the four (4) one-year renewal options; and WHEREAS, the Parties wish to exercise the second renewal effective December 27, 2026, and ending December 26, 2027. NOW, THEREFORE, the Parties, acting herein by and through their duly authorized representatives, enter into the following agreement: 1. AMENDMENTS Section 2, Term of the Agreement, shall be amended as follows: OFFICIAL RECORD CITY SECRETARY FT. WORTH, TX The word "two" shall be deleted and replaced with "four" to correct a clerical error and accurately reflect the four (4) one-year renewal options originally intended under the Agreement. 2. SECOND RENEWAL Pursuant to the terms of the Agreement, the Parties hereby exercise the second of four (4) one-year renewal options, extending the Agreement from December 27, 2026, through December 26, 2027. Two (2) one-year renewal options shall remain. 3. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. 4. ELECTRONIC SIGNATURE This Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original. Moonrise has had success recruiting engineers for critical roles within the Water Department and has a recruitment strategy that allows for sourcing of ideal candidates from niche markets. The Human Resources Department would like to continue working with Moonrise so that the vendor can provide recruitment services for additional positions that may arise within the Water, Development Services, and Transportation and Public Works departments over the next five years. This M&C would authorize an agreement for an annual amount of up to $250,000.00. This agreement would be on an "as needed basis" and participating departments could collectively spend up to the annual amount of $250,000.00 in a given year, if funding is available. A Request For Proposal was not required for this contract as the Human Resources Office requested and received a Chapter 252 Exemption from the Legal Department under the professional service exemption. DVIN-BE: This project was approved for a waiver per the Chapter 252 exemption under the professional service exemption by the Legal Department. Therefore, the business equity goal requirement is not applicable. TERM - This Agreement shall be effective upon execution and shall remain in effect for one year from the date of execution. RENEWALS - This Agreement may be renewed at the City's option for four consecutive terms of one year each. This action does not require specific City Council approval provided that sufficient funds have been appropriated during the renewal terms. The pricing during any renewal term shall not exceed the previous year's pricing. Funding is budgeted in the Other Contractual Services accounts within the participating departments Operating Funds, as appropriated.
