DBA PROCEDURE FLOW This First Amendment to Fort Worth City Secretary Contract No. 61496 ("Amendment") is made between the City of Fort Worth ("City") and Gemba Software Solutions, Inc. dba ProcedureFlow ("Vendor"), individually referred to as "party" and collectively as "parties." WHEREAS, City and Vendor entered into an Agreement identified as Fort Worth City Secretary Contract No. 61496 beginning July 3, 2024 ("Agreement"). WHEREAS, the current renewal term expires on July 2, 2026, unless terminated earlier in accordance with the Agreement; WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend the Agreement to add additional professional services for Communications and Public Engagement to the Agreement and increase the annual compensation by $7,500.00, for a new total annual compensation amount of $55,050.00. This amendment does not include additional licenses; and WHEREAS, it is the collective desire of the parties to amend Exhibit A of the Agreement to add a quote for professional services for the Communications and Public Engagement Department. NOW THEREFORE, known by all these present, Fort Worth and Vendor, acting herein by and through their duly authorized representatives, agree to the following terms, which amend the Agreement as follows: I. AMENDMENT Section 1 and Section 3 of the Agreement are hereby amended to be and read as follows: A. 1. Scope of Services. Vendor will provide professional services for the Communications and Public Engagement Department and provide access to its online training software for the City' s Water Department in order to enhance the training and operational efficiency of its call center staff, ("Services"), as set forth in more detail in Exhibit " A," is attached hereto and incorporated herein for all purposes. In the event there are any conflicts between the terms found in the attached Exhibit( s) and the terms found in this Agreement, the terms of this Agreement control. B. 3. Compensation. City will pay Vendor in accordance with the provisions of this Agreement, including Exhibit "A." Total annual compensation under this Agreement will not exceed fifty-five thousand and Fifty Dollars ($55,050.00). Vendor will not perform any additional services or bill for expenses incurred for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services. WORTH, TX liable for any additional expenses of Vendor not specified by this Agreement unless City first approves such expenses in writing. C. Exhibit A -1, which is attached hereto and incorporated herein, is made a part of this Agreement for all purposes, and is cumulative of prior quotes. II. ALL OTHER TERMS SHALL REMAIN THE SAME All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect. III. ELECTRONIC SIGNATURE This Amendment may be executed in multiple counterparts, each of which shall be original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original.
