HomeMy WebLinkAbout061043-A10 - Construction-Related - Contract - Event Facilities Fort Worth, Inc.CSC No. 61043-A10 TENTH AMENDMENT TO MASTER SERVICES AGREEMENT (CSC# 61043) This Tenth Amendment to Master Services Agreement ("Tenth Amendment") is made between the City of Fort Worth ("Fort Worth") and Event Facilities Fort Worth, Inc. ("EFFW"). WHEREAS, Fort Worth and EFFW entered into a Master Services Agreement identified as Fort Worth City Secretary Contract No. 61043, which has been previously amended by First Amendment to Master Services Agreement, Second Amendment to Master Services Agreement, Third Amendment to Master Services Agreement, Fourth Amendment to Master Services Agreement, Fifth Amendment to Master Services Agreement, Sixth Amendment to Master Services Agreement, Seventh Amendment to Master Services Agreement, Eighth Amendment to Master Services Agreement, and Ninth Amendment to Master Services Agreement (collectively, the "Agreement"). WHEREAS, the parties agree to amend the scope of work of the Agreement to allow EFFW to design and construct; and WHEREAS, the additional scope of work will increase the total value of the contract sum due EFFW in accordance with the Agreement, with the City reimbursing EFFW for the actual project costs, but with no additional management fee or compensation to EFFW for these services as reflected in Attachment B. NOW THEREFORE, for good and valuable consideration, Fort Worth and EFFW, acting herein by and through their duly authorized representatives, agree to amend the Agreement as follows: 1. The Agreement is hereby amended by adding the scope of work detailed on Attachment A, attached hereto, to Exhibit A of the Agreement. 2. The Agreement is hereby amended by adding the budget detailed on Attachment B, attached hereto, to Exhibit B of the Agreement. 3. All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect. WORTH, TX Tenth Amendment to Master Services Agreement Page 2 of 5 ATTACHMENT A: Justification and Preliminary Scope of Work This Attachment A is added to Exhibit A of the Agreement and authorizes EFFW to procure network switch equipment and related hardware components for the Will Rogers Memorial Center using funding from City Project No. 107213, WRMC Network Switch Replacement. The scope authorized by this Tenth Amendment is based on AmpThink PO #4013, dated September 30, 2026, and AmpThink Quote QT -8774, as referenced in the supporting proposal documents. The authorized scope is limited to the procurement of network switch equipment and associated components identified in Line Items 18 through 34 of the AmpThink proposal. A. Authorized Scope EFFW is authorized to coordinate and procure the following WRMC network switch equipment and associated components: 1. Cisco 10/25GBASE-LR SFP28 modules. 2. Cisco Catalyst 9300X 48 -port switches, including Network Advantage configuration. 3. Cisco ThousandEyes Enterprise Agent capability where included with the quoted switch configuration. 4. Cisco Network Advantage licensing and DNA Advantage licensing associated with the quoted switches. 5. Cisco DNA Spaces Extend licensing where included with the quoted switch configuration. 6. 1100W AC redundant power supply components associated with the quoted switches. 7. North America AC power cables associated with the quoted switches. 8. Cisco stacking cables and stack power cables associated with the quoted switches. 9. Cisco 9300 accessories, including rack installation screws, cable management guides, and related switch installation accessories where included in the quoted line items. 10. Cisco Catalyst 9300 8 x 10G/25G Network Module SFP+/SFP28 components. B. Project Coordination Requirements 1. EFFW shall coordinate the procurement with the City of Fort Worth, Public Events Department, WRMC operations, City IT Solutions, Gendy Street Management Corporation, Trail Drive Management Corporation, AmpThink, and any other necessary project participants. 2. EFFW shall ensure that the procured equipment aligns with the WRMC campus network switch replacement need, the existing or planned campus technology environment, and the operational requirements identified by WRMC, Gendy Street Management Corporation, Trail Drive Management Corporation, and City IT Solutions. 3. EFFW shall coordinate delivery, receipt, documentation, inventory confirmation, and turnover of the equipment. 4. EFFW shall provide or cause to be provided all relevant procurement records, invoices, packing slips, equipment serial numbers, warranty documentation, licensing documentation, and closeout documentation necessary for City records. EFFW shall coordinate with the City regarding any impacts to City -owned, City -retained, or City -supported network equipment on the WRMC campus. C. Scope Limitations 1. This Tenth Amendment authorizes procurement of network switch equipment and associated components only. 2. This Tenth Amendment does not authorize additional cabinet replacement, cabinet removal, installation labor, City IT staff time, programming, configuration, network cutover labor, additional cabling, construction work, electrical work, or other related services unless specifically included in the authorized line items or separately approved in writing by the City. 3. Any scope not expressly identified in this Attachment A, Attachment B, the Agreement, or subsequent written City authorization shall not be eligible for reimbursement under this Tenth Amendment. 4. Any increase to the authorized amount shall require written amendment or other City - approved authorization, as applicable. 5. In the event of a conflict between this Attachment A, the vendor proposal, and the Agreement, the Agreement and this Tenth Amendment shall control. The City shall reimburse EFFW for actual eligible project costs incurred in accordance with the Agreement, subject to the amount listed below. No additional management fee or compensation to EFFW is authorized for these services. Quoted prices are valid for thirty (30) days, inclusive, after quote is provided to Applicant. After that, prices are subject to change upon notice and acceptance from Applicant. Changes to pricing not accepted by Applicant will result in cancellation of the order at no cost to Applicant. PRICING FROM ONE ORDER MAY NOT BE AVAILABLE FOR SUBSEQUENT ORDERS TERMS OF SALE: All AmpThink products are sold FOB shipping point. Payment terms are calculated from invoice date. A service charge of 1.5% per month will be charged on all past due invoices. This is an annual percentage rate of 18%. If the Applicant fails to abide by the TERMS OF SALE contained herein, AmpThink reserves the right to discontinue and eliminate any price discounts or sales incentives offered to or in place with the Applicant, both retroactively and for future sales unless otherwise negotiated by the parties. Deductions from 6 payments for any reason will not be allowed unless AmpThink has issued a credit memo. All incentive and credits issued by AmpThink are personal to the account holder and are not transferable or assignable. COSTS AND ATTORNEY FEES: Applicant will pay such costs, collection agency commissions, expenses and reasonable attorney fees (including without limitation, at trial and on appeal) as AmpThink may incur in any manner of collection of any sums past due.
