The State and Local Government shall be collectively referred to as "the parties" hereinafter. WITNESSETH WHEREAS, the parties executed a contract on December 30, 2022 to effectuate their agreement for widening North Las Vegas Trail in Tarrant County; and, WHEREAS, it has become necessary to amend that contract in order to terminate the agreement because instead of executing an amendment to add additional preliminary engineering funding to the project, a new prime was inadvertently prepared and executed instead. The new agreement is therefore redundant and being terminated; NOW THEREFORE, in consideration of the premises and of the mutual covenants and agreements of the parties, the parties do agree as follows: AGREEMENT 1. The Agreement will terminate effectively when signed by the last party whose signing makes this Amendment fully executed. 2. This Agreement is being terminated because instead of carrying out an amendment to add additional preliminary engineering funding to the project, a new prime agreement was inadvertently prepared and executed. Therefore, it has become necessary to terminate that new prime agreement since it is no longer needed. Initial payment by the Local Government to the State associated with that new agreement in the amount of $504,000 was received on February 14, 2023. The State will retain the Local Government's payment of $504,000 and apply it later, to a subsequent agreement for the federally funded project on CS; Las Vegas Trail from Shoreview Dr to IH 820 (CSJ 0902-90-176).
