Scope Description and Responsibilities The attached Exhibit 1,Statement of Work describes the project tasks,responsibilities of each party and defined completion criteria. Price Description 1) Proposal firm fixed price: $7,488 2) The Tiburon Annual Maintenance Fee will increase by the following amount as a result of this Proposal: $0 3) One(1)Year Warranty is not included. 4) Training and Documentation is not included. 5) Travel and on-site time is not included. 6) This Proposal does not include any taxes levied by a government agency. Taxes, if applicable are the sole responsibility of the Client. Effective Date and Payment Schedule 1) The work described herein will be scheduled to commence at a mutually agreeable date after Client's acceptance of this Proposal. r AL RECORD ECRETARY ORTH, TX Fort Worth Police Department Enhancement Proposal(EP)-21340 Labeling Change Page 2 of 3 2) Payment Schedule: • 50% Upon Tiburon receipt of the signed acceptance of this Proposal. • 50% Upon achievement of the listed completion criteria. 3) Client's acceptance of this Proposal in the signature block provided below,authorizes Tiburon to proceed with the work described herein and confirms funding will be obligated. Any requisite contractual documents required by Client's purchasing procedures are the responsibility of the Client. 4) The terms and conditions of the above referenced Agreement,and this Proposal prevail regardless of any conflicting or additional terms and conditions on any Purchase Order or other correspondence. Any contingencies or additional terms obtained on any Purchase Order are not binding upon Tiburon. All Purchase Orders are subject to approval and acceptance by Tiburon. 5) This fixed price Proposal is valid through October 31,2010. 6) Upon execution by the Client,this Enhancement shall be incorporated into and governed by the terms and conditions of the Agreement referred to herein. The terms and conditions of the Reference Agreement,Contract executed between Tiburon,Inc.,and the City of Fort Worth,Master Support Agreement dated March 2,2007 and identified as City Secretary Contract No. 35480,and this EP prevail regardless of conflicting or additional terms and conditions on any Purchase Order or other correspondence. Any contingencies or additional terms obtained on any Purchase Order are not binding upon Tiburon. All Purchase Orders are subject to approval and acceptance by Tiburon. 7) Upon final acceptance of the Enhancement,Exhibit 1 of the referenced Agreement shall be amended to include the Enhancement as a Covered Application subject to the Client's payment of any necessary additional support fees related to the Enhancement and the Software License Agreement as set forth in the City Secretary Contract 29948, shall be amended as necessary or appropriate to grant to the Client the appropriate rights to use the Enhancement subject to payment. Fort Worth will be changing 5 divisions and each division will be broken down into four zones. Because of these changes,Fort Worth requests the following: 1. Labeling changes in ARS and RMS to show the appropriate labels for the RD code table and Geofile changes: "Rep Dist"should be"PRA", "Beat"should be"Zone"and"Area" should be"Division." 2. Chang the RD code table to show the Area as the Division.The codes will be C—Central,N- North,S-South,E-East and W-West. Fort Worth currently has A-N in this field labeled"Area". Scope Description Tiburon will provide remote technical services to perform the following: 1) Update the RD Code table and GEO Files 2) Make label changes throughout the ARS and RMS systems as follows(See Attachment A): a. "Rep Dist"should be"PRA" b. "Beat" should be"Zone" c. "Area"should be "Division" Fort Worth Police Department Enhancement Proposal(EP)-21340 Labeling Change Page 4 of 3 3) Update the Site-Area Table with C—Central,N-North,S-South,E-East and W-West. Tiburon Responsibilities 1) Prepare internal design. 2) Modify the application per the Scope Description. 3) Install the modified code in the client's test environment. 4) Correct any discrepancies in operation,based on the Scope Description,post client testing. 5) Install the modified code in the client's production environment. Client Responsibilities 1) Designate a person to be the principal point of contact for all technical questions and administrative arrangements relating to this Enhancement Proposal. 2) Provide VPN access to Tiburon development personnel. 3) Test the code for conformance with the Scope Description. Completion Criteria This work will be considered complete ten(10)business days after Tiburon has provided the Client with written notification that the change is ready for testing in the test system,or the change has been placed into production,whichever comes first. If Client does not confirm completion with a sign off letter presented by the Tiburon project manager within ten(10)business days of submittal of such letter,or otherwise notifies Tiburon in writing why completion sign-off has not been provided any final invoice(s) will be issued and will be payable in accordance with the payment terms of this Enhancement Proposal.
