PROFESSIONAL SERVICES AGREEMENT
THIS PROFESSIONAL SERVICES AGREEMENT ("Agreement") is made and entered into
between THE CITY OF FORT WORTH, a home rule municipal corporation of the State of
Texas ("City"), acting by and through Charles W. Daniels, its duly authorized Assistant City
Manager, and P.S. Roos and Associates, Inc., acting by and through Philip Roos, Ph.D., its duly
authorized representative ("Consultant"), each individually referred to herein as a "party" and
collectively referred to as the "parties."
RECITALS
WHEREAS, Consultant provides professional pre -employment psychological services;
and
WHEREAS, City is in need of professional pre -employment psychological services to
assist City in complying with state law by providing psychological evaluations to applicants
desiring to become telecommunicators, as required by the Texas Commission on Law
Enforcement ("TCOLE")* and
WHEREAS, City and Consultant desire to enter into an agreement to have such services
provided which benefit City.
NOW, THEREFORE, in consideration of the mutual covenants herein expressed, the
parties agree as follows:
AGREEMENT
1. Services. Consultant covenants and agrees that Dr. Philip Roos ("Dr. Roos"), solely and
individually, will fully perform, with good faith and due diligence, all services and objectives
described in Exhibit A, Scope of Work, which is attached hereto and incorporated herein as if
copied in full ("Services"). The City also agrees to perform the duties and responsibilities
described in Exhibit A.
2. Term.
a) Services shall be provided by Dr. Roos for an initial term beginning April 1, 2014, and
ending March 31, 2015 ("Initial Term").
b) In addition to the Initial Term of this Agreement, there shall be three options to renew for
terms of one year each (each a "Renewal Term"), at the City's option, unless this
Agreement is earlier terminated as provided herein. Renewal shall occur upon City
including in its budget for the option years sufficient funds for its obligations hereunder
and Consultant providing proof of continued certifications and insurance. The Initial
Term and Renewal Terms are collectively referred to herein as the "Term."

3. Fee. City agrees to pay Consultant $1,50.010 per applicant for administering the written
I

forms req,L,11.red by TCOLE. The total cost for,the 1nitial Term of`this Agreement shall. not exceed
$49,999.00. The City is only responsible for paying for services actually received, and does not
guarantee a certain amount of business by entering into this Agreement. The Fee shall be
compensation for all Services, actually received. Payment shall be made monthly and shall be
based upon the number of applicant evaluations processed during the previ.otts month, as
reflected by notification to the City of assessment results. No payment shall be due for any
applicant until cornpletion by Consultant of all oJOCUMentation necessary for the City to process
payments. Payment from City to Consultant shall be made on an 'Invoice basis following receipt
by City, from Consultant of a signed invoice., The invoice shall be Submitted to City, addressed

Invoices should be received no later than the 15"' day of the month following provision of any
Set-vices under this Agreement. City agrees to pay invoices within thirty (30) clays, of receipt.
4. Ten-nination. Either party may cancel this Agreement at any time and for any reason by
providing the other party witli thirty (3 ays written notice of termination. In the event, this
Agreement is terminated prior to expiration of the Term, City shall pay Consultant only for
Services,actually rendered as of the effective date of termination.
5. Independent Contractor. Consultant shall operate hereunder as an independent contractor
agent, servant, or employee of City. Consultant shall have exclusive
and not as an officer,
control of and have the exclusive right to control the details of the Services perfor-med hereunder,
and shall be solely resp�o�nsib�le for the acts and missl'ons of its officers, agents, servants and
employees. The doctrine of respon,deat superior shall not apply as between the City and
Consultant its officers, agents, servants and employees, and nothing herein shall be construed as
creating a partnership or joint enterprise between City and. Consultant. It is expressly understood
and agreed,that no officer, agent or employee of Consultant is in the paid service of City.

This Section 6 shall survive the expiration or termination of this Agreement.
7. Insurance.
7.1 During the Term of this Agreement, Consultant all carry the fiollowing insurance
coverage with a company that is licensed to do business in. Texas or' otherwise approved by the
city..
(a) Professional Liability, (Errors & Omissions) in the amount of$1,010�0,,000 per claim and

(b) Any other insurance as required by City.
7.2 General Insurance ReqUirernel"AS'.
(a) All applicable policies shall name the City as an additional insure d thereon, as its
interests, may appear. The term City shall include its employees, officers, oft'icials,
agents,, and volunteers in respect to the contracted services.
(b) Notice of Cancellation shall be provided in accordance with policy provisi0ons. Notice
shall be sent to the Risk Manager, City offort Worth, 1000 Throckmorton, 'Fort Worth,
Texas 76102, with copies to the City Attorney at the same address.
(c) The 'insurers for, all policies must be licensed and/or approved to do business in the State
oF Texas. All insurers must have a minimum rating of A-VII in the current A.M. Best

Key Rating Guide, or have reasonably equivalent financial., strength and solvency to the
satin`action of Risk Management. If the rating Is below that required, written approval of
Risk Management is required.
(d) Any t�llure on the part of the City to request required insurance documentation shall not
constitute a waiver of the insurance requirement.
(e) Certificates of Insurance evidencing that the Consultant has obtained all required
insurance shall, be delivered to the City prior to Consultant proceeding with any work
pursuant to this Agreement.
8. Assii4nment. Consultant shall not assign or subcontract all or any part of its rights,
privileges or duties under this Agreement, and any attempted assignment or subcontract of same
shall be void and constitute a breach of this Agreement.
9. Comyliance with Law. COnSUItant, its officers, agents and employees, shall abide by and
cornply with all laws, federal, state and local, including all ordinances, rules and regulations of
City. It is agreed and understood that, if City calls to the afte,tition, of ConSUltant any such
violation on the part of Constiltant or any of its officers, agents or employees, then, Consultant
shall immediately desist from and correct such violation.
10. Non-Discrii-ninatlon. Consultant, in the execution, performance or attempted
perforl-nance of-this contract and Agreement, will not discrinninate agaih.ist any person or persons
because of disability, age, familial status, sex, race, religion, color, national origin., sexual
orientation, trans ender status, gender identity or gender expression, nor will Consultant permit
its officers, agents or employees to engage in such discrimination.
This Agreement is made and entered into with reference specifically to Chapter 17,
Article 111, Division 31, of the City Code of the City of Fort Worth ("Discriml nation in
Employment Practices"), and Consultant hereby covenants and agrees that Consu1tant, its agents,
employees have ffilly complied with all provisions of same and that no employee or employee-
applicant has been discrinlinated against by either Consultant its agents or employees.
11. Right to Audit. Consultant agrees that the City shall, until the expiration of three (3)
years after renal payment under this Agreement, have access to and the right to examine any
directly pertinent books, documents, papers and records of the Consultant involving transacti.ons,
relating to this Agreement at no additional cost to the City. The City agrees to pay for the
able cost of any necessary copies *in rdance with the applicable provisions of the

Texas Administrative Code. Consultant agrees that the City shall have access during normal
working hours to all necessary Consultant facilities and shall be prodded ded adequate and
appropriate workspace in order, to conduct audits in compliance with the provisions of this
section. The City shall give Consultant reasonable advance notice of Intended audits.,

12. Fiscal Funding. In the event no funds or 111SUfficient funds are appropriated by the City
in any fiscal period for any payments hereunder, (.."lity will notify Consultant of such Occurrence
and this Agreement shall terminate on the last day of the fiscal period for which appropriations
were received without penalty or expense to City of any kind whatsoever, except as to 'the
portions of the payments herein agreed upon ,for which funds shall have been appropriated.
1,3. Entire Agreement. T'his, written instrument constitutes the entire agreement by the parties
hereto concerning the work and Services to be performed hereunder, and any prior or
contemporaneous, oral or written agreement, which purports to vary -from, the terms hereof shall
be void.
14. Not an Exclusi've Agreement. This Agreement in no way is intended to be an exclusive
agreement for rendering such Services described in Exhibit A. City reserves the right to use
alternate consultants, and such use of alternate consultants shall not be consIdered a breach of
this Agreement.
15. Goveming Law and Venue. This Agreement shall. be governed by and construed in
accordance with the laws of the state of Texas. Should any action, whether real or asserted, at
law or in equity,, arise out of the execution,, performance, attempted performance of this
Agreement, venue for said action shall fie in Tarrant County, Texas,
16. Notices. Notices regarding the contractual relationship entered into by this Agreement
shall be sufficient if forwarded to the other party by hand-delivery or via U.S. Postal Service
certified mail, postage prepaid, to the addres,s,of the other party shown below:

17. N r on-Waiver. The failure of City or Consultant to insist upon the perfonnance of any
term or provision of this Agreement or to exercise any right herein conferred shall not be
construed as a waiver or relinquishment to any extent of City's or Consultant's right to assert or
rely upon any such to or right on any future occasion.
18. Disclosure of Conflicts.•, Pro,p.rj etary,and Confidential Information.
a) Consultant hereby warrants to the City that Consultant has made full disclosure in
writing of any existing or potential conflicts of interest related to Consultant's
Services and proposed Services with respect to this Agreement. hi the event that any
conflicts of 'Interest arise after this Agr,eem,ent becomes effective, Consultant hereby
agrees immediately to make full disclosure to the City in writing.
b) The City acknowledges that Consultant may use products, materials or methodologies,
proprietary to Consultant. The City agrees that Consultant's provision of Services
under this Agreement shall not be grounds for the City to have or obtain any rights in
such proprietary products, materials or methodologies unless the parties have
executed a separate written agreement,with respect thereto.

or otherwise received by it from the applicant, as confidential, and Shall not disclose
any such Information to any third party Wit Out the prior written approval ot'the City.
19. Severa ff any provision of this Agreement is held to be *invalid, illegal, or
unenforceable, the validity, legality and enforceability of the remaining provisions shall not in
any way be affected or impaired.
201. Force Maiguie. The City and Consultant shall exercise their, best efforts to meet their
respective duties and obligations as set forth in this Agreement, but shall not be held, liabile for
any delay or omission in performance due to force rr ijeUre or other causes beyond their
reasonable control,, including, but -not limited to, comptiance with any government law,
ordinance or regulation, acts of God, acts of ornission, fires, strikes, lockouts, national disasters,
wars, riots, material or labor restrictions by any governmental authority,, transportation problems
and/or any other similar causes,.

21. Headings not Controlling. Headings and titles used in this Agreement are for reference
purposes only and shall not be deemed a part of this Agreement.
IN WITNESS WHEREOF, the parties hereto have executed this agreement in multiples originals
in Fort Worth, Tarrant County, Texas, to be effective as of the date set forth in Section 1 herein.

Scope of Work
'The City desires to engage the services, of a psychologist or a psychiatrist as an
independent consultant to perform pre-einployment psychological evaluations to applicants
desiring to become telecommunic,ators,, as required by state law and the Texas Commission on
Law Enforcement ("TCOLE") and in. accordance to the Professional Services Agreement to
which this Exhibit A is attached (the"Agreement").
Consultant affin-ris that he or, she is licensed to practice in Texas by the State Board of
Examiners of Psychologists or, the Texas Medical Board, and desires to render professional
services fior City on the terms and conditions provided in the Agreement; is familiar with the
duties of telecommunicators, employed by the City of Fort Worth; has specialized knowledge in
the use of psycho diagnostic and personality tests for employment selection decisions; has a
working knowledge of and will abide by the laws related to the erg iployment screening process
in Texas, including the one attached to this Exhibit as Appendix A; and will abide by the
Americans with Disabilities Act, as, amended, and all other laws relevant to the Agreement and
the scope of work to! be performed.
THEREFORE,,, by this Exhibit A and the Agreement, and based upon, Consultant's
affirmations,, City retains, the services of Consultant, and in consideration o�f'the mutual promises
contained herein and in the Agreement,, the parties agree as follows.
SERVICES TO BE PROVIDED BY AND RESPONS11311,1T]'ES OF CONSULTANT
A. Consultant shall administer pre-employment psychological examinations to
applicants seeking to becorne telecommunicators in the City of Fort Worth
(hereinafter referred to as "Applicants") as may be required from time to time on a
scheduled basis.,
B. All examination processes must be conducted pursuant, to professionally recognized
standards and methods.
C. The examination process for each Applicant must consist of a review off"the current
job: description for telecon-ii-nunicators eniployeld by the City of Fort Worth an
example of which is attached hereto as Appendix B); review of the Applicant's
pers,onal history statements if any, background documents, or a summary of such
documents, which will be provided by police department staff to the Consultant at or
near the ti me! of the Consultant's interview of the Applicant; scoring and review of at
least two Instruments, one which measures personality traits (and one which measures
psychopathology; and a face-to-face interview conducted after the instruments have
been scored.
D. The Consultant shall determine which two instrunients to utilize in order to nleasure
the Applicants' personality traits and psychopathology, although all Applicants
should be given the same 'two tests. The parties to the Agreement will determine

whether the tests should be administered at the police training academy or in some
other City-owned fiacIlIty. The tests will be adi-ninistered by the Consultant and/or
his or her staff.
E. Consultant will conduct the individual Interviews of` the Applicants at the police
training academy or other city-owned facility. The Fort Worth Police Department
("FWPD") will schedule the interviews after conferring with the Consultant
regarding availability. The face-to-face interview of each Applicant should, entail a
meaningful discussion that, along with the review of the relevant test scores,, personal
history statements, if any, and background information, would enable the Consultant
to determine whether the Applicant is in satisfactory psychological and emotional
health to serve as a telecommunicator.
F'. J'he Consultant shall complete and submit to the City his or her determination as to
whether an Applicant can fulfill the essential Job functions of a City of Fort Worth
telecornmunicator on a form provided by F and promulgated by "T"COLE for
that purpose. J`he most current version of that form as of the effective date of this
Agreement can be found at www.tcole.teLca.j.-Y,ov, an example of which is attached
hereto as Appendix C.
G. The Consultant shall also draft a written report, regarding each Applicant. The
written reports shall include an assessment of each Applicant, including a clear and
definitive determination as to whether the 'A' p plicant can perform the essential job
functions of a Fort Worth telecomMUnicator. Narrative reports shall be confined to
job-related reasons that the Applicant should or should not be hired, and should avoid
clinical diagnostic labels or terms that would not be understood by laymen. Any
recommendation of disqUal i fi cation shall be based on an applicant's inability to
perform the essential psychologIcal functions of a telecommunicator's duties,. Such
reports should be maintained by Consultant for no less than three (3) years from, the
date of the relevant evaluation.
R. Consultant shall prepare and submit to the FW_PD his or her final determination on
the appropriate TOOL E-proinulgated form within 7 calendar days of the face-to-face
evaluation.
L All questions regarding the testing procedures, scheduling or other issues or concerns
related to the Scope ol I Work of this Agreement should. be directed tote Human
Resources Coordinator for, -the Police Department, or his or her designee. All
completed TCOLE fornis regarding applicants should also be provided to the Human

3'. Consultant may be required to provide testimony regarding the validity of the
psychological screening process and the tests conducted. Consultant shall maintain
at his or her place of business complete and accurate records, of all examinations of
Applicants and employees to support his or her testimony.
K. Consultant shall provide written proof that he or she is licensed to practice in the
state of r Irexas by the State Board of Examiners of Psychologists or the Texas
Medical Board, and shall notify City if his or her licens,ure is suspended or
terminated while the Agreement is in effect.
L. Consultant shall provide written proof that he or she holds the insurance required by
the terms of the Agreement.
11. DUTIES AND RESPONSIBILITIES O�F CITY
A. City shall provide access to facilities for the written examinations and face-to-
face interviews of the Applicants.
B. City, through the FWPD, shall coordinate with the Consultant to schedule the
testing and face-to�-face interviews.
C. City, through the FWPD, shall provide relevant documents, including the
applicants' personal history statements, if any, background documents, or a
summary of those documents, to the Consultant for review.
D. City shall pay the Consultant for his or her services as outlined in the Agreement.

officer for which the license is sought. The examination must be conducted pursuant to
professionally recognized standards and metliods. The examination process must consist of a
review of ajob, description for the position sought- review of any personal history statements;

PEFINITION
To receive and respond to emergency and non-emergency calls from the general public; to route
calls to appropriate emergency services; and to perform a variety of technical tasks relative to

DISTINGUISHING CHARACTERISTICS
This is the entry leveli class in the IPublic Safety Communicator series. Th�ils class is distinguished
from the Public Safety Communicator 11 by the performance of the more routine tasks and duties
assigned to positions within the series including responding to em'ergenc and non-emergency
calls and routing to appropriate servic,es. Since this class is typically used as a training class,
employees may have only limited or no directly r llatedl work experience.
SUPERVISION RECEIVED AND EXERCISED
Receives immediate supervision from higher level communications staff.
