STANDARD AGREEMENT FOR PROFESSIONAL SERVICES
This AGREEMENT is between the City of Fort Worth, a Texas home-rule municipality
(the "CITY"), and Savant Group, Inc., authorized to do business in Texas, an independent
contractor ("Consultant"), for a PROJECT generally described as: Traffic Study for Trinity
Park- Universal Playground Improvements.
Article I
Scope of Services
(1) Consultant hereby agrees to perform as an independent contractor the services set
forth in the Scope of Services attached hereto as Attachment "A". These services
shall be performed in connection with Traffic Study for Trinity Park - Universal
Playground Improvements.
(2) Additional services, if any, will be requested in writing by the City. City shall not pay
for any work performed by Consultant or its subconsultants, subcontractors and/or
suppliers that has not been ordered in writing. It is specifically agreed that
Consultant shall not be compensated for any alleged additional work resulting from
oral orders of any person.
Article II
Compensation
Consultant shall be compensated in accordance with the Fee Schedule shown in
Attachment "B". Payment shall be considered full compensation for all labor, materials,
supplies, and equipment necessary to complete the services described in Attachment "A".
However the total fee paid by the City shall not exceed a total of $12,650.00 unless the
City and the Consultant mutually agree upon a fee amount for additional services and
amend this Agreement accordingly.
The Consultant shall provide monthly invoices to the City. Payment for services rendered
shall be due within thirty (30) days of the uncontested performance of the particular
services so ordered and receipt by City of Consultant's invoice for payment of same.
Acceptance by Consultant of said payment shall operate as and shall release the City from
M all claims or liabilities under this Agreement for anything related to, done, or furnished in
C-) connection with the services for which payment is made, including any act or omission of
the City in connection with such services.

Article III
Term
Unless terminated pursuant to the terms herein, this Agreement shall be for a term of 90
Calendar Days, beginning upon the date of its execution, or until the completion of the
subject matter contemplated herein, whichever occurs first.
Article IV
Independent Contractor
Consultant shall operate hereunder as an independent contractor, and not as an officer,
agent, servant, or employee of the City. Consultant shall have exclusive control of and the
exclusive right to control the details of its work to be performed hereunder and all persons
performing same, and shall be solely responsible for the acts and omissions of its officers,
agents, employees, contractors and subcontractors. The doctrine of respondent superior
shall not apply as between City and Consultant, its officers, agents, employees, contractors,
and subcontractors, and nothing herein shall be construed as creating a partnership or joint
venture between City and Consultant.
Article V
Professional Competence and Indemnification
(1) Work performed by Consultant shall comply in all aspects with all applicable local,
state and federal laws and with all applicable rules and regulations promulgated by
the local, state and national boards, bureaus and agencies. Approval by the City
shall not constitute or be deemed to be a release of the responsibility and liability of
Consultant or its officers, agents, employees, contractors and subcontractors for the
accuracy and competency of its services performed hereunder.
(2) In accordance with Texas Local Government Code Section 271 .904, the Consultant
shall indemnify, hold harmless, and defend the City against liability for any damage
caused by or resulting from an act of negligence, intentional tort, intellectual
property infringement, or failure to pay a subcontractor or supplier committed by the
Consultant or Consultant's agent, consultant under contract, or another entity over
which the Consultant's exercises control.

Article VI
Insurance
(1) Consultant shall not commence work under this Agreement until it has obtained all
insurance required under this Article and the City has approved such insurance, nor
shall Consultant allow any subcontractor to commence work on its subcontract until
all similar insurance of the subcontractor has been so obtained and approval given
by the City; provided, however, Consultant may elect to add any subconsultant as
an additional insured under its liability policies.
Commercial General Liability

$1,000,000 each accident (or reasonably equivalent limits of
coverage if written on a split limits basis). Coverage shall be
on any vehicle used in the course of the Project.
Worker's Compensation
Coverage A: statutory limits

$100,000 disease - each employee
(2) Additional Insurance Requirements
a. Except for employer's liability insurance coverage under Consultant's worker's
compensation insurance policy, the City, its officers, employees and servants shall
be endorsed as an additional insured on Consultant's insurance policies.
b. Certificates of insurance shall be delivered to the Parks and Community Services
Department, Attention: Scott E. Penn, 4200 S. Freeway, Suite 2200, Fort Worth,
TX 76115, prior to commencement of work.
c. Any failure on part of the City to request required insurance documentation shall
not constitute a waiver of the insurance requirements specified herein.
d. Each insurance policy shall be endorsed to provide the City a minimum thirty days
notice of cancellation, non-renewal, and/or material change in policy terms or
coverage. A ten days notice shall be acceptable in the event of non-payment of
premium.

e. Insurers must be authorized to do business in the State of Texas and have a
current A.M. Best rating of A: VII or equivalent measure of financial strength and
solvency.
f. Other than worker's compensation insurance, in lieu of traditional insurance, City
may consider alternative coverage or risk treatment measures through insurance
pools or risk retention groups. The City must approve in writing any alternative
coverage.
g. Workers' compensation insurance policy(s) covering employees employed on the
Project shall be endorsed with a waiver of subrogation providing rights of recovery
in favor of the City.
h. City shall not be responsible for the direct payment of insurance premium costs
for Consultant's insurance.
i. Consultant's insurance policies shall each be endorsed to provide that such
insurance is primary protection and any self-funded or commercial coverage
maintained by City shall not be called upon to contribute to loss recovery.
j. In the course of the Agreement, Consultant shall report, in a timely manner, to
City's officially designated contract administrator any known loss occurrence which
could give rise to a liability claim or lawsuit or which could result in a property loss.
k. Consultant's liability shall not be limited to the specified amounts of insurance
required herein.
I. Upon the request of City, Consultant shall provide complete copies of all
insurance policies required by these Agreement documents.
Article VII
Transfer or Assignment
City and Consultant each bind themselves, and their lawful successors and assigns, to this
Agreement. Consultant, its lawful successors and assigns, shall not assign, sublet or transfer
any interest in this Agreement without prior written consent of the City.
Article VIII
Termination of Contract
(1) City may terminate this Agreement for its convenience on 30 days' written notice.
Either the City or the Consultant for cause may terminate this Agreement if either
Party fails substantially to perform through no fault of the other and does not

commence correction of such nonperformance with 5 days of written notice and
diligently complete the correction thereafter
(2) If City chooses to terminate this Agreement under Article 8, upon receipt of notice of
termination, Consultant shall discontinue services rendered up to the date of such
termination and City shall compensate Consultant based upon calculations in Article
2 of this Agreement and Exhibit "B" attached hereto and incorporated herein.
(3) All reports, whether partial or complete, prepared under this Agreement, including
any original drawings or documents, whether furnished by the City, its officers,
agents, employees, consultants, or contractors, or prepared by Consultant, shall be
or become the property of the City, and shall be furnished to the City prior to or at
the time such services are completed, or upon termination or expiration of this
Agreement.
Article IX
Right to Audit
(1) Consultant agrees that the City shall, until the expiration of three (3) years after final
payment under this Agreement, have access to and the right to examine any directly
pertinent books, documents, papers and records of Consultant involving transactions
relating to this Agreement. Consultant agrees that the City shall have access during
normal working hours to all necessary facilities and shall be provided adequate and
appropriate workspace in order to conduct audits in compliance with the provisions of
this section. City shall give Consultant reasonable advance notice of intended audits.
(2) Consultant further agrees to include in all its subcontracts hereunder, a provision to
the effect that the subcontracting consultant agrees that the City shall, until the
expiration of three (3) years after final payment under the subcontract, have access
to and the right to examine any directly pertinent books, documents, papers and
records of such sub-consultant, involving transactions to the subcontract, and
further, that City shall have access during normal working hours to all sub-
consultant facilities, and shall be provided adequate and appropriate work space in
order to conduct audits in compliance with the provisions of this article. City shall
give Consultant and any sub-consultant reasonable advance notice of intended
audit.
(3) Consultant and sub-consultants agree to photocopy such documents as may be
requested by the City. The City agrees to reimburse Consultant for the cost of copies
at the rate published in the Texas Administrative Code in effect as of the time copying
is performed.

Article X
Minority and Women Business Enterprise (M/WBE) Participation
In accordance with City Ordinance No. 15530, the City has goals for the participation of
minority business enterprises and woman business enterprises ("M/WBE") in City contracts.
Consultant acknowledges the M/WBE goal established for this Agreement and its
commitment to meet that goal. Any misrepresentation of facts (other than a negligent
misrepresentation) and/or the commission of fraud by the Consultant may result in the
termination of this Agreement and debarment from participating in City contracts for a period
of time of not less than three (3) years.
Article XI
Observe and Comply
Consultant shall at all times observe and comply with all federal, state, and local laws and
regulations and with all City ordinances and regulations which in any way affect this
Agreement and the work hereunder, and shall observe and comply with all orders, laws
ordinances and regulations which may exist or may be enacted later by governing bodies
having jurisdiction or authority for such enactment. No plea of misunderstanding or ignorance
thereof shall be considered. Consultant agrees to defend, indemnify and hold harmless City
and all of its officers, agents and employees from and against all claims or liability arising out
of the violation of any such order, law, ordinance, or regulation, whether it be by itself or its
employees.
Article XII
Venue and Jurisdiction
If any action, whether real or asserted, at law or in equity, arises on the basis of any
provision of this Agreement, venue for such action shall lie in state courts located in
Tarrant County, Texas or the United States District Court for the Northern District of Texas
— Fort Worth Division. This Agreement shall be construed in accordance with the laws of
the State of Texas.
Article XIII
Contract Construction
The Parties acknowledge that each party and, if it so chooses, its counsel have reviewed
and revised this Agreement and that the normal rule of construction to the effect that any
ambiguities are to be resolved against the drafting party must not be employed in the
interpretation of this Agreement or any amendments or exhibits hereto.

Article XIV
Severability
The provisions of this Agreement are severable, and if any word, phrase, clause,
sentence, paragraph, section or other part of this Agreement or the application thereof to
any person or circumstance shall ever be held by any court of competent jurisdiction to be
invalid or unconstitutional for any reason, the remainder of this Agreement and the
application of such word, phrase, clause, sentence, paragraph, section, or other part of this
Agreement to other persons or circumstances shall not be affected thereby and this
Agreement shall be construed as if such invalid or unconstitutional portion had never been
contained therein.
Article XV
Notices
Notices to be provided hereunder shall be sufficient if forwarded to the other Party by
hand-delivery or via U.S. Postal Service certified mail return receipt requested, postage
prepaid, to the address of the other Party shown below:

Parking Study
Fort Worth, Texas
Savant Group, Inc. (SGI) is looking forward to the opportunity to serve your traffic
engineering needs. The following details our proposal for your project and identifies the
fee associated with the work.
Scope of Services
SGI will provide traffic engineering services to the City of Fort Worth (Client) as detailed
below for a large, new ADA-accessible playground facility at the existing Trinity Park in
Fort Worth, Texas. Our scope of services and fee are based on discussions with the City
of Fort Worth (City) but does not include discussions with any other agency. The scope is
based on our understanding of what will be required by the City in order to meet City
requirements. Any change to the scope of work based on additional requirements by the
City may result in an increase in the fee associated with the project.
The new playground is anticipated to attract new trips to the park by multiple modes of
transportation. The existing supply of automobile parking near the location of the
proposed playground will be compared to forecast demand for parking.
Recommendations will be made about parking layout in the context of safety and
accessibility for users of multiple modes of transportation.
The following information will be required from the City to assist in the analysis:
1. A diagram of the site showing existing roadways and parking areas in relation
to the location of the new playground.
2. Estimated square footage of new playground structure equipment versus the
existing playground (i.e. not including mulched or other open space between
playground structures).
3. Information or sketches regarding areas where new parallel or off-street

< Task A: Parking Study

The following tasks will be performed to complete the parking study:
1. Site Visits: A site visit will be performed at Trinity Park and two other locations to
inventory current conditions and confirm the following conditions for data collection.
The study parks include:
a. Trinity Park, Fort Worth — at 2401 University Drive, Trinity Park offers
visitors river access, picnic pavilions, a playground, a fishing pier, and fitness
and biking trails. The Forest Park Miniature Railroad, a family and children's
attraction, runs from a depot in the park south to a depot adjacent to the Fort
Worth Zoo.
b. Hope Park, Frisco — at 8000 McKinney Road, Hope Park includes a large
handicapped accessible play area, a grand pavilion, large performing
amphitheater, large fully stocked pond, veteran's memorial, nature garden,
spray park, picnic tables and benches, barbecue grills, one mile of walking
trails, and restrooms.
c. Heritage Park, Flower Mound — at the corner of Spinks Road and Garden
Ridge Blvd, this park includes the Fort Wildflower all-inclusive playground, a
pavilion, picnic tables, restrooms, and multi-use trails. It is adjacent to
Gerault Park to the west, which has softball and soccer fields and a
community activity center.
The number of auto parking spaces at each facility will be recorded and categorized
into handicap parking, regular perpendicular parking, and on-street parallel parking.
The number of bicycle parking spaces will also be identified, as will trail and
sidewalk access points. Other types of preferential parking for different types of
visitors, if any, will be inventoried, and field inventory maps will be prepared to
assist data collection staff for the parking utilization study task.
At Trinity Park, the site review will include identification of primary desire lines for
pedestrian crossings across Trinity Park Court, and an evaluation of sight distance
between car drivers and pedestrians at those locations, as well as identification of
locations where parking might be restricted to improve sight distance.
2. Parking Utilization Studies: These studies aim to identify the maximum number of
parking spaces used at each park during peak times. The parking utilization
studies will be customized to suit the layout and characteristics of each park:
a. Trinity Park: Most parking currently available is parallel parking along
Trinity Park Court, which runs one-way northbound past the playground.
Small parking lots are also present near the playground, train depot, and
picnic pavilion. On-street parking will be inventoried along Trinity Park Court
from the intersection with Rock Springs Road north to the intersection with
River Drive (shown as Trinity Park Drive in Google Maps). We will
categorize cars utilizing the park versus those using the train depot, to the
best of our abilities.

On-street and surface lot spaces, as well as bicycle parking, will be sampled
by a roving data collector for occupancy approximately every 60 minutes
between 11:00 am and 3:00 pm on a typical Saturday (five, individual spot
measurements). Data collection staff will take note of the number of families,
autos, and bicycles present near the existing playground at each 60 minute
interval, so that the portion of the parking demand associated specifically
with the existing playground can be estimated versus the demand for the
surrounding park area. Special events, including ongoing road closures
surrounding breakdown of MayFest, will be avoided as per coordination with
City Parks Department staff.
b. Hope Park: Only a single auto access point to the park exists, so the auto
parking study will be conducted by placing automated traffic data recorders
("tube" counters) across the entrance to the park and calculating the hourly
accumulation of vehicles (net entered minus exited) to determine the peak
parking demand. The counters will be set the prior day or early enough in
the morning that the parking accumulation can be assumed to be zero for the
early morning hours.
Bicycle parking will be sampled by a roving data collector for occupancy
every 60 minutes between 11:00 am and 3:00 pm on a typical Saturday, and
they will also watch for any overflow parking areas people may use.
c. Heritage Park: A two-way loop off of Spinks Road exists for all auto access
to the park. Some visitors may park at Gerault Park to the west and use
trails to access the playground area, but for purposes of this study it will be
assumed that all parking demand for the playground occurs at Heritage Park.
Surface lot spaces, as well as bicycle parking, will be sampled by a roving
data collector for occupancy every 60 minutes between 11:00 am and 3:00
pm on a typical Saturday.
Inquiries have been made to the Cities of Frisco and Flower Mound about available
traffic or parking data for Hope and Heritage Parks. Should data be available
sufficient to characterize the parking needs at any of the parks, other similar parks
in the region may be identified for supplemental data gathering.
SGI will coordinate with the jurisdiction maintaining reservation lists for rental
facilities at each park to determine when any rentals or other special events are
underway. Since Hope Park in particular has very large pavilions, data collection
will be avoided, if possible, during periods when the pavilions are rented in order to
isolate, as much as possible, the trip generating characteristics of the playground
alone.

Studies will be collected during weather favorable for park visitors (forecast
temperatures 60-90 degrees and forecast precipitation < 30%). Data collection staff
will carry an authorization letter from the City of Fort Worth and each of the
applicable maintaining jurisdictions authorizing the study to avoid inquiries about
suspicious behavior.
3. Mode Share/Trip Purpose Studies: These studies will help identify if parking
demand for the new playground at Trinity Park is likely to be reduced relative to the
other locations sampled due to the greater number of travel options available to
visitors at Trinity Park. With Fort Worth's more urban environment, denser
population, bicycle network, and the miniature train arriving from the zoo, valuable
open space and tree cover may be preserved by providing less parking than for the
other suburban locations sampled. As with the parking utilization studies, the
determination of the current transportation mode share at each park will be
estimated in different ways based on the characteristics of each park:
a. Trinity Park: Because the number of vehicular and active transportation
access points to the proposed playground area is limited, the mode share for
Trinity Park can be measured by direct observation. A video traffic data
recorder will be located on Trinity Park Court just north of Rock Springs
Road to record automobile, bicycle, and pedestrian traffic volume between
11:00 am and 3:00 pm on a typical Saturday. Pedestrian and bicycle counts
will be segregated into children and adult categories. Only auto, bicycle, and
pedestrian traffic entering the park will be counted. A count location will also
be established at the riverside trails under the railroad bridge just north and
east of the playground area where southbound entry for entering bicyclists
and pedestrians is possible.
SGI will coordinate with the City and the miniature railroad operator to obtain
any available information about ridership patterns at the Trinity Park Depot.
If unavailable, a schedule will be obtained from the railroad operator for the
day of data collection so that boarding and alighting counts can be taken in
between other measurements.
b. Hope Park & Heritage Park: The playground areas at these two parks are
well-defined, with a fence perimeter allowing access from only one point near
the parking lot. A roving data collector will approach adult visitors entering
the playground area to administer the following 2-question survey:
I. How did you come to the park today? (Car, walk, or bike)?
II. How many adults and children are in your group?
The roving data collector will administer the survey in between the 60-minute
parking data collection sampling periods. Roving will only be required to
check bicycle parking at Hope Park, but will be required to check auto and

bicycle parking at Heritage Park. Due to the smaller size of the parking lot at
Heritage Park, one person is anticipated to be required at each park.
4. Parking Analysis: Data from the previous tasks will be used to generate person
trip and vehicle trip generation rates for the peak Saturday hour, as well as peak
auto and bicycle parking requirements for each park and average rates for the two
non-Fort Worth playgrounds. The average rates will be based on the square feet of
play space as the independent variable so that the forecasts for the Trinity Park
playground will be scalable based on the actual size of the play space planned.
Brief outreach/research will be undertaken to identify any other rates available from
other similar playground locations nationally. If any are identified, they will be
considered and incorporated with the locally-developed rates.
Adjustments to the rates will be considered based on the relative density of children
living within a 10-mile radius of Trinity Park relative to the child population density
around the other parks studied, based on available census and GIS data.
Also, reductions in auto trips may be assumed for Trinity Park based on existing
bicycle infrastructure, with the understanding that the new playground may attract a
somewhat lesser bicycle and pedestrian mode share than the existing park, whose
primary attractions for many visitors involve walking and cycling through trips. The
mode share for children entering the existing park via non-auto modes will be
considered in making this adjustment.
The final parking generation rate will be used in conjunction with the planned size of
the Trinity Park playground to estimate the peak future parking demand versus the
existing demand. The peak parking demand for the new playground will be added
to the portion of the existing parking demand estimated to not be associated with
the current playground. The total future parking demand for the section of Trinity
Park to include the new playground will be compared to the existing parking supply
to determine if adequate supply exists or if a deficiency requires construction of
additional parking.
5. Safety Analysis: Based on the field visit, the data gathered, and parking
requirements calculated from the previous steps, recommendations will be made
about providing parking on the west side of Trinity Park Court in lieu of the east side
as currently provided. Recommendations will be made as to whether to allow, how
to accommodate, or how to discourage parking on both sides of the street, as aerial
photography indicates is occurring presently. Recommendations may include
concept sketches for crosswalk signing and striping, parking restrictions in areas of
limited sight distance, etc.
6. Summary Report: When the study is complete, a draft report will be prepared and
submitted to the City for review. The report will include annotated maps/aerial
photos of each park studied, as well as summary charts and tables to illustrate

findings. SGI Engineers will revise the report to address review comments
received. SGI Engineers will finalize the report and submit a PDF copy and up to 4
hard copies to the City. All raw traffic data will be included as an appendix to the
report.
7. Meetings: SGI has budgeted one meeting to discuss the results of the study with
the City at the conclusion of the project before the final report is submitted.
Task B: Additional Services
Additional analysis such as traffic control device (signing or pavement marking) design,
parking lot design, or capacity analysis for intersections or roadways are not included in
this scope of services.
This scope does not include coordination or meetings with the City of Fort Worth or other
cities or agencies for obtaining permission for or approval of the requested studies outside
of what is included in the tasks listed above. If required, these services can be performed
on an hourly basis plus expenses.
Deliverables
• Parking Study report submitted in a PDF format with up to 4 hard copies.
Schedule
A draft report will be submitted to the City within eight weeks after receiving notice to
proceed. Additional time may be needed if poor weather or other scheduling
conflicts at the subject parks delay data collection. SGI Engineers will notify the City
within two business days of becoming aware of any conflicts that may delay the schedule.
Coordination with other jurisdictions for data collection efforts will begin immediately upon
a receipt of NTP. Any comments to the draft parking study will be addressed within one
week and a final report will be submitted to the City.

Any tasks completed that are outside the above defined scope will be performed on an
hourly basis, and an upset limit will be established. The upset limit is the amount of
money that may be billed without further authorization and a best estimate of what is
realistic to complete the task with the information available. You may choose to authorize
an increase should you feel that the scope warrants a change.
It is expected that invoices will be paid upon receipt; interest at the rate of 1.5% per month
will accrue after 30 days of issuance unless prior arrangements are made. The fees
