HomeMy WebLinkAboutContract 42249 CITY SECRETARY CONTRACT NO. �� 9 ROAD PROJECT AGREEMENT This ROAD PROJECT AGREEMENT ("Agreement") is made by and between the CITY OF FORT WORTH (the "City"), a home rule municipality organized under the laws of the State of Texas, and TTI,INC. ("TTI"), a Delaware corporation. WHEREAS, TTI desires to make certain improvements to a portion of Northeast Parkway, a public right-of-way located in the City, as more specifically set forth in this Agreement (the "Project"); and WHEREAS, the City and TTI have entered into an Economic Development Program Agreement (City Secretary Contract No. 41746) dated May 3, 2011 that, among other things, requires TTI to complete the Project("the"Economic Development Program Agreement"); and WHEREAS, TTI and McClendon Construction Co. ("Contractor"), Inc. have entered into a Standard Form of Agreement as part of the SPECIFICATIONS AND CONTRACT DOCUMENTS FOR PAVING AND DRAINAGE IMPROVEMENTS FOR NORTHEAST PARKWAY (2011), D.O.E. NO. 6650, FILE NO.: K-2166, CITY PROJECT NO.: 01707;and WHEREAS, the City is willing to consent to such request solely in accordance with the terms and conditions of this Agreement and pursuant to the intent of the parties as expressed in the Economic Development Program Agreement; NOW, THEREFORE, in consideration of the mutual benefits and promises contained herein and for other good and valuable consideration, the receipt and su iciency of which is herby acknowledged,the City and TTI agree as follows: OFFICIAL. RECORD CITY ECRETARY General Requirements FT. WORTH, .I.X A. The Policy for the Installation of Community Facilities dated March 21001, approved by the City Council of the City of Fort Worth and subsequently amended (the "Policy"), is hereby incorporated by reference as part of this Agreement for all purposes. Unless otherwise specifically stated herein, TTI agrees to comply with all provisions of the Policy applicable to a "Developer" in the performance of TTI's duties and obligations hereunder and to cause all contractors hired by TTI, including Contractor, to comply with all provisions of the Policy applicable to a "Developer" in connection with the work performed by such contractors. B. TTI shall not be required to provide a developer's financial security in conformance with paragraph 6, Section 11, of the Policy. C. TTI agrees to cause the construction of the Project and that said construction shall be completed in a good and workmanlike manner and in accordance with all City standards and the City-approved construction plans, specifications and cost estimates provided for the Project and the exhibits attached hereto. D. Prior to acceptance of the Project by the City. TTI will submit an Affidavit of Bills Paid signed by Contractor and Consent of Surety signed by Contractor's surety to ensure that all subcontractors and suppliers for the Project have been paid in frill. Additionally, Contractor must provide in Page I Road Proiect Agreement between City of Fort Worth and TTI. Inc. 0JI writing a statement that it has been paid in full by TTI for all services related to the Project. E. TTI shall award and oversee all contracts for the construction of the Project. Because the City is not participating in the cost of construction of the Project, Section II, paragraph 7 of the Policy and paragraph 8, Section II of the Policy do not apply. F. TTI agrees to require Contractor to comply with all obligations of Contractor under the Addendum to Standard Form of Agreement attached hereto as Appendix A, which is hereby made a part of this Agreement for all purposes. G. TTI agrees to provide, at its expense, all engineering drawings and documents necessary to construct the improvements required by this Agreement. H. The City shall not be responsible for any costs for the relocation of any utilities that are or may be in conflict with any of the community facilities to be installed hereunder. I. TTI hereby releases and agrees to indemnify, defend and hold the City harmless for any inadequacies in the preliminary plans, specifications and cost estimates supplied by TTI hereunder. J. TTI will further require Contractor and any of its other contractors to indemnify, defend and hold harmless the City, its officers, agents and employees from and against any and all claims, suits or causes of action of any nature whatsoever, whether real or asserted, brought for or on account of any injuries or damages to persons or property, including death, resulting from, or in any way connected with, the construction of the infrastructure contemplated herein. Further, TTI will require Contractor and any of its other contractors to indemnify, and hold harmless the City for any losses, damages, costs or expenses suffered by the City or caused as a result of said contractor's failure to complete the work and construct the improvements in a good and workmanlike manner, free from defects, in conformance with the Policy, and in accordance with all plans and specifications and shall cause to be executed and delivered to the City an indemnity agreement from such contractors on a form to be promulgated by the City. K. TTI will assign to the City a non-exclusive right to enforce the contracts entered into by TTI with Contractor for the Project, along with an assignment of all warranties given by Contractor, whether express or implied. Further, TTI agrees that all contracts with any contractor shall include provisions granting to the City the right to enforce such contracts as an express intended third party beneficiary of such contracts. L. Notwithstanding anything to the contrary in the Policy, the City shall inspect all improvements constructed as part of the Project at no cost to TTI or its contractors. ADDENDUM TO STANDARD FORM OF AGREEMENT THE STATE OF TEXAS COUNTY OF TARRANT WHEREAS, TTI, Inc. and the Contractor, McClendon Construction Co., Inc. have entered into a Standard Form of Agreement as part of the SPECIFICATIONS AND CONTRACT DOCUMENTS FOR PAVING AND DRAINAGE IMPROVEMENTS FOR NORTHEAST PARKWAY(2011), D.O.E. NO. 6650, FILE NO.: K-2166, CITY PROJECT NO.: 01707 on July 21, 2011, THIS ADDENDUM is entered into this day of September 1 A.D. 2011, by and between TTI, Inc. of the County of Tarrant and State of Texas, acting through thereunto duly authorized so to do,Party of the First Part,hereinafter termed DEVELOPER, and McClendon Construction Co., Inc. of the City of Burleson, County of Tarrant and state of Texas, Party of the Second Part, hereinafter termed CONTRACTOR. The DEVELOPER and the CONTRACTOR agree that: 1. CONTRACTOR warrants that the construction of the Project shall be completed in a good and workmanlike manner and in accordance with all standards imposed by the City of Fort Worth, Texas(the"City")and City approved construction plans, specifications and cost estimates provided for the Project and the exhibits attached to that certain Road Project Agreement between the Developer and the City dated September , 2011. 2. Prior to the acceptance of the Project by the City and upon final payment by the Developer, the CONTRACTOR will submit to the DEVELOPER and the City an Affidavit of Bills Paid signed by the CONTRACTOR and Consent of Surety signed by CONTRACTOR's surety to ensure that all subcontractors and suppliers for the Project have been paid in full. Additionally, the CONTRACTOR must provide in writing a statement that it has been paid in full by the DEVELOPER for all services related to the Project. 3. The CONTRACTOR will furnish to the City a payment and performance bond in the names of the City and the DEVELOPER for one hundred percent(100%)of the contract price of the infrastructure, and a maintenance bond in the name of the City for one hundred percent (100%) of the contract price of the infrastructure for a period of two (2) years insuring the maintenance and repair of the constructed infrastructure during the term of the maintenance W's1 bond. All bonds to be furnished before work is commenced and to meet the requirements of Chapter 2253, Texas Government Code. 4. The CONTRACTOR will provide insurance equal to or in excess of the amounts required by the City's Policy for the Installation of Community Service Facilities dated March 2001, as approved by the City Council of the City of Fort Worth and subsequently amended(the "Policy"). The City and Developer shall be named as additional insureds on all insurance required by said documents and same will be evidenced on the ACORD Certificate of Insurance supplied by the CONTRACTOR'S insurance provider and bound in the construction contract book. 5. THE CONTRACTOR HEREBY RELEASES AND SHALL CAUSE ITS INSURERS, ITS CONTRACTORS, SUBCONTRACTORS,AND THEIR INSURERS, TO RELEASE DEVELOPER AND THE CITY FROM ANY AND ALL CLAIMS OR CAUSES OF ACTION WHATSOEVER WHICH CONTRACTOR, ITS INSURERS, ITS CONTRACTORS, SUBCONTRACTORS AND/OR THEIR INSURERS MIGHT OTHERWISE AT ANY TIME POSSESS RESULTING IN OR FROM OR IN ANY WAY CONNECTED WITH ANY LOSS COVERED OR WHICH SHOULD HAVE BEEN COVERED BY INSURANCE, INCLUDING THE DEDUCTIBLE PORTION THEREOF, MAINTAINED AND/OR REQUIRED TO BE MAINTAINED BY CONTRACTOR AND/OR ITS CONTRACTORS OR SUBCONTRACTORS PURSUANT TO THIS ADDENDUM, EVEN IF SUCH CLAIMS OR CAUSES OF ACTION ARISE FROM OR ARE ATTRIBUTED TO THE ACTIVE OR PASSIVE NEGLIGENCE OR SOLE JOINT CONCURRENT OR COMPARATIVE NEGLIGENCE OF DEVELOPER OR THE CITY. Each policy required to be obtained by CONTRACTOR shall also provide for the waiver by the insurer or insurers thereunder of any right of subrogation against Developer and the City. 6. The CONTRACTOR will give 48 hours notice to the City's Construction Services Division of intent to commence construction so that City inspection personnel will be available; and to require the contractor to allow the construction to be subject to inspection at any and all times by City inspection forces, and not to install or relocate any sanitary sewer, storm drain, or water pipe unless a responsible City inspector is present and gives his consent to proceed, and to make such laboratory tests of materials being used as may be required by the City. 7. The CONTRACTOR shall submit fully execute contract documents to the City to schedule a Pre-Construction Meeting. The submittal should occur no less than 10 working days prior to the desired date of the meeting. No construction will commence without a City-issued Notice to Proceed to such contractor. wg 2 8. The CONTRACTOR covenants and agrees to, and by these presents does hereby fully indemnify, defend and hold harmless the DEVELOPER,the City, and their respective officers, agents and employees from and against any and all claims, suits or causes of action of any nature whatsoever, whether real or asserted, brought for or on account of any injuries or damages to persons or property, including death, resulting from, or in any way connected with, the construction of the infrastructure contemplated herein. Further, the CONTRACTOR will require its contractors to indemnify, and hold harmless the DEVELOPER and the City for any losses, damages, costs or expenses suffered by the DEVELOPER and/or the City or caused as a result of said contractor's failure to complete the work and construct the improvements in a good and workmanlike manner, free from defects, in conformance with the Policy,and in accordance with all plans and specifications and shall cause to be executed and delivered to the DEVELOPER and the City an indemnity agreement from such contractors on a form to be promulgated by the City. 9. The CONTRACTOR acknowledges and agrees that the CONTRACTOR'S rights to construct the Project under the terms of the STANDARD FORM OF AGREEMENT and this Addendum shall be subject to and conditioned upon the CONTRACTOR'S approval by the City and the CONTRACTOR'S ability to meet the City's requirements for bein insured, licensed and bonded to do work in public streets. Until such conditions have been met and the CONTRACTOR has been approved by the City, the DEVELOPER shall have no obligations to employ CONTRACTOR for the construction of the Project. TTI,INC.
