AMENDMENT NUMBER ONE TO CITY SECRETARY CONTRACT NO. 42385 WHEREAS, on October 6, 2011, the City of Fort Worth ("City") and Mental Health Association of Tarrant County, Inc. ("Contractor") made and entered into City Secretary Contract No. 42385 (the"Contract"); WHEREAS, the Contract provided funding to Contractor pursuant to a grant received by City from the United States Department of Housing and Urban Development ("HUD") through the Community Development Block Grant Program, ("CDBG") for utilization in connection with its Long Term Care Ombudsman Program; WHEREAS, City desires to add language to EXHIBIT B —BUDGET to reflect the intent of the parties regarding budget details; and WHEREAS, it is the mutual desire of City and Contractor to amend the Contract to meet Contract objectives. NOW, THEREFORE, City, whose address is 1000 Throckmorton St., Fort Worth TX 76102, acting by and through Fernando Costa, its duly authorized Assistant City Manager, and Contractor, whose address is 3136 W. 4th Street, Fort Worth, Texas 76107 acting by and through Lee LeGrice, PhD, LCSW, its duly authorized Executive Director, do hereby agree as follows: I. a. The following language is added to the table in EXHIBIT B — BUDGET labeled "SALARY DETAIL": "The following table is purely informational and was created solely for purposes of preparing, negotiating, and determining the reasonableness of the overall line item budget on the first page of this EXHIBIT B — BUDGET and is not to be considered part of the terms and conditions of this Contract. Contractor may make changes to the columns labeled Rate, Annual Hours, Percent to Grant (Annual Estimated), and Amount to Grant without the City's consent so long as the total amounts charged to the grant do not exceed the line items on the first page of the EXHIBIT B—BUDGET." Contractor may not make changes to the column labeled Position without the prior written consent of the City. b. The following language is added to the tables in EXHIBIT B — BUDGET labeled "FRINGE DETAIL": "The following table is purely informational and was created solely for purposes of preparing, negotiating, and determining the reasonableness of the overall line item budget on the first page of this EXHIBIT B — BUDGET and is not to be considered part of the terms and conditions of this Contract. Contractor may make changes to the columns labeled Percent of Payroll, Amount, Percent to Grant (Annual Estimated), and Amount to Grant without the City's consent so long as the total amounts charged to the grant_do not&X. line items on the first page of the EXHIBIT B — BUDGET." Contractor may make changes to the columns labeled Total Budget, Percent to Grant (Annual Estimated), and Amount to Grant without the City's consent so long as the total amounts charged to the grant do not exceed the line items on the first page of the EXHIBIT B—BUDGET." d. The following language is deleted in its entirety from Section 9.2.2: "Expenses must comply with the rates and allocations described in EXHIBIT B—BUDGET". e. The third paragraph under the heading Additional Requirements in Section 17 is hereby deleted in its entirety. II. a. All other terms and conditions of the Contract not amended herein remain unaffected and in full force and effect, are binding on the Parties and are hereby ratified by the Parties.
