Dear Mr. Westerman:
C2 Consulting Services, Inc. ("C2") is pleased to have this opportunity to propose its
services to assist the City of Fort Worth ("City") during its analysis of a renewal
franchise for cable services. Pursuant to the Project Scope and the associated Project
Costs sections included within the attached proposal, C2 estimates that the professional
fees for the conduct of this engagement will not exceed $19,966 where other cities
participate in the analyses. If no other cities participate in the technical analyses, the
estimated professional fees to the City will not exceed $ . Additional activities
performed on behalf of the City will only be conducted with he expressed approval by
the City and will be billed at an hourly rate of$150/hr. $2 It S(7D C
C2 will bill the City, and City agrees to pay, on a monthly basis based on the actual hours
worked, plus out-of-pocket expenses. In the event that the actual hours spent in
conducting the enumerated activities are less than those estimated in the development of
the not-to-exceed proposed costs, the City will be billed only for the actual hours worked.
However, if the actual hours worked exceed the estimate, the City only will be billed up
to the not-to-exceed costs.
If this letter is in agreement with the City's understanding as to the scope of services to
be provided and the associated fees as referenced within the attached proposal, please
execute one copy and return it to C2 at the following address:

Authorization to Hire C2Consulting Services to Conduct Studies and Audits of Charter
Communications
RECOMMENDATION:
It is recommended that the City Council authorize the City Manager to execute a contract for professional
services with C2Consulting Services to produce studies and audits on the compliance by Marcus Cable
Associates L.L.C. d/b/a Charter Communications (Charter) with respect to Charter's compliance with
various duties and obligations under its cable franchise. The cost of these services is not to exceed
$21,500.
DISCUSSION:
On November 19, 2003, the City received a request for franchise renewal from Charter. This request
triggered formal renewal procedures the City must follow under Section 626 of the Federal Cable Act. The
City Council was briefed on these procedures in IR 8554 dated December 16, 2003 and in Executive
Session on January 20, 2004.
Important sections of this formal renewal process involve auditing Charter Communications in these areas:
1. Franchise fee payments to the City for the years 2001, 2002, 2003; and
2. Technical Evaluation of FCC compliance, architecture, system maintenance, reliability, availability of
service, feasibility of advanced services; and
3. Customer Service Compliance on installation, repairs, appointment windows, outages, billings, credit
and refunds.
C2Consulting Services has provided services to the City in the past, including the Marcus/Charter cable
franchise transfer in 1999 and the Charter Communications call center audit in 2002. C2Consulting has
also worked with the Cities of Austin, Dallas, Denton, Mesquite, Plano, Farmers Branch, Addison, Atlanta,
Georgia, Durham, North Carolina and the Texas Municipal League.
Fort Worth will be participating in the Charter cable franchise renewal process with these cable consortium
cities: Benbrook, Burleson, Denton, Hurst, Keller, North Richland Hills, Saginaw and Southlake.
Although the cost of these services is not expected to exceed $21,500, City Council should be aware that
future renewal negotiations with Charter Communications may require additional C2Consulting Services
participation, raising the total funds required above the $25,000 threshold.
