WHEREAS, on July 14, 1998, the City of Fort Worth, the "City," and Multatech Engineering,
Inc., the "Engineer," made and entered into City Secretary Contract No. 24223, which was duly
authorized by the City Council by M&C C-16891 on July 14, 1998, and
WHEREAS, the"City" and "Engineer" desire to amend City Secretary Contract No. 24223.
NOW, THEREFORE, KNOW ALL MEN BY THESE PRESENTS:
That the City of Fort Worth, a municipal corporation situated in Tarrant County, Texas, acting
herein by and through its duly authorized City Manager, hereinafter called "City,"and Multatech
Engineering, Inc., acting herein by and through its duly authorized President, hereinafter called
"Engineer," hereby make and enter into the following agreement:
ARTICLE VII—ATTACHMENTS, SCHEDULES AND SIGNATURES
A. Exhibit"A-1"— Supplemental Scope of Services, pages A-1-1 through A-1-10, is hereby
amended to expand the scope of services to extend construction administration services.
1. Task 5 Construction Administration Phase—add new scope items as follows:
5.17 Assist the City in evaluating the failure of the Mycom gas compressor unit
which occurred on December 20, 2001. Assist the City in administering
warranty provisions in Solar Turbine's contract with the City. Attend
meetings with the City and Solar Turbines and oversee the
replacement/redesign of the new gas compressor and asN
equipment.

5.18 Assist the City in evaluating equipment vibration problems. Engineer will
coordinate testing procedures and schedules with VCWWTP, TXUES and
equipment manufacturer. Engineer will assist City in analyzing reports
and working recommendation to correct the problems.
5.19 Assist the City in evaluating liquidated damages to be levied against the
Contractor for not completing the project in the allotted time. Engineer
will prepare documentation and attend meetings as required.
5.20 Perform an additional 102 weeks of construction administration beyond
scheduled completion date to ensure contract compliance.
2. Task 8 Engineering Services for Fuel Resources Study—add new Task and scope as
follows:
8.01 Conduct a Fuel Resources Study to investigate the potential of partnering
with Bell Helicopter Textron to utilize Barnett Shale natural gas—which can
be obtained on city property—to generate electricity on-site using the
existing gas turbine generators at Village Creek Wastewater Treatment
Plant. The work will consist of the following tasks:
A. Evaluate the feasibility of the above-mentioned project.
B. Attend meetings with representatives from the City of Fort Worth and Bell
Helicopter for the purposes of coordination and gathering and presenting
information regarding the above mentioned Fuel Resources Study.
C. In the capacity of the City's"Energy Engineer," provide technical advice
and counsel as it relates to the above Fuel Resources Study.
8.02 The ENGINEER will not be responsible for the following items: preparation
and approval of survey, geotechnical investigations, plans, specifications,
estimates, and record drawings.
3. Task 9 Engineering Services for Monitoring Turbine Operator's Contract—add new
Task and scope as follows:
9.01 Liaison between City of Fort Worth and Privatized Turbine Operator's
Contractor(Operator).
A. Monitor the contract between the City of Fort Worth and Operator.
B. Act as a technical liaison between the two parties for the operation of the
two existing 5.2 MW gas turbine generators.

9.02 Monthly Meetings.
A. Attend a monthly liaison meeting regarding the contract.
B. Prepare the meeting agenda.
C. Facilitate the meeting.
D. Address problems associated with the gas turbine system and facilitate
resolutions.
E. Publish, distribute, correct and re-publish meeting minutes as required.
F. Follow up on action items from the meeting to ensure both parties carry
them out.
9.03 Energy Transfer Reporting.
A. Energy transfer between the City of Fort Worth and various energy
providers may occur in the following forms:

9.05 Engineer will not prepare plans or be responsible for any items pertaining to
preparation and approval of survey, geotechnical investigations, plans,
specifications, estimates, and record drawings.
B. Attachment"B" Compensation is hereby amended by increasing the not-to-exceed fee by
Three Hundred Eighty-eight Thousand Fifty-three Dollars ($388,053.00) so that
Paragraph "D" reads as follows:
"D. Payments for expenses, costs and services as described in Attachment"A",
Exhibit "A-1" and "A-2" shall not exceed One Million Five Hundred Twenty-one
Thousand Five Hundred Sixty Dollars($1,521,560.00)."

SUPPLEMENTAL SCOPE OF SERVICES
ADDITION OF DIGESTER GAS FUELED, ENGINE/GENERATOR AT VCWWTP
Modify Attachment "A" to omit paragraphs 7) through 26).
The following is a clarification of the tasks that the Engineer will perform under
Attachment "A" upon receipt of notice-to-proceed.
TASK 1. PROCUREMENT OF DETAILED ENGINEIGENERATOR INFORMATION
PHASE
1.01 Contact manufacturers for detailed cost, dimensioned information and ancillary
system requirements.
1.02 Review manufacturer's information with the City and describe the systems and
equipment the project design will be based.
1.03 Prepare and present optional schemes which will allow all manufacturers
capable of providing similar equipment the opportunity to bid.
1.04 Prepare schematic designs for each size and quantity of generators considered
to be viable systems.
TASK 2. PRELIMINARY CONSTRUCTION PLANS AND TECHNICAL
SPECIFICATIONS PHASE.
2.01 Prepare schematic plans of engine/generator installation in existing west end of
engine building.
2.02 Prepare preliminary engineer's estimate of probable construction cost.
2.03 Prepare detailed P.&I.D.'s of the following systems:
A. Digester Gas
B. Natural Gas
C. Diesel
D. Jacket Water
E. Heating Reservoir Water
F. Lube Oil

Contractor. Maintain up-to-date modifications to the contract documents.
Document all changes in PROJECT from contract documents and maintain
records of approved shop drawings, equipment operations, and maintenance
manuals.
5.06 Contract Compliance: Investigate and respond to formal requests for
clarifications and interpretations of the Contract Documents other than those
related to design aspects of the PROJECT.
5.07 Project Coordination Meetings: Conduct a pre-construction conference with the
CITY and Contractor to establish procedures for the administration of the
contract and coordination between parties. After the pre-construction
conference, establish and conduct project coordination meetings with the CITY
and Contractor. Minutes of these meetings will be prepared by the Contractor
and distributed to all parties.
Meet on a regular basis or as needed with the CITY to discuss items of interest
and to keep the CITY apprised of the status of the PROJECT. Conduct tours of
the PROJECT for CITY and visitors.
Conduct meetings with CITY'S Resident Project Representative to coordinate
the observation of the PROJECT. Keep the Resident Project Representative
aware of the overall status of the PROJECT. Maintain guidelines for observation
procedures and monitoring of construction quality.
Meet with the CITY and/or Contractor and their designated representatives as
needed to resolve questions or problems associated with the work.
5.08 Progress Payments: Review and recommend CITY action on Contractor
progress payments in accordance with the Contract Documents. Monitor the
actual progress of the work and cash flow. Meet bi-weekly with the Contractor to
review and update actual status of cost and time.
5.09 Contractor's Submittals. Review construction Contractor's submittals, including
shop drawings and manufacturers'operations and maintenance manuals in
accordance with Contract Documents. Submittal review will consist of the initial
review and one resubmittal review. Submittal reviews in excess of two will be
performed under ARTICLE 111 Special Services.
5.10 Provide assistance with the startup and initial operation of processes. Detailed
operation and maintenance manuals and startup and maintenance of each item
of equipment or treatment system will be provided by the Contractor as part of
his contract for construction. Manuals will be reviewed as part of the submittal
review process to see that the specified literature is provided.

5.11 Project Management: The ENGINEER'S Project Officer will supervise and
assign office engineering staff and review schedules for services, scope, and
budget. Prepare correspondence or any required progress reports related to
authorized tasks or engineering services.
5.12 Quality Control/Quality Assurance: Provide a periodic review of PROJECT files
to see that documentation is properly maintained and up-to-date. Review
records of modifications to the Contract Documents to see that known deviations
from the Contract Documents are properly documented and approved as
appropriate.
5.13 Site Visits: Project Management is to visit PROJECT site regularly during
construction to review Contractor's progress and the quality of the work and to
attempt to determine in general if the work is proceeding in general conformance
with the Contract Documents. Attend project coordination meetings and consult
with the Resident Engineer and Resident Project Representatives and/or
Contractor as required to provide interpretation of the intent of the Contract
Documents.
In performing these services, the ENGINEER will endeavor to protect the CITY
against defects and deficiencies in the work of Contractors; the ENGINEER will
report any observed defects or deficiencies immediately to the CITY; however, it
is understood that the ENGINEER does not guarantee the Contractor's
performance nor is the ENGINEER responsible for supervision of the
Contractors operation and employees. ENGINEER shall not be responsible for
the means, methods, techniques, sequences or procedures of construction
selected by Contractor or the safety precautions and programs incident to the
work of the Contractor. ENGINEER shall not be responsible for the acts or
omissions of any person (except his own employees and agents) at the
PROJECT site or otherwise performing any of the work of the PROJECT.
5.14 Completion: Manage the substantial and final completion activities. Jointly with
the CITY and the Contractor, conduct the substantial completion and final
completion inspection. Prepare and issue the punch list of incomplete work to
Contractor upon substantial completion. Recommend to CITY the dates of
substantial completion and final completion. Obtain required manuals,
guarantees, record drawings, and other documentation from the Contractor and
deliver to the CITY.
5.15 Prepare record drawings from information submitted by the Contractor for the
following projects:

5.16 Update Plant O&M Manual as to the operation and maintenance of equipment
and associated processes for the following projects.

TASK 7. TURBINE WASTE HEAT RECOVERY ECONOMIC FEASIBILITY STUDY
7.01 Investigate and evaluate sludge drying equipment technology.
7.02 Prepare concept plans and specification for installation of sludge drying facility at
Village Creek Wastewater Treatment Plant.
7.03 Prepare and analyze capital and operating costs associated with sludge drying
facility. Include heat recovery benefit from new gas turbines.

7.04 Prepare economic analysis with return on investment and estimate sludge drying
and disposal costs and potential water reclamation amounts.
7.05 Compare sludge drying facility to existing sludge dewatering contract.
7.06 Submit recommendations to CITY based on comparative results of economic
feasibility study.

EXTRA SERVICES
CITY and ENGINEER agree that certain portions of the services contemplated to be
performed by ENGINEER cannot be defined sufficiently at the time of execution of this
AGREEMENT so as to be specifically included in Attachment B, and that incidental
services related to the PROJECT and not covered in said Attachment B may be needed
during performance of this AGREEMENT. Such categories of services shall be
classified as Extra Services and shall be undertaken under the terms of written
amendments to the AGREEMENT executed by CITY and ENGINEER or included in a
separate contract if the ENGINEER is selected to perform the Extra Services. Extra
Services include, but not limited to those described below:
A. Performing shop, mill, field, factory or laboratory inspection of materials or

equipment.
B. Perform Resident Engineering Services beyond the anticipated construction
period.
C. Perform Office Engineering services beyond the anticipated construction period.
D. Performing investigations, studies and analyses of substitutions of equipment
and/or materials or deviations from the Contract Documents as requested by the
Contractor and authorized by the CITY. The CITY, at its option, may require the
Contractor to reimburse the CITY for this cost.
E. Review of Shop Drawings in excess of a second resubmittal will be billed to the
contractor, unless City requests more than two submittals, which is required
because of significant discrepancies and deficiencies in the review materials
provided by the Contractor for equipment and/or materials.
F. Assist the CITY as requested during the Warranty Period with the correction of
deficiencies covered by Contractor's warranty. Notify Contractor and CITY of
corrections required and provide follow up to see that corrections are made.
Equipment failures and critical items will be addressed as soon as possible upon
notification by CITY staff. Prior to expiration of the one (1) year warranty period,
a detailed inspection of the plan can be requested for warranty items.
G. Preparing to serve or serving as an expert witness on behalf of the CITY in
connection with any public hearings, arbitration proceedings, or legal
proceedings. Assisting the CITY or Contractor in the defense of prosecution of
litigation in connection with or in addition to those services contemplated by this
AGREEMENT. Such services, if any shall be furnished by ENGINEER on a fee
basis negotiated by the respective parties outside of and in addition to this
AGREEMENT.
H. Investigations involving detailed consideration of operation, maintenance and
overhead expenses, and the preparation of rate schedules, earnings and
expense statements, feasibility studies, appraisals, evaluations, assessment
schedules, and material audits or inventories required for certification of force
account construction performed by the CITY.
I. Preparation of operations and maintenance manuals for the operation of plant
process or equipment other than that specifically described. Provide training of
CITY personnel in the operation and maintenance of plant process or equipment,
including Process Instrumentation and Control System.
J. Furnishing the services of Resident Engineer to assist the CITY in providing
more extensive observation of the PROJECT during the construction phase of
the project. Through additional on-site observations of the work in progress and
field checks of materials and equipment by the Resident Engineer, the

ENGINEER shall endeavor to provide further protection for the CITY against
defects and deficiencies on the work, but the furnishing of such Resident
Engineer will not make ENGINEER responsible for construction means,
methods, techniques, sequences or procedures or for safety precautions or
programs or for Contractor's failure to perform the construction work in
accordance with the Contract Documents.
K. Reimbursable Expenses for direct non-labor expenses which, in general, include
expenses for printing, supplies, transportation, equipment, travel,
communication, subsistence and lodging away from home, and similar
incidentals
SERVICES BY THE CITY
In general the CITY and its representatives will render services as follows:
A. Provide available criteria and full information as to the CITY'S requirement
for the PROJECT.
B. Respond promptly in writing to requests by the ENGINEER for
authorization to proceed with Basic Construction Administration Services
in Article II and Special Services as described in ARTICLE III.
C. Examine documents submitted by the ENGINEER and render a decision
pertaining thereto promptly, to avoid unreasonable delay in the progress
of the ENGINEER'S services.
D. Furnish information required as expeditiously as possible for the orderly
progress of the work.
E. The City Manager of the CITY or his designated representative shall
appoint, in writing, a representative that the ENGINEER shall be entitled
to rely upon regarding decisions made by the CITY. All subsequent
communication to the CITY shall be deemed made when conveyed in
writing to the representative.
F. The services, information, surveys and reports required by this ARTICLE,
inclusive, shall be furnished at the CITY'S expense, and the CITY will use
its best efforts to apprise the ENGINEER of any inconsistencies in the
information provided.
G. CITY and Contractor will provide field office facilities and equipment per
the Contract Documents.

ATTACHMENT "B"
COMPENSATION AND SCHEDULE
ADDITION OF DIGESTER GAS FUELED, ENGINE / GENERATOR AT VCWWTP
I. Compensation
A. Payment for services will be computed on the basis of Salary Costs times a
multiplier of 3.28 to determine the payment due for services. The multiplier is
a factor which compensates the Engineer for fringe benefits, overhead and
profit.
B. Payments shall also include Direct Non-Labor Expenses which, in general,
include expenses for supplies, transportation, equipment, travel,
communication, subsistence and lodging away from home, and similar
incidentals.
The Direct Non-Labor expenses shall be reimbursable at actual invoice cost
plus 10%, except for living and travel expenses when away from the office on
business connected with the Project. All travel outside of the Dallas/Fort
Worth Metropolitan Area to be made, which are reimbursable at actual
invoice cost, by the Engineer in connection with the Project must first be
approved in writing by the City Engineer.
C. Subcontractor cost shall be reimbursed at the actual cost plus 10%.

"D. Payment for expenses, costs and services as described in Attachment "A",

E. Partial payment shall be made monthly upon receipt of an invoice from the
Engineer, prepared from the books and records of the Engineer, outlining the

amount of hours worked by each employee, the employee0s name and
classification, and the employee0s salary rate along with itemized charges for
any subcontract and reproduction work performed during the period covered
by said invoice. Each invoice is to be verified as to its accuracy and
compliance with the terms of this contract by an officer of the Engineer.
Payment according to statements will be subject to certification by the
Director of Engineering or his duly authorized representative that such work
has been performed.
II. Schedule
AMENDMENT NO. 2
Attachment "D" indicates the schedule for completion of task, and the project shall
be completed sixty-eight (68) weeks after the "Notice-to-Proceed" letter is issued.

Engineering Amendment No. 3 with Multatech Engineering, Inc. for the Design and Construction
Management of the Digester Gas Fired Generator at Village Creek Wastewater Treatment Plant
RECOMMENDATION:
It is recommended that the City Council authorize the City Manager to execute Amendment No. 3 to an
engineering agreement with Multatech Engineering, Inc., City Secretary Contract No. 24223, for the design
of a digester gas fired turbine generator at the Village Creek Wastewater Treatment Plant (VCWWTP),
increasing the contract cost by $388,053, for a total contract amount not to exceed $1,521,560.
DISCUSSION:
On July 14, 1998 (M&C C-16891), the City Council authorized the execution of an engineering agreement
with Multatech Engineering, Inc. for the design and construction management of the installation of a new
digester gas fired engine/generator at the VCWWTP. The original engineering agreement also included all
required modifications to the existing plant facilities necessary for a complete installation, assisting the City
in developing lease/purchase procurement contracts for the additional VCWWTP engine/generator project
as necessary, and coordination with the Texas Natural Resource Conservation Commission (TNRCC) on
VCWWTP air permitting issues.
On May 18, 1999 (M&C C-17430), the City Council authorized Amendment No. 1 which provided additional
assistance related to TNRCC air emission issues, and the preparation of a Federal Title V Operating Permit
application for the VCWWTP.
On June 20, 2000 (M&C C-18092), the City Council authorized Amendment No. 2 which changed the
proposed two engine generators to two turbine generators, provided full time, on-site construction
management services, the preparation of a Turbine Waste Heat Recovery Economic Feasibility Study and
special air permitting services for monitoring the turbine units, preparation of the required regulatory
emission credit applications and emission inventories and preparation of the required applications to reduce
the existing diesel engine generators from full time operation to a "stand-by" status.
The proposed Amendment No. 3 is for additional Construction Management Services. The original
construction management contract called for the management of two separate, concurrent construction
contracts that were scheduled to be completed by October 5, 2001. Due to construction and equipment
delays, the engineer was required to staff the project for an additional 102 weeks to ensure contract
compliance. Liquidated damages will be assessed from the contractor, Solar Turbines, for the delays
associated with their performance.
In addition, the engineer will provide assistance with air permitting issues related to additional fuel sources,
evaluate the feasibility of developing other fuel sources in association with the Bell Helicopter facilities

adjacent to the plant, monitor the turbine operations contract to ensure contract compliance and to assist
with warranty issues.
Multatech Engineering, Inc. is in compliance with the City's IVI/WBE Ordinance by committing to an
additional 3% M/WBE participation on this Amendment No. 3.
This project is located in COUNCIL DISTRICT 5.

The Finance Director certifies that funds are available in the current capital budget, as appropriated, of the
State Revolving Sewer Fund.

TASK 4. BIDDING AND NEGOTIATION PHASE
4.01 Assist City in advertising, printing and distributing construction plans and
specifications to bidders.
4.02 Participate in pre-bid conferences.
4.03 Prepare, print and distribute addendas.
4.04 Participate in receiving and evaluation of bids and negotiations with low bidder.

TASK 5. CONSTRUCTION ADMINISTRATION PHASE
AMENDMENT NO. 2
5.01 Provide on-site Construction Administration including provision of a part-time
Resident Engineer and a part-time Resident Clerk as needed for observation and
coordination of project conformance with the Contract Documents.
5.02 Coordinate with the CITY the performance of laboratory testing and field
observations as required for the construction of the PROJECT. Review test
reports, bring failed tests to the attention of the CITY, and recommend corrective
actions.
5.03 Mobilization: Field Office will be provided by the CITY. Resident Engineer will
establish office in facilities.
5.04 Project Technical Coordination: Provide consultation with CITY and Contractor
representative on questions associated with work. Monitor construction reports
and PROJECT documentation. Coordinate with CITY on construction related
details and Contractors schedule. Perform schedule preparation and updates
for proper coordination with Contractor and plant operator. Serve as liaison
between the Contractor, plant staff, and other construction projects being
performed at the site.
5.05 Project Documentation and Tracking: Maintain detailed records of the
PROJECT, including log, correspondence, schedules, shop drawings, record
data, payments, change orders, and copies of meeting minutes. Establish and
maintain system for tracking Contractor's submittals in accordance with the
Contract Documents. Monitor preparation of As-Built record drawings by
