EASEMENT AGREEMENT

KNOW ALL BY THESE PRESENTS:
COUNTY OF TARRANT
WHEREAS, THE CITY OF FORT WORTH, TEXAS, a home rule municipality, whose
mailing address is 1000 Throckmorton Street, Fort Worth, Texas 76102 (herein called
"Grantor"), is the owner of certain land known as Harmon Park located next to the Trinity River
in Fort Worth, Tarrant County, Texas, said land more particularly described by metes and
bounds and depicted on Exhibits "A" and B" attached hereto and incorporated herein for all
purposes (the "Land,I');
WHEREAS, the Land is located within the flood plain and is currently and has
historically been subject to intermittent flooding as a result of storm drainage from improved
areas;
WHEREAS, TARRANT REGIONAL WATER DISTRICT, a Water Control and
Improvement District, a body politic and corporate under the laws of the State of Texas, whose
mailing address is P.O. Box 4508, Fort Worth, Texas 76164-0508 (herein called "Grantee"),
desires to utilize the Land for flood management and floodwater storage,including valley storage
during major flood events, and to perform certain flood mitigation operations and related
activities (including environmental remediation, ecosystem restoration and aquatic mitigation) on
a portion of the Land; and
WHEREAS, due to the use by the general public of Harmon Park, Grantor and Grantee
have determined to enter into this Easement Agreement to (i) grant to Grantee a Floodplain
Easement (as hereinafter defined) over the Land and an Access and Mitigation Easement (as
hereinafter defined) over a portion of the Landand (ii) retain for Grantor the ability of the general
public to utilize the Land as park land for recreational activities.
NOW THEREFORE, for and in consideration of the sum of TEN AND NO/100
DOLLARS ($10.00) and other good and valuable consideration to Grantor in hand paid by
M Grantee, the receipt of which is hereby acknowledged, Grantor and Grantee agree as follows:

Z m 1. Floodplain Easement. Grantor has BARGAINED, GRANTED, AND
® < CONVEYED, and by these presents does BARGAIN, GRANT, AND CONVEY, unto the said

i. the construction, reconstruction, installation, reinstallation, relocation,
operation, maintenance, use, repair, alteration, replacement, survey, and inspection within
the Land of certain water control and improvement facilities, improvements and
activities, generally consisting of construction of a notch in the existing Trinity River
levee, a trash collector, and a parking lot, all in substantial compliance with and in the
locations specified on Exhibits "C-1 and C-2" attached hereto ("Floodplain
Improvements")-
ii. intermittent inundation of the Land and storage of floodwaters on the Land
during flooding classified as 500 year or greater flood events; and
iii. ingress and egress along and upon the designated portions of Land as
depicted on the attached Exhibit "D", provided that in the event of an emergency,
Grantee shall have the right of ingress and egress upon all of the Land.
It is stipulated and agreed that after construction of the Floodplain Improvements, Grantee shall
not have the right to construct new or additional facilities which impair the use of the Land by
Grantor or the public without the further written approval of Grantor, not to be unreasonably
withheld, conditioned, or delayed.
2. Mitigation Easement. Grantor has BARGAINED, GRANTED, AND
CONVEYED, and by these presents does BARGAIN, GRANT, AND CONVEY, unto the said
Grantee a non-exclusive mitigation easement ("Mitigation Easement"), said Mitigation Easement
to extend fifty feet (50') either direction from the center line of the creek on the Land, as it now
exists or may exist in the future, as generally depicted on Exhibit "E", with the Mitigation
Easement being for the following uses:
i. construction, reconstruction, installation, reinstallation, relocation,
operation, maintenance, use, repair, alteration, replacement, survey, and inspection
related to the existing creek on the Land, provided, however, that the location of the
existing creek shall only be relocated or altered by Grantee in a one-time relocation or
alteration, which shall be done (i) within fifty feet (50') from the center line of the creek
on the Land as it now exists and (ii) in compliance with the generally-depicted plan on
Exhibit "E";
ii. trimming or removal of trees or shrubbery, and planting of trees, grass, or
other ground cover as directed or required by the Corps, or as reasonably approved by
Grantor;
iii. performance of aquatic mitigation and ecosystem restoration activities;
and
iv. ingress and egress along and upon the designated portions of Land as
depicted on the attached Exhibit "D", provided that in the event of an emergency,
Grantee shall have the right of ingress and egress upon all of the Land and over and
across any adjoining lands of Grantor.

The above activities and improvements are hereinafter referred to as the "Miti ag tion
Improvements."
3. Reservation of Minerals. There is reserved from this conveyance and retained by
Grantor all of the oil, gas, and other minerals capable of production through a wellbore in, on or
under the Land, but Grantor waives all rights of ingress and egress to or from the surface of the
Land for the purposes of exploring, developing, mining or drilling therefor; it being specifically
agreed that no operations relating to such reservation will be conducted on the surface of the
Land without Grantee's prior written permission. Nothing herein contained shall restrict or
prohibit the pooling or unitization of the Land with land other than the Land, or the exploration
and production of oil, gas and other minerals by means of wells that are drilled or mined that
open on land other than the Land but that enter or bottom under the Land, provided that these
operations do not adversely interfere with Grantee's facilities or rights hereunder.
4. Reservations and Exceptions to Grant. The Floodplain Easement and Mitigation
Easement is expressly made subject to (i) any and all visible and apparent easements and rights-
of-way over or across the Land, whether of record or not; (ii) any and all existing restrictions,
reservations, covenants, conditions, oil and gas leases, mineral severances, and other
instruments, other than conveyances of the surface fee estate, that affect the Land and are shown
of record in Tarrant County, Texas; (iii) all reservations, restrictions, covenants, terms and
conditions contained herein; and (iv) any and all zoning laws, regulations, and ordinances of
municipal and other governmental authorities relating to the Land, but only to the extent that
they are still in force and effect (collectively, the "Permitted Exceptions"). In addition to all
other rights reserved herein, and not in limitation thereof, Grantor specifically reserves the
(i)right of passage over the Land, (ii)the right to maintain, repair, renovate, reconstruct, use, and
operate existing improvements, and (iii) the right to use the Land for park and public recreation
purposes for the general public, and for any other use as approved by Grantor's City Council
(collectively all rights are referred to herein as the "Park Uses"), provided the exercise of such
rights does not impair the exercise by Grantee of its rights hereunder.
5. Approval of Plans. Portions of the Land are located within the Trinity River
Vision — Central City Project. Grantor agrees that prior to constructing any new improvements
on the Land for Park Uses that will be located in or affect the Mitigation Easement or change the
contour of the Land, it will submit design plans and specifications (the "Plans") for any such
Park Uses to Grantee and, if required, the U.S. Army Corps of Engineers (the "Corps") for
approval prior to the commencement of construction. No operations relating to the construction
of such facilities shall be commenced until the Plans have been approved in writing by (a) the
Grantee and (b), if required, the Corps. Notwithstanding the above, but subject at all times to
any requirements of the Corps, Grantee's approval of the Plans shall not be unreasonably
withheld, conditioned, or delayed provided that (a) Grantor's Floodplain Administrator has
approved such improvements; (b) the improvements are in compliance with the City Code of the
City of Fort Worth, Buildings § 7-301, et.seq.; and (c) the improvements under the Plans do not
materially interfere with Grantee's exercise of its rights in this Easement Agreement. Grantee
and the Corps, by giving approval of Plans, shall not assume any responsibility or liability with
respect to the Plans. It is specifically agreed by Grantee's Floodplain Easement and Mitigation
Easement shall not materially interfere with or impede with Grantor's Park Use, except as
permitted herein.

6. Release of Liability and Restoration of Land. Grantee covenants and agrees to
release Grantor, its officers, agents, servants, and employees, from and against any and all claims
or suits for property damage, personal injury, or any other type of loss or adverse consequence
related in any way to the existence of this Easement Agreement or the use or occupancy of the
Floodplain Easement or the Mitigation Easement, unless such act or omission complained of is
the result of the gross negligence or willful misconduct of Grantor. Grantee further agrees that if
during the course of the exercise of its rights under this Easement Agreement, damages result to
portions of the Land outside the approved construction areas or Grantor's park facilities (other
than damages directly resulting from flooding or damages to any improvements or facilities
belonging to the Grantee), Grantee shall repair or restore same as near as possible to their pre-
existing condition and as soon as reasonably practicable. For the avoidance of doubt, it is agreed
that Grantee shall, to the extent practicable, repair damages resulting from Grantee's actual
construction activities on the Land, including from activities such as the use of heavy equipment
on the Land.
7. Insurance. Grantee shall require Grantee's contractors who perform work on the
Land to procure, and maintain at all times, in full force and effect, the following policies of
insurance: (i) statutory worker's compensation insurance for all of the contractor's employees
and all workmen on the Land performing work, (ii) commercial general liability insurance, and
(iii) business automobile insurance. The commercial general liability insurance policy and the
automobile liability insurance policy shall be primary to all other insurance maintained by
Grantee or Grantor and shall be non-contributory; shall contain an endorsement listing Grantor
as additional insured such that coverage is provided to the additional insured parties for
completed operations; and shall be written for not less than the limits of liability as follows:
(i) Commercial General Liability:
$1,000,000 each occurrence;
$2,000,000 general aggregate per project;
$2,000,000 product/completed operations aggregate; and
$1,000,000 personal and advertising injury.
(ii) Business Automobile Liability:
$1,000,000 combined single limit.
The worker's compensation policy shall contain a waiver of subrogation endorsement in
favor of Grantor, unless prohibited by the terms of the policy.
Verification of all of the above coverages shall be submitted to Grantor upon Grantor's
request.
8. Indemnification by Contractors. Grantee shall include in all of its agreements
with contractors who enter upon the Land pursuant to this Easement Agreement an indemnity in
the favor of Grantor, as follows:

CONTRACTOR COVENANTS AND AGREES TO RELEASE, INDEMNIFY, HOLD
HARMLESS AND DEFEND THE CITY OF FORT WORTH, ITS OFFICERS, AGENTS,
SERVANTS, AND EMPLOYEES, FROM AND AGAINST ANY AND ALL CLAIMS OR SUITS
FOR PROPERTY DAMAGE, PERSONAL INJURY, OR ANY OTHER TYPE OF LOSS OR
ADVERSE CONSEQUENCE RELATED IN ANY WAY TO THIS CONTRACT OR THE USE
OF OR ENTRANCE UPON THE PROPERTY OF THE CITY OF FORT WORTH,
REGARDLESS OF WHETHER THE ACT OR OMISSION COMPLAINED OF RESULTS
FROM THE ALLEGED NEGLIGENCE OR ANY OTHER ACT OR OMISSION OF THE CITY
OF FORT WORTH OR ANY THIRD PARTY.
9. Hazardous Materials. Under no circumstances will Grantee knowingly or
intentionally use or cause to be used on the Land any hazardous or toxic substances or materials,
or intentionally or knowingly store or dispose of any such substances or materials on the Leased
Premises.
10. Binding Effect. The terms and provisions of this Agreement shall inure to the
benefit of and be binding upon Grantor and Grantee and their respective successors and assigns
and shall be covenants running with the land.
11. Entire Agreement. This Agreement contains all of the agreements between the
parties respecting the subject matter hereof, and no prior representations or statements, verbal or
written, have been made modifying, adding to, or changing the terms of this instrument.
12. Amendments. No amendments, modifications, or revisions of this Agreement
shall be effective unless made in writing, dated subsequent to the date hereof, and signed by the
parties hereto, or their respective successors or assigns.
13. No Waiver of Immunity. Nothing herein shall be deemed to limit or waive the
sovereign or governmental immunity of Grantor or Grantee.
14. Assignment. This Easement Agreement, in whole or in part, is not assignable by
either party, without the express written consent of the other party. Any attempt to assign this
Easement Agreement without the required consent is void and without force and effect.
15. Governing LawNenue. This Easement Agreement shall be construed in
accordance with the internal laws of the State of Texas. If any action, whether real or asserted, at
law or in equity, is brought on the basis of this Easement Agreement, venue for such action shall
lie in state courts located in Tarrant County, Texas or the United States District Court for the
Northern District of Texas, Fort Worth Division.
TO HAVE AND TO HOLD the Easement, together with all and singular the rights and
appurtenances thereto in anywise belonging, subject to the Permitted Exceptions and all other
terms and conditions stated herein, unto the Grantee, its successors and assigns. Grantor does
hereby bind itself, its successors and assigns, to WARRANT AND DEFEND all and singular the
Easement unto the Grantee, its successors and assigns, against every person whomsoever
lawfully claiming or to claim the same or any part thereof, when the claim is by, through, or
under Grantor, but not otherwise.

Estate Information Services,abstractors information letter dated October 22,2009 and provided to the surveyor by the client
affecting the subject property,and the locatior of all curb cuts and driveways,if any.
Except as shown on the survey:(i)there are no visible encroachments upon the subject property by visible improvements on
adjacent property, (it)there are no visible encroachments on adjacent property,streets or alleys by any visible improvements on
the subject property,and(iii)there are no visible conflicts or discrepancies.
The subject property does not abut any street,no apparent access to and from the subject property,but the subject property
encompasses a portion of East Addition which platted addition shows a variable width street right-of-way(street has no name on
plat).The surveyor has no knowledge of this street right-of-way being closed or abandoned.

Easement Over the Entire Park and a Mitigation Easement Over a Portion of the Park
(COUNCIL DISTRICT 8)
RECOMMENDATION:
It is recommended that the City Council:
1. Conduct a public hearing under the guidelines set forth by the Texas Parks and Wildlife Code,
Chapter 26, Protection of Public Parks and Recreational Lands;
2. Find that no feasible or prudent alternative exists for the use of Harmon Field Park for the flood
plain easement and mitigation easement for the Trinity River Vision Project;
3. Find that the proposed flood plain easement and mitigation easement includes all reasonable
planning to minimize harm to the parkland;
4. Close the public hearing and authorize the use of approximately 97 acres of parkland for a flood
plain easement and approximately 12.8 acres of parkland for a mitigation easement at Harmon Field
Park; and
5. Authorize conveyance of the flood plain and mitigation easements to Tarrant Regional Water
District at Harmon Field Park:
Harmon Field Park - located at 1501 Martin Luther King Freeway, Mapsco 63X, 63Y, 77B and 77C,
east of North South Freeway SR NB, west of West Fork Trinity River, south of the Trinity Railway
Express RR, in Council District 8.
DISCUSSION:
The purpose of this Mayor and Council Communication (M&C) is to authorize the conveyance of an
easement to Tarrant Regional Water District (TRWD) granting TRWD a flood plain easement over all
of Harmon Field Park (Park) and a mitigation easement over a portion of the Park for the purpose of
valley storage for the Trinity River Vision Project.
The Parks and Community Services Department has been approached by the TRWD requesting the
use of the Park for flood plain and mitigation easements. The easements are necessary as a part of
the overall valley storage for the Trinity River Vision Project.
The proposed flood plain easement will grant TRWD the ability to flood the Park during a 500 year or
greater flood event to alleviate flood water stresses along the Trinity River. In order to reduce
downstream flooding, the construction of a notch along the levee of the Trinity River adjacent to the
Park will allow water during a 500 year or greater flood event to inundate the Park.

The proposed mitigation easement is necessary in order to develop the required environmental
mitigation for the Trinity River Central City Project. Mitigation will consist of constructing additional
aquatic habitat within the existing Ham Branch Creek. In addition, a 50 foot vegetative buffer will be
installed along both sides of the creek utilizing native trees, shrubs and grasses. A short section of
the existing Ham Branch Creek will be realigned away from the existing soccer fields in order to
prevent further erosion in this area.
Construction on the levee portion of the project is anticipated to begin in 2014. The proposed
easements will not materially interfere with or impede with the City's use of the Park, including, but
not limited to, any existing or future recreational facilities, except as specifically permitted in the
easements. Furthermore, if during the course of TRWD's exercise of its rights under the easements,
damages result to the Park or the City's park facilities (other than damages directly resulting from
natural flooding or damages to any improvements or facilities belonging to the TRWD), TRWD has
agreed to repair or restore the same as near as possible to their pre-existing condition.
TRWD has informed the City that there will be no further expansion of facilities that would allow for
additional flooding or flood storage capabilities within these easements.
In accordance with Texas Parks and Wildlife Code, Chapter 26, the City of Fort Worth seeks the use
of approximately 97 acres of parkland for a flood plain easement and approximately 12.8 acres for a
mitigation easement. Attached for the Council's reference is an exhibit of the proposed locations for
the easements.
On September 25, 2013, the Parks and Community Services Advisory Board endorsed Staffs
recommendation to the City Council to authorize the use of the Park as proposed.
