FIRST AMENDMENT TO LEASE AGREEMENT

WHEREAS, the City of Fort Worth ("Lessor"), acting by and through its duly authorized
Assistant City Manager and Thoma s J. Ful ton et ux Joan Ful ton made and entered
into a 50 year Lease Agreement ("Lease") on 14 October ' , 19 82 for property
described as Lot 15, Block 21, Lake Worth Lease Survey, aka, 9708 Watercress ; and
Drive
WHEREAS, the Lease has been assigned to, Justin K. Wal drep
("Lessee"), the current Lessee of the Leased Land; and
WHEREAS, Lessor has platted or replatted the Leased Land since 1990 to correctly
identify and describe the Leased Lan4; and
WHEREAS, it is necessary to amend the Lease to correctly identify the Leased Land and
include the legal description as shown on the plat or replat recorded by Lessor since 1990.
NOW THEREFORE, Lessor and Lessee, acting herein by and through their duly
authorized representatives, for and in consideration of the rent paid, the covenants and
agreements to be performed, and other good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged, enter into the following agreement, which
amends Section I the Lease as follows:
Section I of the Lease is amended to provide that the Leased Land is comprised of
Lot 15 ,Block 21 Lake Worth Leases, an addition to the, City of Fort Worth*
as shown on the plat recorded in Cabinet A Slide 9273-9277, Plat Records,
Tarrant County, Texas and as shown on the plat or replat attached to this First
Amendment to Lease as Exhibit"A".

Except as amended by this First Amendment, all of the terms and conditions of the Lease are
ratified and remain in full force and effect.

WHEREAS,on the 18 day of February 19 82 the City of Fort
Worth, acting by and through its duly authorized Assistant City Manager, entered into a certain lease agreement
(the Lease) with Dorothy B. West whereby the City of Fort Worth leased for a period of 50
years, 0 months, commencing on the 1 day of February 19 82 and ending on
January 31, 2032 , at an annual rental rate of$ 940.00 subject to the adjustments set forth in the
Lease,the following described property:

A copy of the Lease is attached hereto as Exhibit A and incorporated herein by reference as if set forth in full.
WHEREAS, the Lease was amended in City Secretary Contract Number 31450 to correctly
identify the Leased Land as Lot_9__,Block 7 Lake Worth Lake Worth Lease Blocks, in the Cityof Fort
Worth,Tarrant County, Texas, as shown on the plat recorded in Cabinet A, Slide 6449 Plat Records,
Tarrant County,Texas;and
AND WHERAS, the current LESSEE(S)under the Lease (X) Tames A.Wilson(T.A. Wilson)
ASSIGNOR(S),desire to assign the Lease to (xx) Marvin Makarwich
ASSIGNEE(S), pursuant to the provisions of Section IV(A) thereof.
NOW THEREFORE, the City of Fort Worth, does hereby consent to the assignment of the Lease from
ASSIGNOR(S),to ASSIGNEE(S).
As consideration for the assignment of the Lease, ASSIGNEE(S) hereby expressly accept(s) andassume(s) all
obligations and liabilities of ASSIGNOR(s) under the terms of the Lease and agree(s) to be bound by all the terms,
provisions and covenants thereof.
Specifically, ASSIGNEES) is/are aware, and acknowledge(s) receipt of Notice from LESSOR, that the
ASSIGNOR(S)is/are in violation under the terms of the Lease with regard to:
inadequacy of current septic system serving the lot,
inadequacy of current water well serving the lot,

Further, ASSIGNEE(S) is/are aware that ASSIGNEE(S) will be required to cure the aforementioned violation
within forty-five (45) days of the date of the assignment or the Lease will be terminated by default, and
ASSIGNEE(S) shall not be entitled to reimbursement by LESSOR for the value of the improvements on the
property,if any.
In addition, ASSIGNEES) acknowledge(s) that LESSOR is not obligated to extend the forty-five (45) day time
period during which any violation under the Lease must be cured. Nothing contained herein shall be considered

as altering or extending the forty-five (45) day time period or as releasing any claim or course of action LESSOR
may have against ASSIGNOR(S) in connection with their obligations or liabilities under the terms of the Lease.

LESSOR'S consent to the assignment of the Lease is given with the understanding that all amounts owed to the
City of Fort Worth, under the terms of the Lease, including rent, penalties, interest and ad valorem taxes, are paid
and current to date. If ASSIGNOR(S) is/are not current on any and all obligations owed to LESSOR under the
terms of the Lease, this Assignment if Null and Void and of no force and effect.
ASSIGNEE(S) shall pay to LESSOR a one hundred fifty dollar ($150.00) assignment fee to defer the administrative
fees associated with this assignment.

RECOMMENDATION:
It is recommended that the City Council authorize the amendment of the legal descriptions of the lease lots
for the Lake Worth lease survey properties in Blocks 1-32 to reflect the legal descriptions of the current
plats filed by the City of Fort Worth.
DISCUSSION:
The original Lake Worth lease survey was completed in 1956. Although the Lake Worth lease lots were
surveyed at that time, no plats were recorded. The City is making available for sale currently leased
residential lots that are or will be served by municipal water or sewer service. On February 19, 2002, (M&C
L-13249), the City approved the Option to Purchase and Purchase Agreement, which will transfer eligible
property to private ownership.
In order to sell the property under the Option to Purchase and Purchase Agreement, the City must plat the
residential properties. Platting the leased lots has resulted in changing some of the legal descriptions and
the boundary lines. The leases must be amended to reflect the new legal descriptions as designated on the
plat.

TO FACILITATE THE DIRECT SALE OF LAKE WORTH LEASE PROPERTY
RECOMMENDATION:
It is recommended that the City Council authorize the City Manager to approve the Option to Purchase
and Purchase Agreement contract, with the Lessees of the Lake Worth lease properties listed on
Exhibit "A" to facilitate the direct sale of eligible Lake Worth lease properties. (See attached contract
and Exhibit "A")
DISCUSSION:
On July 15, 2001, House Bill No. 1490 was signed into law and went into effect. This amendment to
the Texas Local Government Code, Section 272.001(h), allows a municipality having a population of
575,000 or less and owning land within 5,000 feet of the shoreline of a lake, without notice or the
solicitation of bids, to sell the land to the persons leasing the land for the fair market value of the land.
In December 2001, City staff prepared an Informal Report to the City Council (Informal Report No. 8376
attached as Exhibit "B") which provided an update on the status of the sale of lease lots, and also
recommended a four-year Lease Lot Sales Plan and a Water/Sewer Infrastructure Improvement Plan
around Lake Worth. This sales plan includes 268 residential properties with an estimated market value
of $4.7 million.
In order to facilitate the direct sale of the residential Lake Worth lease properties, it is recommended
that a sales option contract be executed with the Lessees for the properties eligible for sale. The sales
option will allow the existing lessees to purchase their leased properties at today's fair market value
adjusted annually upward by 2% per year until sold by the City in accordance with the recommended
timeline outlined in Informal Report No. 8376.
The properties eligible for this contract are listed on the attached Exhibit "A". The option fee provided in
the contract is $500.
Due to the proximity of the Joint Reserve Base/Naval Air Station, an avigation easement will be
reserved on behalf of the public and incorporated into the Special Warranty Deed used to convey these
properties.
Proceeds from the sale of these City-owned Lake Worth lease properties will be deposited in a Lake
Worth Infrastructure Fund Account in accordance with M&C G-12916 dated May 16, 2000. The
proceeds are escrowed and designated for water and wastewater improvements within the area of the
City of Fort Worth surrounding and adjoining Lake Worth.

SALE OF LEASE LOTS
• Lots must be platted prior to sales.
• Water and/or sewer service must be available to serve lots prior to sales.
• The purchaser must commit to connect to the utilities if and when provided in the future.
• The City Council shall approval all sales.
In May of 2000 the City Council established a water/ sewer Infrastructure Improvement Fund to provide
a source of revenue for the installation of utilities around Lake Worth (M&C G-12916). The Financial
Management Policy Statement of the City was amended to read: "Proceeds from the sale of Lake
Worth leases shall be escrowed and designated for water and wastewater improvements within the
area of the City of Fort Worth surrounding and adjoining Lake Worth." Since May of 2000, $1,950,000
has been collected as revenue from the. sale of lease properties and $1,321,000 has been expended for
water projects. The current balance in the Infrastructure Fund is $629,000.
Since 1997 the City has sold 210 lots around Lake Worth through a sealed bid sale process. A total of
$3,181,942 has been generated by those sales.
PROPOSED SALES PLAN
RESIDENTIAL PROPERTIES
The recent passage of Texas House Bill 1490 has provided a catalyst for the direct sale of leased
property to the current lessees at fair market value. Under HB 1490, the City will no longer be required
to publicly advertise and receive sealed bids for the City-owned lease properties around Lake Worth.
The following residential lot sales plan is recommended utilizing the previously adopted Council
guidelines and HB 1490 as a managed sales tool:

COMMERCIAL/ AGRICULTURAL PROPERTIES
In addition to the residential lots previously identified, the City owns 17 parcels of land of various sizes
around Lake Worth that are zoned commercial or agricultural. It is proposed that the City engage the
services of an independent fee appraiser to perform individual parcel appraisals and that these parcels
be sold for fair market value. The properties will be reviewed for zoning consistency and a specific
sales strategy will be developed and provided to the Council for the sale of these properties.
PROPERTIES WITH PLATTING CHALLENGES
Approximately 50 City-owned parcels have significant platting challenges directly affecting their future
sales. These challenges include:
• Limited or absence of public roadway access;
Right of Way design issues;
• Properties may not be suitable to be platted;
Staff will develop specific sales / retention strategies for these properties and will outline those
strategies in a position paper for the City Council.
NFRASTRUCTURE IMPROVEMENT PLAN
Table 1 lists City of Fort Worth construction projects that have been completed or begun since 1996 to
serve residents along the Lake Worth shoreline.

laysof Utilities at Lake Worth
In addition to the services provided directly by the City of Fort Worth, adjoining municipalities also
provide services to some areas in the Lake Worth vicinity. Service by adjoining municipalities will be
even more important in the future, as the cost to extend water and sewer infrastructure to a relatively
small number of residents is significant and will require a period of time to construct the long extensions.
Currently, including the service provided by adjoining municipalities:
• Water service is available to 353 lots or 63 % of the Lake Worth lease properties; and
• Sewer service is available to 128 lots or 23 % of the Lake Worth lease properties.
The Water Department is positioned to meet the land sale objectives as previously outlined for years
2002 — 2004, with either existing service (Blocks 6, 7, 9, 10, 11, 13) or projects currently in design
(Blocks 29, 30, 31) or under construction (Blocks 25, 26, 27). Blocks 14, 15 and 20 are adjacent to the
cities of Lake Worth and Lakeside. Providing water and /or sanitary sewer service to these areas will
Ikely require agreements with these adjoining municipalities and may affect the sales goals for year
2005. Listed in Table 2 are projects proposed by the Water Department for construction in the next five
years.

The costs to serve the existing Lake Worth perimeter are only a portion of the overall costs to improve
the water and sanitary sewer system network in the area. Tabulated below are estimated costs for
serving the lake perimeter, for constructing a service area system and the costs for completing the
infrastructure network:

WATER AND SEWER CONNECTION POLICY
The elimination of septic systems at Lake Worth has been identified as a goal of the long range Lease
'.ot Sales Plan. However, the typical lease lot sizes at Lake Worth are smaller than the state criteria for
,)n-site septic systems. Currently, the land sales guidelines state that if water and / or sanitary sewer are
available, a property is eligible for sale. It also requires that the purchaser shall commit to connect to the
utilities if and when they are provided in the future.
During the past five years a small diameter, low-pressure force main-grinder pump demonstration
project was constructed on Cahoba Drive that continues to serve the area well. This project achieved
one of the goals set by the November 1995 Guidelines. The small diameter low pressure force main
grinder pump system is in use on several Texas Lakes, therefore the Water Department has confidence
that this technology will likely be the most economical way to provide future sewer service to other
areas of the Lake Worth shore.
This type of sewer system will require that the residents install private improvements such as a grinder
pumps and electrical improvements as well as abandon their existing septic systems at an estimated
cost of $10,000 per lot. These costs are comparable to the installation of a new septic system,
assuming the lot size meets the state criteria. In addition to the costs of connecting to the City sanitary
sewer system, the- homeowners may encounter costs associated with bringing their private plumbing
and/or electrical systems up to code in their residences.
Staff is recommending that a mandatory connection clause be included in all future sales contracts that
will require future connection to the water and sewer utilities if and when provided by the City. The
City's current sewer ordinance states that if a sewer main is within 100 feet of an existing residence, the
residence must be connected to the main (Section 35-135 of the City Code).

It is proposed that the City's Water Department staff will work with citizens around the Lake to develop a
policy for payment of the private improvement costs, options for installation packages and
communication of the intent to enforce connection to the City sewer when it is provided.
SUMMARY
Unless further directed, Staff proposes to implement the above Lease Lot Sales and Infrastructure

RECOMMENDATION:
It is recommended that the City Council:
1. Approve the purchase of the properties described below for $405,000 plus estimated closing costs
for the development of the Evans Avenue and Rosedale Street Business and Cultural District; and
2. Authorize the City Manager to execute the appropriate closing documents, and allow the
Engineering Department, Real Property Services Division to file the deeds in the City's name.
DISCUSSION:
The Engineering Department, Real Property Services Division was requested to acquire properties in
the near southeast area for the development of the Evans Avenue and Rosedale Street Business and
Cultural District. An outside independent appraiser was engaged to appraise these properties.
The purchase prices were negotiated as follows:

The Planning Department will review the zoning on the purchased properties to determine if they will
require a zoning change once the properties are owned by the City.
These properties are located in COUNCIL DISTRICT 8, Mapsco 77K.
