COUNTY OF TARRANT $
WHEREAS, the City of Fort Worth (City) and Freese and Nichols,
Inc. , (Engineer) made and entered into City Secretary Contract No.
27835, (the Contract) which was authorized by the City Council by
M&C C-19124 on the 18th day of June 2002 and; subsequently revised
by one previous amendment; and
WHEREAS, the Contract involves engineering services for the
following project:
Holly/Northside II 54-inch, Water Main Extension, Contract 1 .
WHEREAS, it has become necessary to execute Amendment No. 2 to
said Contract to include an increased scope of work and revised
maximum fee;
NOW THEREFORE, City and Engineer, acting herein by and through
their duly authorized representatives, enter into the following
agreement which amends the Contract:
1.
Article I, of the Contract is amended to include the addition-
al engineering services specified in M&C C-19938, adopted by the
City Council on 20th day of January 2004 , and further amplified in
a proposal letter dated October 28, 2003, copies of which are both
attached hereto and incorporated herein. The cost to City for the
additional services to be performed by Engineer total $82,554 . 15.

Article II , of the Contract is amended to provide for an
increase in the maximum fee to be paid to Engineer for all work and
services performed under the Contract, as amended, so that the
total fee paid by the City for all work and services shall not
.exceed the sum of $1 ,066,503. 15.
3.
All other provisions of the Contract which are not expressly
amended herein shall remain in full force and effect.

Dear Mr. Sahu:
We have revised the referenced proposal to remove the sanitary sewer lowering in Unit 2. The 500-foot
sanitary sewer extension along Harrington Street(Unit 3) is still included, per Water Department request.
A summary of the items included in the proposal follows:
1. Prepare a Storm Water Pollution Prevention Plan and NOI for Units 1,2, and 3
2. Design of various sanitary sewer improvements in Unit 2 (see attached Exhibit A-1 for locations)
3. Design of various sanitary sewer improvements in Unit 3 (see attached Exhibit A-1 for locations)
4. Survey for additional waterline improvements to be designed between Rupert Street and the flea
market.
5. Survey of Sanitary Sewer Line L-701R*, for design of plugging of that line.
Please find attached 7 copies of our proposal to provide these services for the lump sum fee of
$82,554.15. Your expeditious execution of this Amendment#2 to our original contract would be greatly

WHEREAS, it has become necessary to execute Amendment No. 2 to said
Contract to include an increased scope of work and revised maximum fee;
NOW THEREFORE, City and Engineer, acting herein by and through their duly
authorized representatives, enter into the following agreement which amends the
Contract:

Article I of the Contract is amended to include the additional engineering services
specified in the attached Exhibits — A-1, B-1, B-2, B-3A, B-3B, B-3C, B-4, and cost
estimate, which are incorporated herein. The cost to City for the additional services to be
performed by Engineer total $82,554.15.
2.
Article H of the Contract is amended to provide for an increase in the fee to be
paid to Engineer for all work and services performed under the Contract, including this
and all other amendments, so that the total fee paid by the City for all work and services
shall be the sum of$1,066,503.15.
3.
All other provisions of the contract, which are not expressly amended herein, shall
remain in full force and effect.

The following is a clarification of the tasks that the ENGINEER will perform under Amendment 2 to the existing
contract for Holly/Northside II Phase I Units 1,2,and 3.Work under this attachment includes engineering services for
sewer improvements, waterline surveying, and SWPPP preparation for the following:
• SWPPP and NOI for the 54" waterline project (from Holly WTP to Northside II tank). Requested by
Department of Engineering.
• Design of 43 feet of 6"sanitary sewer to replace existing 6"sanitary sewer line L-1436,from station 2+08 to
2+51. Requested by Water Department.

Upon receipt of notice to proceed, the ENGINEER will perform the following tasks.

PART I—SANITARY SEWER DESIGN
ENGINEER Will Provide the Following Information:
All plans, field notes,plats, maps,legal descriptions,or other specified documents prepared in conjunction with the
requested services shall be provided in a digital format compatible with the electronic data collection and computer
aided design and drafting software currently in use by the OWNER. All text data such as plan and profile, legal
descriptions, coordinate files, cut sheets, etc., shall be provided in the American Standard Code for Information
Interchange (ASCII) format, and all drawing files shall be provided in Autocad (DWG or DXF) format , or as
otherwise approved in writing by the OWNER,and all data collected and generated during the course of the project
shall become the property of the OWNER.
A. Survey
The survey for the proposed 54"waterline will be used for the sanitary sewer plans,except for Line L701 R*.
B. Preliminary Engineering Pg_ lans
ENGINEER will prepare construction plans as follows:
1. Plan view of proposed sanitary sewer lines and tie-ins to existing sewer lines. Plan of abandonment of
existing sewer lines.
2. Plan view of proposed sanitary sewer manholes.
3. Profile of proposed sanitary sewer lines, showing line size, type, class, slope, flowline elevations,
manholes,and tie-ins to existing lines.
4. Tables showing numbers of anticipated long and short sewer service lines replacements.
5. The Engineer shall submit 5 sets of preliminary plans and specifications to the Owner.
6. The Engineer shall submit a preliminary estimate of probable construction cost with the preliminary plans
submittal.
7. The Engineer shall submit plans to the City's utility coordinator for submission to franchised utilities.
C. Final Engineering Plans
1. Final Construction Documents shall be submitted to OWNER 30 days after approval of Preliminary
Construction Plans. Following OWNER approval of the recommended improvements, the ENGINEER
shall prepare final plans and specifications and contract documents to OWNER (each sheet shall be
stamped,dated,and signed by the ENGINEER)and submit two(2)sets of plans and construction contract
documents within 15 days of OWNER's final approval.
2. The ENGINEER shall submit a final estimate of probable construction cost with the final plans submitted.
D. Construction Assistance
1. Bid Documents Submittal
The ENGINEER will make available for bidding,upon request by the OWNER,up to 20 sets of the final
approved and dated plans and specifications and contract documents for the projects to the OWNER for
distribution to potential bidders. Proposal will be provided in electronic format.

2. Bidding Assistance
The ENGINEER shall assist the OWNER during phase including preparation and delivery of addenda to,
responses to questions submitted to the OWNER by prospective bidders. ENGINEER shall attend the
scheduled pre-bid conference.
The ENGINEER shall assist in reviewing the bids for completeness and accuracy. The ENGINEER shall
attend the project bid opening(s), develop bid tabulations in hard copy and electronic format and submit
four(4) copies of the bid tabulation.
3. Assistance During Construction
The ENGINEER shal I attend the pre-construction conference for the project. The ENGINEER shall also
consult with and advise the OWNER on design and/or construction changes, if necessary.
PART H—SURVEY
ENGINEER Will Provide the Following Information:
A. Surveys for Design
1. ENGINEER will perform field surveys to collect horizontal and vertical elevations and other information
which will be needed for use by the ENGINEER in design and preparation of plans for the project.
Information gathered during the survey shall include topographic data, elevations for all sanitary and
adjacent storm sewers, rim/invert elevations, location and buried utilities, structures, and other features
relevant to the final plan sheets. For sewer lines located in alleys and backyards,ENGINEER will obtain
the following:
Obtain permission for surveying through private property
Locate horizontal and vertical alignment of utility lines. Tie improvements, trees, fences, walls, etc.
horizontally along rear lines in an approximately 20' wide strip. In addition, locate all rear house corners
and building corners in backyards. Compile base plan from field survey data at 1"=20'horizontal and 1"
=2' vertical scale.
Profile existing water and/or sewer line centerline.
Compile base plan from field survey data at 1"-20' scale.
When conducting design survey at any location on the project, the consultant or its sub-consultant shall
carry readily visible information identifying the name of the company and the company representative. All
company vehicles shall also be readily identified.
2. Engineer Will Provide the Following Information:

The minimum information to be provided in the plans shall include the following:
1. A Project Control Sheet,showing ALL Control Points,used or set while gathering data. Generally on a
scale not less than 1:400.
2. The following information about each Control Point;
a. Identified (Existing City Monument#8901, PK Nail, 5/8" Iron Rod
b. X,Y,and Z Coordinates,in an identified coordinate system,and a referred bearing base.Z coordinate on
City Datum Only.
c. Descriptive Location(Ex. Set in the centerline of the inlet in the South curb line of North Side Drive at
the East end of radius at the Southeast Corner of North Side Drive and North Main Street.)
3. Coordinates on all P.C.'s,P.T.'s,P.I.'s,Manholes,Valves,etc.,in the same coordinate system as Control.
4. No less than two horizontal control points, per line or location.
5. Bearings given on all proposed centerlines, or baselines.
6. Station equations relating utilities to paving, when appropriate.
B. Public Notification and PersonneUVehicle Identification
Prior to conducting design survey,ENGINEER will notify affected residents of the project in writing. The
notification letter shall be on company letterhead and shall include the following: project name, limits,
DOE project no., Consultant's project manager and phone no., scope of survey work and design survey
schedule. The letter will be reviewed and approved by the City prior to distribution.
When conducting site visits to the project location,the consultant or any of its sub-consultants shall carry
readily visible information identifying the name of the company and the company representative. All
company vehicles shall also be readily identifiable.
C. Right-of-way Research
The ENGINEER will conduct preliminary research for availability of existing easements where open-cut
construction or relocation of existing alignments is probable. Temporary and permanent easements will be
appropriated based on available information and recommendations will be made for approval by the City.
D. Right-of-way/Easement Preparation and Submittal
Preparation and submittal of right-of-way, easements and right-of-entry will be in conformance with
"Submittal of Information to Real Property for Acquisition of Property".
PART III—STORM WATER POLLUTION PREVENTION PLAN (SWPPP)
A. Prepare a Notice of Intent Form and Storm Water Pollution Prevention Plan
1. Engineer will assist the City and its contractor with preparation of a Notice of Intent form to obtain
coverage under the NPDES/TPDES general permit for storm water discharges from construction
activities. In addition,Engineer will prepare a storm water pollution prevention plan(SWPPP)which the
contractor is required to maintain at the construction site.

METHOD OF PAYMENT
(SUPPLEMENT TO ATTACHMENT `B" OF ORIGINAL CONTRACT)
I. METHOD OF PAYMENTS
The ENGINEER shall be paid in monthly partial payments as outlined below:
A. The ENGINEER shall be paid in monthly payments upon the receipt of individual invoices
for each partial payment request from the ENGINEER.
B. Partial payments shall not exceed the equivalent of 50%of the total lump sum fee,until City
approval of the Preliminary Design.
C. Partial payments shall not exceed the equivalent of 85%of the total lump sum fee,until City
approval of the Final Design.
D. The balance of the lump sum fee shall be payable after General Construction Representation
is complete.
II. PROGRESS REPORT
A. The ENGINEER shall submit to the designated representative of Director of
Department of Engineering monthly progress reports covering all phases of design by
the 15t11 of every month in the format required by the City.
B. If the ENGINEER determines in the course of making design drawings and
specifications that the construction cost estimate of$787,684.00 will be exceeded
whether by change in scope of the Project, increased costs or other conditions, the
ENGINEER shall immediately report such fact to the City's Director of the Department
of Engineer and, if so instructed by Director of the Engineer Department, shall suspend
all work hereunder.

Amendment No. 2 to Engineering Agreement with Freese and Nichols, Inc. for Holly/Northside II 54-
Inch Water Main Extension, Contract I
RECOMMENDATION:
It is recommended that the City Council authorize the City Manager to execute Amendment No. 2 to City
Secretary Contract No. 27835 with Freese and Nichols, Inc. in the amount of $82,554.15, thereby
increasing the contract amount to $1,066,503.15.
DISCUSSION:
On June 18, 2002 (M&C C-19124), the City Council authorized the City Manager to execute an engineering
agreement with Freese and Nichols, Inc. in the amount of $925,449.00 to prepare plans and specifications
for the Holly/Northside li 54-inch Water Main Extension, Contract I. The project was divided into three units
in order to expedite construction. Units 1 and 2 are under construction, and Unit 3 will be advertised for bid
in January 2004.
This contract was previously revised by Amendment No. 1 on August 12, 2003, in the amount of$58,500.00
for limited construction inspection services. Amendment No. 2 allows Freese & Nichols, Inc. to provide
additional engineering services to prepare plans and specifications for approximately 2445 feet of 8-inch,
464 feet of 10-inch, 2527 feet of 12-inch, and 840 feet of 16-inch sanitary sewer pipes. These sanitary
sewer lines are along the new 54-inch water line route and need to be replaced in conjunction with the
construction of the new water main. This additional work was made at the request of the Water Department,
and was not included in the original scope of work.
In addition to these services, Freese and Nichols, Inc. will also prepare plans and specifications for storm
water pollution prevention plans not included in the original scope of work.
Freese and Nichols, Inc. proposes to provide these services for a lump sum fee of $82,554.15. City staff
considers this fee to be fair and reasonable for the scope of services proposed.
Freese & Nichols, Inc. is in compliance with the City's M/WBE Ordinance by committing to 19% M/WBE
participation on this Amendment No. 2. The City's goal on this amendment is 17%.
This project is located in COUNCIL DISTRICT 9, Mapsco 61C and H; 62E, J, N, P, U, and Y; and 76C.
FISCAL INFORMATION/CERTIFICATION:
The Finance Director certifies that funds are available in the current capital budget, as appropriated, of the
Water Capital Projects Fund.
