COUNTY OF TARRANT §
WHEREAS, the City of Fort Worth (City) and Freese arrd Nichols, Inc.,
(Engineer) made and entered into City Secretary Contract No. 27835 (the Contract)
which was authorized by the City Council by M&C C-19124 on the 181h day of June,
2002; and
WHEREAS, the Contract involves engineering services for the following project:
Fort Worth Holly 54" Water Transmission Line
WHEREAS, it has become necessary to execute Amendment No. 3 to said
Contract to include an increased scope of work and revised maximum fee;
NOW THEREFORE, City and Engineer, acting herein by and through their duly
authorized representatives, enter into the following agreement which amends the
Contract:
1.
Article I of the Contract is amended to include the additional engineering services
specified in the attached Exhibits - A-1, B-1, B-2, B-3A, B-3B, B-3C, B-4, and cost
estimate, which are incorporated herein. The cost to City for the additional services to be
performed by Engineer total $182,336.00
2.
Article II of the Contract is amended to provide for an increase in the fee to be
paid to Engineer for all work and services performed under the Contract, including this
and all other amendments, so that the total fee paid by the City for all work and services
shall be the sum of$1,248,839.15.
3.
All other provisions of the contract, which are not expressly amended herein, shall
remain in full force and effect.

EXHIBIT "A-1"
SUPPLEMENTAL SCOPE OF SERVICES
The following is a clarification of the tasks that the ENGINEER will per-form under Amendment 3 to the existing
contract for design of the 54-inch water transmission line between Holly WTP and Northside Pump Station. Work
under this attachment includes engineering services for separating Unit 3 into two construction contract documents,
re-aligning the 54"pipeline between the intersection preparation for the following:
• Design new connection point to tie the two construction projects together.
• Prepare an additional set of Plans.
• Prepare an additional set of Specifications and Contract Documents.
• Assist the City with Bidding and Award of an additional set of Construction Documents, including an
additional Pre-Bid Conference.
• Assist the City with General Construction Representation of an additional Construction contract.
• Review an additional set of submittals and shop drawings.
• Prepare additional set of Record Drawings.
• Stake permanent and construction easements for parcels 2, 3, and 4.
• Design of new alignment of 54"water line from the intersection of Rupert St and White Settlement Rd. to
Fifth St. and Greenleaf Ave.
• Design survey of new alignment of 54" water line.
• Geotechnical analysis of new alignment of 54" water line..
• Environmental investigation and permitting of new alignment of 54" water line.
• Public Involvement for additional construction contract.
• Route study of new alignment of 54" water line.
• Prepare SWPPP for additional construction contract.
Upon receipt of notice to proceed, the ENGINEER will perform the following tasks.
PART I—DESIGN NEW CONNECTION POINT AND SEPARATE UNIT 3
ENGINEER Will Provide the Following Information:
All plans,field notes,plats,maps, legal descriptions,or other specified documents prepared in conjunction with the
requested services shall be provided in a digital format compatible with the electronic data collection and computer
aided design and drafting software currently in use by the OWNER. All text data such as plan and profile, legal
descriptions, coordinate files, cut sheets, etc., shall be provided in the American Standard Code for Information
Interchange (ASCII) format, and all drawing files shall be provided in AutoCAD (DWG or DY—F) format, or as
otherwise approved in writing by the OWNER, and all data collected and generated during the course of the project
shall become the property of the OWNER.
A. Final EngineeringPlans
1. Final Construction Documents shall be submitted to OWNER 30 days after approval of Preliminary
Construction Plans. Following OWNER approval of the recommended improvements, the ENGINEER
shall prepare final plans and specifications and contract documents to OWNER (each sheet shall be
stamped,dated, and signed by the ENGINEER)and submit two(2)sets of plans and construction contract
documents within 15 days of OWNER'S final approval.
2. The ENGINEER shall submit a final estimate of probable construction cost with the final ph s`s>abriiftea.

B. Construction Assistance
1. Bid Documents Submittal
The ENGINEER will make available for bidding, upon request by the OWNER,up to 20 sets of the final
approved and dated plans and specifications and contract documents for the projects to the OWNER for
distribution to potential bidders. Proposal will be provided in electronic format.
2. Bidding Assistance
The ENGINEER shall assist the OWNER during phase including preparation and delivery of addenda to,
responses to questions submitted to the OWNER by prospective bidders. ENG_ WEER shall attend the
scheduled pre-bid conference.
The ENGINEER shall assist in reviewing the bids for completeness and accuracy. The ENGINEER shall
attend the project bid opening(s),develop bid tabulations in hard copy and electronic format and submit
four(4)copies of the bid tabulation.
3. Assistance During Construction
The ENGINEER shall attend the pre-construction conference for the project. The ENGINEER shall also
consult with and advise the OWNER on design and/or construction changes, if necessary.
PART II—BIDDING AND AWARD
ENGINEER Will Provide the Following Information:
A. Administration
1. Deliver Bid Documents
The ENGINEER will make available for bidding, upon request by the CITY, up to fifty(50) sets of the final
approved and dated plans and specifications and contract documents for the projects to the CITY for
distribution to potential bidders. Proposal will be delivered in electronic format.
2. Bidding Assistance
The ENGINEER shall assist the CITY during phase including preparation and delivery of addenda to plan
holders and responses to questions submitted to the DOE by prospective bidders. Engineers shall attend the
scheduled pre-bid conference.
The ENGINEER shall assist in reviewing the bids for completeness and accuracy. The ENGINEER shall
attend the project bid opening develop bid tabulations in hard copy and electronic format and submit four(4)
copies of the bid tabulation.
PART III—GENERAL CONSTRUCTION REPRESENTATION
A. Assistance During Construction
1. Assist City in conducting one(1)pre-construction conference for each construction contract with the
Contractor. Review construction schedules prepared by the Contractor(s) pursuant to the
requirements of the construction contract.
2. Review.submittals and shop drawings associated with contract documents.

3. Conduct one field visit per month to observe progress and quality of construction for a maximum of
six field visits. Provide technical assistance to the City to answer questions that may arise in the
construction.
4. Conduct, in company with City's representative,a final review of the Project for conformance with
the design concept of the Project and general compliance with the Contract Documents,and review
and comment on the certificate of completion and the recommendation for final payment to the
Contractor(s)
PART IV—DESIGN RE-ALIGNMENT OF 54" WATER LINE
ENGINEER Will Provide the Following Information:
All plans,field notes,plats,maps,legal descriptions,or other specified documents prepared in conjunction with the
requested services shall be provided in a digital format compatible with the electronic data collection and computer
aided design and drafting software currently in use by the OWNER. All text data such as plan and profile, legal
descriptions, coordinate files, cut sheets, etc., shall be provided in the American Standard Code for Information
Interchange (ASCII) format, and all drawing files shall be provided in Autocad (DWG or DXF) format, or as
otherwise approved in writing by the OWNER,and all data collected and generated during the course of the project
shall become the property of the OWNER.
A. Survey
1. Surveys for Design
a. ENGINEER will perform field surveys to collect horizontal and vertical elevations and other
information which will be needed for use by the ENGINEER in design and preparation of plans for the
project. Information gathered during the survey shall include topographic data, elevations for all
sanitary and adjacent storm sewers,rim/invert elevations,location and buried utilities, structures,and
other features relevant to the final plan sheets. For sewer lines located in alleys and backyards,
ENGINEER will obtain the following:
Obtain permission for surveying through private property
Locate horizontal and vertical alignment of utility lines. Tie improvements, trees, fences, walls,etc.
horizontally along rear lines in an approximately 20' wide strip. In addition, locate all rear house
corners and building corners in backyards. Compile base plan from field survey data at 1"= 20'
horizontal and 1" =2' vertical scale.
Profile existing water and/or sewer line centerline.
Compile base plan from field survey data at 1"-20' scale.
When conducting design survey at any location on the project,the consultant or its sub-consultant shall
carry readily visible information identifying the name of the company and the company representative.
All company vehicles shall also be readily identified.
b.' Engineer Will Provide the Following Information:
All plans, field notes, plats, maps, legal descriptions, or other specified documents prepared-in
conjunction with the requested services shall be provided in a digital format compatible with the
electronic data collection and computer aided design and drafting software currently in use by the
CITY Department of Engineering. All text data such as plan and profile,legal descriptions,coordinate
files, cut sheets, etc., shall be provided in the American Standard Code for Information Interchange
(ASCII)format,all drawing files shall be provided in Autocad (DWG or DXF)format,or as otherwise
approved in writing by the CITY,and all data collected and generated during the course of the project

shall become the property of the CITY.
The minimum information to be provided in the plans shall include the following:
c. A Project Control Sheet,showing ALL Control Points,used or set while gathering data. Generally on
a scale not less than 1:400.
d. The following information about each Control Point;
i. Identified (Existing City Monument#8901,PK Nail, 5/8"Iron Rod
ii. X,Y, and Z Coordinates, in an identified coordinate system, and a referred bearing base. Z
coordinate on City Datum Only.
iii. Descriptive Location (Ex. Set in the centerline of the inlet in the South curb line of North Side
Drive at the East end of radius at the Southeast Corner of North.Side Drive and North Main
Street.)
e. Coordinates on all P.C.'s, P.T.'s, P.I.'s, Manholes, Valves, etc., in the same coordinate system as
Control.
f. No less than two horizontal control points, per line or location.
g. Bearings given on all proposed centerlines, or baselines.
h. Station equations relating utilities to paving, when appropriate.
2. Public Notification and PersonneUVehicle Identification
Prior to conducting design survey,ENGINEER will notify affected residents of the project in writing. The
notification letter shall be on company letterhead and shall include the following: project name, limits,
DOE project no., Consultant's project manager and phone no., scope of survey work and design survey
schedule. The letter will be reviewed and approved by the City prior to distribution.
When conducting site visits to the project location,the consultant or any of its sub-consultants shall carry
readily visible information identifying the name of the company and the company representative. All
company vehicles shall also be readily identifiable.
3. Right-of-way Research
The ENGINEER will conduct preliminary research for availability of existing easements where open-cut
construction or relocation of existing alignments is probable. Temporary and permanent easements will be
appropriated based on available information and recommendations will be made for approval by the City.
4. Right-of-way/Easement Preparation and Submittal
Preparation and submittal of right-of-way, easements and right-of-entry will be in conformance with
"Submittal of Information to Real Property for Acquisition of Property".
C. Preliminary Engineering Plans
ENGINEER will prepare construction plans as follows:
1. Overall water layout sheets and an overall easement layout sheet(s).
2. Preliminary project plans and profile sheets for new alignment which show th

meter boxes, gate valves, isolation valves and all pertinent information needed to ns-truvt the

project. Legal description (Lot Nos., Block Nos., and Addition Names) along with addresses
shall be provided on the plan view.
3. Conduct design survey for water transmission line. Design surveys will include horizontal and
vertical survey control for the entire length of the new alignment of the propose 54"water main
with iron rods at all PI's and control points not to exceed 500 foot intervals. Survey will identify
property boundaries,one foot topographic contours,roadway surfaces,utilities and other features
needed for design and establishment of monumentation during construction.
4. Conduct geotechnical analysis of new alignment of proposed water transmission line to evaluate
subsurface soil and ground water conditions along route and to assist in design of structures
associated with the project. Review the pipeline alignment to identify the locations where
borings are desirable. Select specific locations for one exploratory borings. Work with project
staff,DigTess, and locators to select and stake the specific locations after checking underground
utilities, other existing construction, and accessibility. Subcontract with a drilling firm to drill
one boring, about 25 feet deep, obtain samples for testing at five-foot intervals, core bedrock
where encountered, and backfill the remaining borings with cuttings or bentonite chips as
directed. FNI will provide a geologist or engineering intern experienced in logging borings to
direct the drilling, log the borings, record recovery and RQD of rock cores, and handle the
samples. Coordinate with the drilling firm,City, and FNI geologist or engineer to schedule and
complete the field investigation. FNI will mark boring for final location and elevation survey by
others. Select samples for laboratory testing, assign tests, deliver the samples to a subcontract
laboratory for testing, and review the test results. Testing is expected to include classification
series (water content, liquid and plastic limits, and percent passing#200 sieve), sieve analyses,
unconfined compression of soil samples, unconfined compression of rock samples, and water
content tests. Review the subsurface conditions and soil properties disclosed by the investigation
and discuss the implications for design with FNI pipeline designers. Prepare a report of the
geotechnical investigation presenting the boring locations,boring logs,laboratory test results,and
well installation reports. FNI engineer will prepare a report that includes a discussion of the
general subsurface conditions along the route and their influence on design, a discussion of
construction issues, and recommendations for design. Consult with FNI designers and the City
during design to help apply the findings of the investigation to specific design issues. Review
selected plans and specifications to verify that recommendations have been interpreted as
intended and reflected in the documents.
5. Review the Corps of Engineers Nationwide Permit 12 if it is still valid with new alignment.
Evaluate the environmental issues there are with re-alignment of the 54" water line.
6. After approval of conceptual design, the ENGINEER shall prepare and submit permanent and
construction easement documents with exhibits and legal descriptions sealed by a registered
surveyor. A maximum of fort (4) easement documents are anticipated for the Holly 54" water
transmission line re-alignment. Additional easements shall be considered additional services,and
can be prepared at the cost per each indicated in Exhibit B-3C plus 10%subconsultant markup.
7. Existing utilities and utility easements will be shown on the plan and profile sheets. ENGINEER
will coordinate with utility companies and the City of Fort Worth to determine if any future
improvements are planned that may impact the project.
8. The ENGINEER shall design for reconnecting all water service lines which conn( 1-directly I Lo

or utility easement. When the existing alignment of a water main is changed, provisions will be
made in the final plans and/or specifications by the ENGINEER to relocate all services which are
connected to the existing main and connect said service lines to the relocated main.
9. The ENGINEER will prepare standard and special detail sheets for water line installation that are
not already included in the D Section of the City's specifications.These may include connection
details between various parts of the project, tunneling details,boring and jacking details, water
line relocations, details unique to the construction of the project, trenchless details, and special
service reconnections.
10. Right-of-way Research
The ENGINEER will conduct preliminary research for availability of existing easements where
open-cut construction or relocation of existing alignments is probable. Temporary and permanent
easements will be appropriated based on available information and recommendations will be
made for approval by the City.
11. Right-of-way/Easement Preparation and Submittal
Preparation and submittal of right-of-way, easements and right-of-entry will be in conformance
with "Submittal of Information to Real Property for Acquisition of Property".
12. Utility Clearance Phase
The ENGINEER will consult with the City's Water Department,Department of Engineering,and
other CITY departments,public utilities,private utilities and government agencies to determine
the approximate location of above and underground utilities, and other facilities that have an
impact or influence on the project.
ENGINEER will design City facilities to avoid or minimize conflicts with existing utilities.
The ENGINEER shall deliver a minimum of 18 sets of approved preliminary construction plans
to the City's Utility Coordinator for forwarding to all utility companies, which have facilities
within the limits of the project.
13. Preliminary construction plan submittal
a. Preliminary plans and specifications shall be submitted to City 180 days after approval of the
conceptual design of the realignment.
b. The ENGINEER shall delivery two (2) sets or preliminary construction plans and two (2) sets of
specifications and contract documents to CITY for review. Generally,plan sheets shall be organized as
follows:
Cover sheet
Easement layout (if applicable)
Plan & Profile Sheets
Standard Construction Details
Special Details (if applicable)
c. The ENGINEER shall submit a preliminary estimate of probable construction cost with the

preliminary plans submitted. ENGINEER shall assist City in selecting the feasible and/or economical
solutions to be pursued.
14. Review Meetings with City
The ENGINEER shall meet with CITY to discuss review comments for preliminary submittal.
The CITY shall direct the ENGINEER in writing to proceed with Final Design for Final Review.
15. Public Meeting
After the preliminary plans have been reviewed and approved by the City, ENGINEER shall
prepare exhibits along with an invitation letter and attend public meeting to help explain the
proposed project to residents. The CITY shall mail the invitation letters.
D. Final Engineering Plans
1. Final Construction Documents shall be submitted to OWNER 30 days after approval of Preliminary
Construction Plans. Following OWNER approval of the recommended improvements, the ENGINEER
shall prepare final plans and specifications and contract documents to OWNER (each sheet shall be
stamped,dated,and signed by the ENGINEER)and submit two(2)sets of plans and construction contract
documents within 15 days of OWNER's final approval.
2. The ENGINEER shall submit a final estimate of probable construction cost with the final plans submitted.
PART V—STORM WATER POLLUTION PREVENTION PLAN (SWPPP)
A. Prepare a Notice of Intent Form and Storm Water Pollution Prevention Plan
Engineer will assist the City and its contractor with preparation of a Notice of Intent form to obtain coverage under
the NPDES/TPDES general permit for storm water discharges from construction activities. In addition,
Engineer will prepare a storm water pollution prevention plan(SWPPP)which the contractor is required to
maintain at the construction site.

METHOD OF PAYMENT
(SUPPLEMENT TO ATTACHMENT `B" OF ORIGINAL CONTRACT)
I. METHOD OF PAYMENTS
The ENGINEER shall be paid in monthly partial payments as outlined below:
A. The ENGINEER shall be paid in monthly payments upon the receipt of individual invoices
for each partial payment request from the ENGINEER.
B. Partial payments shall not exceed the equivalent of 50% of the total lump sum fee,until City
approval of the Preliminary Design.
C. Partial payments shall not exceed the equivalent of 85% of the total lump sum fee,until City
approval of the Final Design.
D. The balance of the lump sum fee shall be payable after General Construction Representation
is complete.
II. PROGRESS REPORT
A. The ENGINEER shall submit to the designated representative of Director of
Department of Engineering monthly progress reports covering all phases of design by
the 15`h of every month in the format required by the City.
B. If the ENGINEER determines in thecourse of making design drawings and
specifications that the total construction cost estimate of$16,265,591.00 will be
exceeded whether by change in scope of the Project, increased costs or other conditions,
the ENGINEER shall immediately report such fact to the City's Director of the
Department of Engineer and, if so instructed by Director of the Engineer Department,
shall suspend all work hereunder.

Amendment No. 3 to Engineering Agreement with Freese and Nichols, Inc. for Holly/Northside 1154-
Inch Water Main Extension, Contract I
RECOMMENDATION:
It is recommended that the City Council authorize the City Manager to execute Amendment No. 3 to City
Secretary Contract No. 27835 with Freese and Nichols, Inc. in the amount of $182,336.00, thereby
increasing the total contract amount to $1,248,839.15.
DISCUSSION:
On June 18, 2002 (M&C C-19124), the City Council authorized the City Manager to execute an engineering
agreement with Freese and Nichols, Inc. in the amount of $925,449 to prepare plans and specifications for
Holly/Northside II 54-inch Water Main Extension, Contract I. The project was divided into three units in
order to expedite construction. Units 1 and 2 are currently under construction. Unit 3, Section "A" was
advertised for bid in August 2004. Unit 3, Section "B" will be advertised in December 2004.
This contract was previously revised by Amendment No. 1 for $58,500.00 on August 12, 2003 (M&C C-
19698) and Amendment No. 2 for $ 82,554.15 on January 20, 2004 (M&C C-19938). These amendments
provided for additional services, which included limited construction inspection and preparation of plans for
additional water and sanitary sewer lines.
The anticipated cost of Unit 3 exceeds the initial estimates due to alignment modifications necessitated by
the Trinity Vision Project. Amendment No. 3 will allow Freese and Nichols, Inc. to separate the Unit 3
project into two separate contracts (Unit 3, Section "A" and Unit 3, Section "B"). The total cost to complete
Section "A"will be approximately $5 million. The total cost to complete Section "B" will be approximately $4
million. The contract will be separated to give more opportunities to bidders.
The Water Department anticipates the northern half ( Unit 3, Section "A") to be completed by next summer.
The southern half( Unit 3, Section "B") is currently being designed.
The additional work to be performed in Amendment No. 3 consists of the following:-
- Re-route of two sections of 54-inch pipeline due to the proposed Trinity Vision Improvements located
south of Jacksboro Highway;-
-
Design of a new connection point to tie the two construction contracts;.
- Preparation of additional temporary and permanent construction easements;.
-Additional survey and geotechnical analysis of the new water line new alignment;-
- Preparation of storm water pollution prevention plans for the additional construction contract; and-
-Additional efforts in reviewing shop drawings, construction phase services and reproduction costs.
Freese and Nichols, Inc. proposes to provide the additional engineering services for a lump sum fee of
$182,336.00. City staff considers this fee to be fair and reasonable for the scope of services proposed.

Freese & Nichols, Inc. is in compliance with the City's MANBE Ordinance by committing to an additional
19% M/WBE participation on Amendment No. 3. The City's goal on this amendment is 19%.
This project is located in COUNCIL DISTRICT 9, Mapsco 61 C and H; 62E, J, N, P, U, and Y; and 76C.
FISCAL INFORMATION/CERTIFICATION:
The Finance Director certifies that funds are available in the current capital budget, as appropriated, of the
