WV� TRANSPORTATION IMPACT FEE CREDIT AGREEMENT THIS TRANSPORTATION IMPACT FEE CREDIT AGREEMENT(the"Agreement") is made and entered into effective as of the Effective Date (as defined below), by and among THE CITY OF FORT WORTH, TEXAS (the "City"), a Texas home rule municipal corporation, and SLF IV—CHISHOLM TRAIL,L.P., a Texas limited partnership (f/k/a SLF IV/Legacy Capital, L.P.) authorized to do business in Texas (the "Owner") (the City and the Owner a "Parry," and collectively, the "Parties"). RECITALS WHEREAS, the Owner is the owner of approximately 329.963 acres located in Tarrant County,Texas,as described by metes and bounds on Exhibit"A"and depicted on Exhibit"B" (the "Property"), all located within the corporate boundaries of the City; and WHEREAS, the Owner desires that the Property be developed generally as described or illustrated on the "Concept Plan" attached hereto as Exhibit "C," which Concept Plan generally identifies the intended land uses and layout of on-site and off-site major transportation facilities necessary for serving full development of the Property; and WHEREAS,the Owner may revise the Concept Plan from time to time; and WHEREAS,the Owner has earned Impact Fee Credits as a result of work performed relating to the Property, which credits may be applied anywhere within the Property; and WHEREAS,the City has adopted Transportation Impact Fee Regulations pursuant to Texas Local Government Code Chapter 395, codified in City Code, Chapter 30,Article VIII, Section 30- 151 et seq. ("Impact Fee Regulations"), under which charges ("Transportation Impact Fees") are imposed on new development for transportation facilities serving the development and which are identified within the City's adopted Transportation Improvements Plan (defined therein); and WHEREAS,the transportation facilities shown on the Concept Plan are identified within the City's adopted Transportation Improvements Plan; and WHEREAS,the Property, is located within service area Y; and WHEREAS,the City,pursuant to the Impact Fee Regulations,has determined the maximum transportation impact fees to be charged against new development within service area Y to be$2,370 per service unit(vehicle-mile of demand); and WHEREAS, transportation impact fees must be collected and spent within the service area(s) in which the new development is located; and - -- — OFFICIAL RECORD CITY SECRETARY CREDIT AGREEMENT Page 1 FT.WORTH,YX Chisholm Trail Ranch - -- -- RECEI VEp 2006.001\42054.3 JAN O7 WHEREAS,the Impact Fee Program provides for credits against Transportation Impact Fees for dedication or construction of eligible transportation improvements; and WHEREAS, the Owner has dedicated 934,360 square feet of right-of-way for the eligible arterials related to the Properly, Summer Creek Drive and McPherson Boulevard: Special Warranty Deed D212119137,recorded January 24, 2012, Special Warranty Deed D212119139,recorded January 24, 2012, Special Warranty Deed D212119143, recorded January 24, 2012; and Special Warranty Deed D213139190 DRTCT, recorded June 3, 2013 WHEREAS,the Owner has constructed Summer Creek Drive and McPherson Boulevard, related to the Property,pursuant to Community Facilities Agreements,City Secretary Contract Nos. 43230 and 43477, which improvements the City has accepted; and WHEREAS, Owner or successor owners will dedicate right-of-way and construct the transportation improvements deemed necessary as a condition of development for the future phases of the Property, as will be shown on final plat(s), which dedication and construction of future transportation improvements related thereto may qualify for additional credits against future transportation impact fees,and which shall be memorialized through administrative amendment(s)to this Agreement. NOW THEREFORE, for and in consideration of the mutual agreements, covenants, and conditions contained herein, and other good and valuable consideration, the City and the Owner hereby covenant and agree as follows: 1. Recitals. The recitals contained in this Agreement are true and correct as of the Effective Date and form the basis upon which the Parties negotiated and entered into this Agreement. 2. Transportation Improvements. Owner has dedicated the rights-of-way for and constructed the system facilities identified in Exhibit "D" Summer Creek Drive and McPherson Blvd.,related to the Property("Property Transportation Improvements"). As the Property develops, additional transportation improvements may be required, which shall be memorialized by administratively approved supplemental Exhibit(s)D(e.g.,Exhibit D-1,D-2,etc.)to this Agreement. 3. Credits. The Parties agree that the total value of the credits for the transportation improvements, expressed in current dollars, is $2,642,135.91, and that the value of the credits for each transportation improvement,expressed in current dollars,shall be as set forth in Exhibit"E". 4. Phasing of the Property. The Parties acknowledge that the Property is anticipated to be developed in phases. Additional roadway improvements and right-of-way dedication may be required, as a condition of development, based on final platting of additional phases within the CREDIT AGREEMENT Page 2 Chisholm Trail Ranch 2006.001\42054.3 Property. Eligible arterial improvements shall receive credits to be used as described through administrative amendment(s)to this Agreement. 5. Allocation of Credits. The credits (as referenced in paragraph 3 above) may be allocated by the Owner to any lot or development within the Property as shown on Exhibit "F", which exhibit may be administratively amended from time to time by the Parties.The Parties agree that future credits shall be memorialized through an administrative amendment to this Agreement and shall not be deemed to have been created until the system facility for which credits are given is either guaranteed through an executed Community Facilities Agreement("CFA")or,in the case of right-of-way dedication,accepted via written instrument,and,in the case of construction pursuant to a CFA,finally approved and accepted by the City. In no event, shall the credits created pursuant to this Agreement or any amendment be allocated outside the Property. The Parties further agree that,prior to the application of future credits against transportation impact fees otherwise due for any unit of development; the following events shall take place: (a) The Parties have entered into a Community Facilities Agreement for the dedication or construction of the system facility; (b) The number of credits resulting from such improvement has been valued; (c) Concurrent with final plat approval,an amended Exhibit"F"detailing credit allocation may be provided by the Owner. 6. Proportionality. Proportionality, as defined in the Impact Fee Regulations, is the maximum impact fee per service unit for transportation facilities (Schedule 1), which is an approximate and appropriate measure of the impacts generated by a new unit of development on the City's transportation system. Further,by virtue of the"Border Streets"policy noted in V-3 Section 2B of the City of Fort Worth's Policy for the Installation of Public Facilities, system facility improvements required as a condition of development are limited to the frontage shown along final plat(s) for the property. 7. Term and Effective Date. The initial term of this Agreement shall be ten(10)years from its Effective Date, which shall be the date on which the last party executes the Agreement. 8. Assignment. Owner shall have the right to assign this Agreement and any amendments to any subsequent purchaser of the Property ("Owner's Assignee") with the written consent of the City,which consent shall be granted if: (a)the assignment is in writing executed by the Owner and its assignee; and (b) the assignment incorporates this Agreement by reference and binds the Owner's Assignee to perform(to the extent of the obligations assigned)in accordance with this Agreement. Each Owner's Assignee shall become a Party to this Agreement upon the execution of such assignment. In no event may this Agreement be construed to authorize assignment of any credits attributable to a system facility to be dedicated or constructed hereunder for use outside the boundaries of the Property. CREDIT AGREEMENT Page 3 Chisholm Trail Ranch 2006.001\42054.3 9. Amendment. This Agreement, or any of its exhibits, shall not be modified or amended unless agreed to in writing by both parties. 10. Exhibits. The exhibits attached to this Agreement are incorporated as part of this Agreement for all purposes as if set forth in full in the body of this Agreement.
