GRANT STATEMENT THIS GRANT STATEMENT is entered into and forms a part of that certain Grant Agreement dated 12/12/2011 (the "A eement") by and between PetSmart Charities, Inc. ("PetSmart Charities") and the "Organization" identified below. The Parties are entering into this Grant Statement to set forth additional terms and conditions for a Grant from PetSmart Charities to the Organization. The Grant Funds will be used by the Organization solely for the purpose of: Approximately $2976.00 for supplies as described within your grant proposal, with an adoption goal of 50 at each PetSmart Store location through the adoption event taking place on 02/13/2015 - 02/15/2015 at PetSmart Stores #187 and #2065. The following adoption partners are approved to participate in the event: 4 PAWS INC [#2140] AZLE ANIMAL SHELTER HUMANEASSOCIATION [#2834] MARS RESCUE INC [#6589] BUDDIES PLACE [#7703] LUCYS LOST LOVED ONES[#8807] TALL TAILS RESCUE [#9227] 1) Approximately $2336.00 for tents, tables, chairs, fencing, or other similar items as described within your Grant Applications. If Tent(s) are described within your grant requests, included will be needed supplies to ensure adequate preparation for potential inclement weather, up to and including:tent panels, heaters, air conditioning,fans, etc. 2) Approximately $640.00 for marketing and advertising of the event. If provided, the Organization will use the event-specific PetSmart Charities promotional materials. Any marketing materials which are created by the Organization shall be submitted to PetSmart Charities for review, prior to use, including any and all promotional or advertising materials, press releases, written communication or social media posts in which PetSmart Charities name,trademarked material or copyrighted material is used. 3) The Organization agrees to follow all policies and procedures found within the PetSmart Charities Adoption Partner Manual, located at: www.petsmartcharities.org/pro/resources, and the current executed Grant Agreement. 4) If any Grant Funds remain after those expenses specified in the Grant Purpose are covered, provide: i) an explanation of the remaining Grant Funds; and ii) the remaining funds may be used to help pets be spayed and neutered prior to adoption. Grant Period: The Grant Period will commence on the Effective Date set forth in this Grant Statement, which in no event shall be earlier than effective date of the Agreement and will continue for a period of 6 months. Reporting Obligations: In addition to any requirement set forth in the Grant Agreement, the Organization agrees to provide the following reports to PetSmart Charities in connection with this Grant Statement, on or before the deadlines set forth below. PetSmart Charities reserves the right to change the method and format of how reports are provided. Unless otherwise specified, submit all reports via www.cybergrants.com/petsmartcharities/reports/app. The final adoptoin event impact report and the expense report template is available at http://www.petsmartcharities.org/pro/resources/. 1 B 03/13/2015 or no later than 30 days after the conclusion of the Event, Page 2 of 5 PetSmart Charities Grant Statement(2010-06) PetSmart Chanties CONFIDENTIAL ti whichever comes sooner, a Final Adoption Event Grant Report including: a) Expense Report documenting: - Equipment and supplies purchased in conjunction with the event as stated within your grant application. b) Provide an estimated number of people who attended the event (not limited to just the number of adopters) c) Number of Pets Adopted broken down by: L)Total Number of Adult Cats Available for Adoption ii)Total Number of Adult Cats Adopted iii)Total Number of Kittens(under 6 months)Available for Adoption iv)Total Number of Kittens (under 6 months)Adopted v)Total Number of Adult Dogs Available for Adoption vi)Total Number of Adult Dogs Adopted vii) Total number of Puppies (under 12 months) Available for Adoption viii)Total Number of Puppies (under 12 months)Adopted ix) Number of other pets adopted as part of the event (rabbits, ferrets etc) d) Additional Information as described within the Final Event Grant Report which can be found at www.petsmartcharities.org/pro/resources. Additional Terms: As of the date of signing this Grant Statement,the Organization represents to PetSmart Charities that each of its representations, warrants and covenants provided in the Agreement and this Grant Statement are true and correct, including, but not limited to, those set forth in Section 8 of the Agreement. Notwithstanding Section 10(m) of the Grant Agreement, upon email request made by the Organization to PetSmart Charities and in its sole discretion of and upon email approval by PetSmart Charities, this Grant Statement may be amended in this manner as described below where such written request is limited in scope to the following sections of the Grant Statement; (a) Grant Purpose may be amended to reflect adjustments in acceptable use of the Grant Funds with the overall intended purpose of the funded project, including adjustments in areas of populations being served or targeted, reallocation of funds across types of expenses and adjustments in service numbers; (b)Grant Period may be extended to enable the completion of the funded project; and (c) Reporting Obligations may be extended in time and adjusted to reflect the data available. This Grant Statement shall not be binding on either Party until executed by both Parties. Organization acknowledges and agrees that PetSmart Charities may rescind any offer contained herein at any time until the Agreement has been executed by both Parties.
