("C2") is pleased to have this opportunity to work again with the City of Fort Worth ("City") concerning cable services rate regulation. The following proposal provides a description of the scope of services that C2 will provide in evaluating the FCC Forms 1240/1205 filed by Charter Communications ("Charter" or the "Company") with the City on or about October 1, 1999. Project Scope It is C2's understanding that the City is forming a coalition of other Charter served cities for purposes of rate analyses. The following project scope relates to those services that would be performed for either an individual city or for all members of such a coalition. C2 will assess the accuracy of the Form 1240/1205 filings, the reasonableness of Charter's proposed computations, compliance with any resolved issues from prior computations, and compliance with FCC regulations and recent rulings. C2 proposes to conduct the following activities: • Initial review of the filings and identification of: — Any filing deficiencies and necessary actions — Potential issues based on the operator's approach to developing rates — Compliance/non-compliance with FCC rulings — Compliance/non-compliance with prior City ordinances and agreements • Submission of detailed requests for information • Analyses of responses to requests for information and submission of follow- up requests, as necessary • Determination of the reasonableness of Charter's proposal based on the analyses and any further rulings issued by the FCC during the course of the W HMO DD ��a w0flyM. ME Mr. Peter Vaky March 6, 2000 Page 2 review • Discussion with the City regarding preliminary findings and recommendations • Submission of written reports • One meeting with Charter and the City, if desired, to discuss the findings and recommendations prior to submission to Council' Additional Services The above includes the activities to be performed for the City and any other members of a potential coalition. However, additional assistance can been provided to the City or to other coalition members on an as needed basis: • Assistance to city staff in preparing their respective Council documentation • Meetings with city legal representatives to discuss potential actions • Presentation of findings and recommendations before City Councils The proposed Project Scope does not provide for these specific activities as all cities may not desire such assistance. C2 separates these services in order to limit the estimated professional fees for those activities that will impact any city participant. Deliverables C2 will provide each coalition city member with written reports specific to their respective rate filings. The reports will include a description of the project activities, findings and recommendations regarding potential City Council actions. The report related to the Form 1205 (equipment basket) will likely be largely identical in that this filing is anticipated to be the same for all of the Charter served cities. Project Cost In the event that the City is the only participant, C2 estimates that the professional fees required to conduct the review of the Form 1240/1205s noted under Project Scope above are not-to-exceed $3,500, plus out-of-pocket expenses. If three or more cities join the City of Fort Worth in these efforts, the professional fees per each coalition participant are estimated not-to-exceed $2,500, plus out-of-pocket expenses.2 Additional Services activities will be billed at an hourly rate of$150. C2 bills its clients monthly based on actual hours worked, plus out-of-pocket expenses. In the event that the actual hours spent in conducting the enumerated activities are less than those used in the development of the not-to-exceed proposed costs, the City(ies) will ' This meeting would be jointly conducted with all other members of any coalition. 2 The estimated$2,500 in professional fees for each participant drives C2 total billing for the project. For example, if four cities participate, C2's professional fees will not exceed$10,000,plus out-of-pocket expenses. Based on the desires of the participants, C2 can bill individual cities based on an allocation of these total project costs as determined by the cities. However, if the actual hours exceed the estimate, the City(les) will only be billed up to the not-to-exceed cost, plus out-of-pocket expenses. Additional activity billings will be noted via a separate line item on the requesting city's monthly bill. Acceptance C2 greatly appreciates this opportunity to work again with the City of Fort Worth.
