AGREEMENT FOR CONVEYANCE OF FIXTURES AND REVERSION OF TITLE THE STATE OF TEXAS COUNTY OF TARRANT KNOW ALL BY THESE PRESENTS: This agreement is entered into by and between the City of Fort Worth, a Texas home rule municipal corporation, acting by and through its duly authorized Assistant City Manager, Ramon Guajardo, hereinafter called "Grantor", and The Fort Worth Transportation Authority, a governmental entity, acting by and through its Assistant General Manager, Anthony V. Johnson, hereinafter called "Grantee". 1. That for and in consideration of the payment of $1.00 and the performance of the covenants and agreements herein set forth, Grantor hereby transfers to Grantee all right, title and interest in the following described personal property (the Fixtures): Seven (7) light fixtures constructed of aluminum and glass, consisting of one (1) large chandelier composed of concentric elements and six (6) circular fixtures, all of which were removed from the Fort Worth Library formerly located at 915 Throckmorton Street. 2. For and in consideration of the conveyance of title to the Fixtures, Grantee agrees that Grantee will permanently install the Fixtures in the Intermodal Transportation Center at 91h and Jones Street and will install a publicly visible plaque that acknowledges the conveyance of the Fixtures by the City. The parties acknowledge that such use of the Fixtures by Grantee will fulfill a public purpose by furthering the provision of transportation services to citizens of and visitors to the City of Fort Worth. Further, incorporation of the Fixtures into the Intermodal Transportation Center will give citizens and visitors the opportunity to view the Fixtures, which are not currently in use in any facility owned by the City of Fort Worth. 3. In the event that Grantee fails to install any one or more of the Fixtures in the Intermodal Transfer Center by January 2002 or at any time thereafter removes any one or more of the Fixtures from the Intermodal Transfer Center, Grantee shall immediately return such Fixture to Grantor and title to such Fixture shall revert to Grantor. 4. Grantee hereby accepts the Fixtures "as is". 5. In the event that the Fixtures are destroyed by tornado, flood, fire, accident, vandalism, theft, or other acts the Grantee has no control over, the Grantee shall not be responsible for the return of such Fixtures. Upon the City Secretary's execution, please return one original fully executed copy. It is my understanding that the T's Intermodal Project Office will be in charge of picking up the fixtures from the City.
