HomeMy WebLinkAboutContract 46468 City Secretary Contract No. ftl� MASTER SERVICES AGREEMENT TEMPORARY STAFFING This MASTER SERVICES AGREEMENT —TEMPORARY STAFFING ("Agreement") is made and entered into by and between the CITY OF FORT WORTH (the "City"), a home-rule municipal corporation of the State of Texas, acting by and through its duly authorized Assistant City Manager, and ROBERT HALF INTERNATIONAL, INC.,through its division Accountemps ("Contractor"), a California corporation acting by and through its duly authorized President, each individually a"Party" and collectively known as the "Parties". RECITALS: The City and Contractor agree that the following statements are true and correct and constitute the basis on which they have entered into this Agreement. WHEREAS, in 2014 following a competitive sealed proposal process, the Houston-Galveston Area Council of Governments ("H-GAC") entered into an agreement with Contractor to provide temporary professional personnel to work in conjunction with permanent staff, H-GAC Contract No. TS06-14 (the"H- GAC Contract"); and WHEREAS, under the terms of the H-GAC Contract, Contractor agreed to extend its prices and services to entities that have a joint purchasing interlocal cooperation agreement with Houston; and WHEREAS, the City of Fort Worth and the H-GAC have previously entered into a joint purchasing interlocal cooperation agreement; and WHEREAS, City and Contractor wish to enter into an agreement for Contractor to provide the City with temporary professional personnel for accounting, administrative, information technology and clerical positions for the City's Temporary Staffing("Project"); NOW,THEREFORE, for and in consideration of the premises outlined above and the mutual covenants contained herein, City and Contractor do hereby agree as follows: AGREEMENT: m m I. In the event and to the extent of any inconsistency between two or more Contract Documents, the documents will be interpreted in the order of the priority listed above, beginning with this Agreement and continuing with the exhibits. Any documents subsequently incorporated by amendment will be prioritized consistently with the foregoing. U. SCOPE OF SERVICES. Contractor hereby agrees,with good faith and due diligence, to provide the City with the services defined and described herein and in the H-GAC Contract, its attachments,and exhibits, subject to such modifications as are made and agreed to in this Master Services Agreement. III. MODIFICATIONS TO H-GAC CONTRACT. 1. To the extent terms defined in this Master Services Agreement are assigned a different meaning than in the H-GAC Contract,the definitions assigned herein shall govern, notwithstanding any language in the H-GAC Contract to the contrary. In construing and applying the H-GAC Contract to the transaction between City and Contractor, all such terms, including, but not limited to, "City," and "Contractor," shall be read and interpreted in accordance with the definitions assigned in this Master Services Agreement. Robert Half International,Inc. is referred to as"the Contractor" in this Agreement. 2. Except to the extent caused by the City's gross negligence, Contractor shall be liable and responsible for any and all property loss,property damage and/or personal injury, including death,to any and all persons, of any kind or character, whether real or asserted, to the extent caused by the negligent act(s) or omission(s), malfeasance or intentional misconduct of contractor, its officers, agents, servants or employees. Except to the extent caused by the City's gross negligence, Contractor covenants and agrees to, and does hereby, indemnify, hold harmless and defend the City, its officers, agents, servants and employees, from and against any and all claims or lawsuits for either property damage or loss (including alleged damage or loss to Contractor's business and any resulting lost profits) and/or personal injury, including death, to any and all Master Services Agreement—CFW and Robert Half International, Inc. any prior or contemporaneous, oral or written agreement that purports to vary from the terms hereof shall be void. Notwithstanding anything in any Contract Document to the contrary, this Agreement and the other Contract Documents may only be amended via written instrument signed by both parties and dated after the execution date of this Agreement,provided,however that the parties agree that any applicable changes in local, state, or federal laws, rules, or regulations that may occur during the term of this Agreement shall be automatically incorporated into this Agreement without written amendment hereto and shall become part hereof as of the effective date of the law, rule, or regulation. To the extent the H-GAC Agreement requires the City to indemnify or hold Contractor or any third party harmless from damages of any kind or character, the City objects to these terms and any such terms are hereby deleted from the Agreement and shall have no force or effect. V. FISCAL FUNDING. In compliance with Article 11 § 5 of the Texas Constitution, it is understood and agreed that all obligations of the City hereunder are subject to the availability of funds. If such funds are not appropriated or become unavailable, the City shall terminate this Agreement except for those portions of funds which have been appropriated prior to termination and Contractor shall have no obligation to continue performance of the services once Contractor has provided services up to the date of termination. VI. SIGNATURE AUTHORITY. The person signing this Agreement hereby warrants that he or she has the legal authority to execute this Agreement on behalf of his or her respective parry, and that such binding authority has been granted by proper order, resolution, ordinance or other authorization of the entity. The other party is fully entitled to rely on this warranty and representation in entering into this Agreement. VII. ATTORNEYS' FEES, PENALTIES, AND LIQUIDATED DAMAGES. To the extent the attached Agreement requires the City to pay attorneys' fees for any action contemplated or taken, or penalties or liquidated damages in any amount, the City objects to these terms and any such terms are hereby deleted from the Agreement and shall have no force or effect. VIII.LAW AND VENUE. This Agreement and the rights and obligations of the parties hereto shall be governed by, and construed in accordance with the laws of the United States and state of Texas, exclusive of conflicts of laws provisions. Venue for any suit brought under this Agreement shall be in a court of competent jurisdiction in Tarrant County, Texas. To the extent this Agreement is required to be governed by any state law other than Texas or venue in Tarrant County, the City objects to such terms and any such terms are hereby deleted from this Agreement and shall have no force or effect. IX. SOVEREIGN IMMUNITY. Nothing herein constitutes a waiver of the City's sovereign immunity. To the extent this Agreement requires the City to waive its rights or immunities as a government entity, such provisions are hereby deleted and shall have no force or effect. XII.ENTIRETY OF AGREEMENT; AMENDMENT. This written instrument(together will all attachments, exhibits, schedules, and appendices) constitutes the entire understanding between the parties concerning the work and services to be performed hereunder, and Master Services Agreement—CFW and Robert Half International,Inc. DISCUSSION: This Contract will be used by City departments to provide temporary staff to work in conjunction with permanent staff. The length of assignments will vary from a few weeks to several months. Temporary professional personnel will fill positions primarily vacated by staff until vacancies are filled. Positions include accounting, administrative, information technology and clerical. Approximately two—thirds of this contract authorization will be used for temporary staff supporting ERP Phase II implementation with budgeted project funds. Robert Half International, Inc., is a certified Houston—Galveston Area Council (HGAC) member vendor, Contract No. TS06-14. As such, the City will be able to obtain contracted services at reduced rates. PRICE ANALYSIS —The prices offered by Robert Half International, Inc., are 1.70 percent higher compared to the previous prices awarded for in June 2007. The price increase is attributed to an increase in hourly wages. Staff reviewed the prices and determined them to be fair and reasonable. COOPERATIVE PURCHASE—State law provides that a local government purchasing an item under a Cooperative Purchasing Agreement satisfies state laws requiring that the local government seek competitive bids for purchase of the item. HGAC contracts have been competitively bid to increase and simplify the purchasing power of government entities. M/WBE OFFICE—A waiver of the goal for MBE/SBE subcontracting requirements was requested by the Purchasing Division and approved by the M/WBE Office, in accordance with the BDE Ordinance, because the purchase of goods or services is from sources where subcontracting or supplier opportunities are negligible. ADMINISTRATIVE CHANGE ORDER—An administrative change order or increase may be made by the City Manager in the amount up to $50,000.00 and does not require specific City Council approval as long as sufficient funds have been appropriated. y AGREEMENT TERMS —Upon City Council's approval,the Agreement will begin on December 10, 2014 and will expire on May 31, 2017. However this acknowledgement is not to be tris construed as H-GAO's endorsement or approval of the End User Agreement terms and conditions. Except as stated in the Proposal tv Specifications No:TS06-14, Section B.6, CONTRACTOR agrees not to offer to, agree to or accept from END USER any terms or conditions that conflict with or contravene those in CONTRACTOR's H-GAC contract. Page 2 of 4 USER which shall,in each instance,continue pursuant to their stated terms and duration.The only effect of termination ofthis Contract is that CONTRACTOR will no longer be able to enter into any new End User Agreements with END USERS pursuant to this Contract. Applicable H-GAC order processing charges will be due and payable to H-GAC on any End User Agreements surviving termination of this Contract between H-GAC and CONTRACTOR. ARTICLE 7: SUBCONTRACTS&ASSIGNMENTS CONTRACTOR agrees not to subcontract,assign,transfer,convey,sublet or otherwise dispose of this Contract or any right,title,obligation or interest it may have therein to any third party without prior written notice to H-GAC. H-GAC reserves the right to accept or reject any such change. CONTRACTOR shall continue to remain responsible for all performance under this Contract regardless of any subcontract or assignment. H-GAC shall be liable solely to CONTRACTOR and not to any of its Subcontractors or Assignees. ARTICLE S: EXAMINATION AND RETENTION OF CONTRACTOR'S RECORDS CONTRACTOR shall maintain during the course of its work,complete and accurate records of items that are chargeable to END USER under this Contract. H-GAC,through its staff or its designated public accounting firm,the State of Texas,or the United States Government shall have the right at any reasonable time to inspect copy and audit those records on or off the premises of CONTRACTOR.Failure to provide access to records maybe cause for termination of this Contract. CONTRACTOR shall maintain all records pertinent to this Contract for a period of not less than five(5)calendar years from the date of acceptance of the final contract closeout and until any outstanding litigation,auditor claim has been resolved. The right of access to records is not limited to the required retention period,but shal l last as long as the records are retained. CONTRACTOR further agrees to include in all subcontracts under this Contract,a provision to the effect that the subcontractor agrees that H-GAC'S duly authorized representatives,shall,until the expiration of five(5)calendar years after final payment under the subcontract or until all audit findings have been resolved,have access to,and the right to examine and copy any directly pertinent books,documents,papers, invoices and records of such subcontractor involving any transaction relating to the subcontract. ARTICLF.9: REPORTING R 0J3RFMENTS CONTRACTOR agrees to submit reports or other documentation in accordance with the General Terms and Conditions of the Proposal Specifications. If CONTRACTOR fails to submit to H-GAC in a timely and satisfactory manner any such report or documentation,or otherwise fails to satisfactorily render performance hereunder,such failure may be considered cause for termination of this Contract. ARTICLE 10: MOST FAVORED CUSTOMER CLAUSE If CONTRACTOR,at any time during this Contract,routinely enters into agreements with other governmental customers within the State of Texas,and offers the same or substantially the same products/services offered to H-GAC on a basis that routinely provides pricing more favorable than those provided to H-GAC hereunder, CONTRACTOR shall notify H-GAC within ten (10) business days. This Contract between H-GAC and CONTRACTOR shall be deemed to be automatically amended,effective the dateofnotification. The Parties accept the following definition of routine:A prescribed,detailed course of action to be followed regularly;a standard procedure. The Parties accept the following definition of agreement: A contractual document that applies to more than one staffing assignment and contains defined pricing rates. EXCEPTION.- This clause shall not be applicable to prices and price adjustments offered by a bidder,proposer or contractor,which are not within bidder's/proposer's control[example; a manufacturer's bid concession], or to any prices offered to the Federal Government and its agencies. ARITCLE 11: SEVER ABILITY All parties agree that should any provision of this Contract be determined to be invalid or unenforceable,such determination shall not affect any other term of this Contract,which shall continue in full force and effect. ARTICLE 12: DISPiJTFS Any and all disputes concerning questions of fact or of law arising under this Contract,which are not disposed of by agreement,shall be decided by the Executive Director of H-GAC or his designee,who shall reduce his decision to writing and provide notice thereof to CONTRACTOR The decision of the Executive Director or his designee shall be final and conclusive unless,within thirty(30)days from the date of receipt of such notice,CONTRACTOR requests a rehearing from the Executive Director of H-GAC. In connection with any rehearing under this Article, CONTRACTOR shall be afforded an opportunity to be heard and offer evidence in support of its position. The decision of the Executive Director after any such rehearing shall be final and conclusive. CONTRACTOR may,if it elects to do so,appeal the final and conclusive decision of the Executive Director to a court of competent jurisdiction. Pending final decision of a dispute hereunder, CONTRACTOR shall proceed diligently with the performance of this Contract and in accordance with H-GAC'S final decision. ARTICLE 13: LIMITATION OF CONTRACTOR'S L.IABH JU Except as specified in any separate writing between the CONTRACTOR and an END USER,CONTRACTOR's total liability under this H:\CONTRACTS\Temporary Staffing Direct Hire and Other Employer Services\Robert Half Intemational,Inc.\TS06-14.5 Temporary Staffing,Direct Hire and Other Emnlover Services Page 3 of 4 Contract,whether for breach of contract,warranty,negligence,strict liability,in tort or otherwise,but excluding its obligation to indemnify H-GAC described in Article 14,is limited to the price of the particular productstservices sold hereunder,and CONTRACTOR agrees either to refund the purchase price or to repair or replace products)that are not as warranted. In no event will CONTRACTOR be liable for any loss of use,loss of time,inconvenience,commercial loss,lost profits or savings or other incidental,special or consequential damages to the full extent such use may be disclaimed by law. CONTRACTOR understands and agrees that it shall be Liable to repay and shall repay upon demand to END USER any amounts determined by H-GAC,its independent auditors,or any agency of State or Federal government to have been paid in violation of the terms of this Contract. ARTICLE 14: LIMIT OF H-GAL'S L.I,ajBILM AND INDEMNIFICATION OF H-GAC H-CAC's liability under this Contract,whether for breach of contract,warranty,negligence,strict liability,in tort or otherwise,is limited to its order processing charge. In no event will H-GAC be liable for any loss of use,loss of time,inconvenience,commercial loss, lost profits or savings or other incidental,special or consequential damages to the full extent such use may be disclaimed by law. Contractor agrees,to the extent permitted by law,to defend and hold harmless H-GAC,its board members,officers,agents,officials,employees,and indemnities from any and all claims,costs,expenses(including reasonable attorney fees),actions,causes of action,judgments,and liens arising as a result of CONTRACTOR's negligent act or omission under this Contract. CONTRACTOR shall notify H-GAC of the threat of lawsuit or of any actual suit filed against CONTRACTOR relating to this Contract. ARTICLE 1S: TERMINATION FOR CAUSE H-GAC may terminate this Contract for cause based upon the failure of CONTRACTOR to comply with the terms and/or conditions of the Contract;provided that H-GAC shall give CONTRACTOR written notice specifying CONTRACTOR'S failure. If within thirty(30) days after receipt of such notice, CONTRACTOR shall not have either corrected such failure, or thereafter proceeded diligently to complete such correction,then H-GAC may,at its option,place CONTRACTOR in default and the Contract shall terminate on the date specified in such notice. CONTRACTOR shall pay to H-GAC any order processing charges due from CONTRACTOR on that portion of the Contract actually performed by CONTRACTOR and for which compensation was received by CONTRACTOR. ARTI .IC F 16: TERMINATION FOR CONVENIENCE Either H-GAC or CONTRACTOR may cancel or terminate this Contract at any time by giving thirty(30)days written notice to the other.
