RENEWAL OF AND AMENDMENT TO SUBLEASE AGREEMENT
WHEREAS, the City of Fort Worth ("Lessor") entered into a sublease agreement
("Lease") with The Burrell Group ("Lessee") (City Secretary Contract No. 3688 1) for 180
square feet of office space located at 808 Throckmorton, Fort Worth, Texas ("Leased
Premises"); and
WHEREAS,the Lessor and Lessee wish to provide for the exercise of the renewal
option under the Sublease, to amend the Sublease to change the Leased Premises from
180 square feet to Suite Number 103, to provide for the payment of moving expenses,
and to allow Lessee to terminate the Lease upon 45 days' notice to Lessor without
penalty.
NOW THEREFORE, in consideration of the rentals set forth in the Lease and the
conditions and agreements set forth below, the parties agree as follows:
1. Lessee exercises its one (1) year renewal option, thereby extending the
term of the Lease to September 30, 2009.
2. Section 1 of the Lease is amended by replacing the final sentence of
Section 1 in its entirety with the following:
"For and in consideration of the rental payments to be paid under
this Lease, Lessor leases to Lessee and Lessee leases from Lessor
the following described property on a full service basis:
Approximately 180 rentable square feet of office space (the
"Leased Premises") in the "Building" located at 808 Throckmorton
Street, Fort Worth, Tarrant County, Texas, a more particular
description of which is attached as `Exhibit A."
The Leased Premises as described above together with any and all
structures, improvements, fixtures and appurtenances thereon,
thereunder or over, shall be referred to as the"Leased Premises".
3. Section 4 of the Lease is amended by adding an new subsection D, as
follows:
"D. Expenses incurred by Lessee from moving to the Leased
Premises shall be deducted by Lessor from Lessee's rent, provided
that Lessee furnish Lessor with receipts and invoices in a form
satisfactory to Lessor, at Lessor's sole discretion, so that Lessor
may verify the expenses incurred."
4. Section 11 of the Lease is amended by adding a new subsection G, as
follows:
"G. Lessee may terminate this Lease prior to the expiration of
the renewal term upon 45 days' written notice to Lessor.
Termination properly effected under this Section 11(G) shall be
without penalty to Lessee."
5. All other terms and conditions of the Lease, as amended, remain
unchanged and in full force and effect.
