HomeMy WebLinkAboutContract 27102-A1 STATE OF TEXAS § COUNTY OF TEXAS § CITY SECRETARY CONTRACT NO. ---) 1 O a AMENDMENT NO. 1 TO CITY SECRETARY CONTRACT NO. 27102 WHEREAS, the City of Fort Worth ("City" or "Licensor") and Sprint Spectrum Realty Company, L.P., as successor in interest to Sprint Spectrum L.P. ("Licensee"), collectively referred to as the "parties," made and entered into City of Fort Worth City Secretary Contract ("CSC") No. 27102, ("Agreement") which was executed on or about October 5, 2001 and authorized by the City Council by M&C C-18672 on the 17th day of July 2001; and WHEREAS, pursuant to the Agreement, the City licensed the use of the City's self- supporting communications tower and a portion of the premises owned by the City to Licensee for use of the tower and for installation, operation, and maintenance of certain communications equipment at the tower; and WHEREAS, under the Agreement, the City, at its sole cost and expense is replacing the existing Tower with a"New Tower" at the same site and Licensee desires to relocate its antenna facilities on said New Tower. NOW THEREFORE, in consideration of the mutual promises between the parties and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, City and Licensee, acting herein by and through their duly authorized representatives, enter into the following agreement: 1. Replacement of the Tower— The City agrees, at its sole cost and expense, to replace the existing Tower with a New Tower to be located on the same Premises, and Licensee agrees to relocate its Antenna Facilities on the New Tower, in accordance with this Amendment. 2. Modification of the Premises - Exhibit A of the Agreement is hereby amended and replaced with the "Revised Exhibit A," consisting of drawings depicting the new tower site, labeled Rolling Hills Site, and a legal description of the Premises (collectively the "New Tower Site"), all of which are attached hereto and incorporated into the Agreement for all purposes, Upon full execution of this Amendment and pursuant to the Agreement, Licensee is permitted to do all work necessary to install, operate, and maintain its Antenna Facilities on the New Tower Site or otherwise relocate the Facilities, all as more fully described and contemplated in Revised Exhibit A. 3. Modification of License Fee — In consideration of the facility relocation costs to Licensee contemplated by this Amendment, the parties agree that Licensee will be credited $35,098.06 for license fees upon execution of this Amendment. The annual License Fee payment due on or before October 1, 2010 shall be owed in the amount of $22,019.61, and shall be payable thereafter per the terms of the Agreement. 4, Notices All notices must be in writing and are effective only when deposited in the U.S. Mail, return receipt requested and postage prepaid or when sent via overnight delivery service. Notices to Licensee are to be sent to. Sprint/Nextel Property Services, Mailstop KSOPHT0101- Z2650, 6391 Sprint Parkway, Overland Park, Kansas, 66251-2650, with a mandatory copy to: Sprint/Nextel Law Department, Mailstop KSOPHT0101-22020, 6391 Sprint Parkway, Overland Park, Kansas 66251-2020, Attn: Real Estate Attorney. 5. Future Equipment Upgrades -- The parties agree that this Agreement shall only cover egLlipment associated with the operation of services licensed to Licensee. Y • • � ue/ l 6, General Terms and Conditions (a) All capitalized terms used in this Amendment, unless otherwise defined herein, will have the same meaning as the terms contained in the Agreement. (b) In case of any inconsistencies between the terms and conditions contained in the Agreement and the terms and conditions contained in this Amendment, the terms and conditions herein will control. (c) This Amendment may be executed in duplicate counterparts, each of which will be deemed an original. (d) Each of the parties represent and warrant that they have the right, power, legal capacity and authority to enter into and perform their respective obligations under this Amendment.
